【摘要】：我國(guó)企業(yè)正處于全球并購(gòu)重組浪潮之中,本文在構(gòu)建航空公司國(guó)際競(jìng)爭(zhēng)力評(píng)價(jià)體系基礎(chǔ)上,以1980~2014年國(guó)內(nèi)外航空公司為樣本實(shí)證分析了并購(gòu)重組對(duì)航空公司國(guó)際競(jìng)爭(zhēng)力的影響。研究發(fā)現(xiàn):負(fù)面機(jī)會(huì)的拯救型并購(gòu)會(huì)大大增加并購(gòu)方的討價(jià)還價(jià)能力,在極端的情況下甚至實(shí)現(xiàn)零代價(jià)的收購(gòu);控制程度直接影響整合能力,高股權(quán)比例可以產(chǎn)生順從和效率;跨國(guó)并購(gòu)顯著影響航空公司的國(guó)際競(jìng)爭(zhēng)力,因地域帶來(lái)的差異需要并購(gòu)方一定時(shí)間來(lái)消化;股權(quán)收購(gòu)與國(guó)際競(jìng)爭(zhēng)力的提升不具備統(tǒng)計(jì)意義上的相關(guān)性,航空公司的股權(quán)并購(gòu)會(huì)因其需要而左右并購(gòu)方式。
[Abstract]:Chinese enterprises are in the wave of global M & A and reorganization. This paper is based on the evaluation system of airlines' international competitiveness. Taking domestic and foreign airlines as samples from 1980 to 2014, this paper analyzes the impact of M & A on airlines' international competitiveness. The saving M & A with negative opportunities will greatly increase the bargaining power of the M & A parties. In extreme cases even to achieve a zero-cost acquisition; The degree of control directly affects the ability of integration, and high equity ratio can produce compliance and efficiency; Cross-border M & A has a significant impact on the international competitiveness of airlines, because of regional differences, M & A parties need a certain amount of time to digest; There is no statistical correlation between equity acquisition and the improvement of international competitiveness. The ownership M & A of airlines will influence the mode of M & A because of its need.
