【摘要】：目前我國證券市場財務(wù)造假嚴重，IPO財務(wù)造假更是愈演愈烈，近幾年從綠大地到勝景山河，再到新大地、萬福生科，不僅造假數(shù)額驚人，造假水平也屢創(chuàng)新高，嚴重影響我國證券市場健康發(fā)展，如何有效防止IPO財務(wù)造假，保護投資者的利益、推動我國證券市場健康發(fā)展成為亟待解決的問題。 本文通過引用舞弊三角因素理論，總結(jié)歸納了IPO財務(wù)造假的動因，其中動機或壓力因素包括多方主體的利益驅(qū)動、地方政府業(yè)績壓力、滿足上市條件的壓力，，機會因素包括審查漏洞、公司內(nèi)部缺乏合理的治理結(jié)構(gòu)和中介機構(gòu)的助推。然后以案例形式對IPO財務(wù)造假的基本手段進行分析，包括虛增收入、虛減成本、虛增資產(chǎn)，每一種手段都由相應(yīng)的案例說明。在對造假動因和造假基本手段分析的基礎(chǔ)上，提出治理IPO財務(wù)造假的措施，沿著從源頭上減少企業(yè)造假機會，到防止造假的企業(yè)上市，再到造假企業(yè)上市后嚴懲不貸、完善制度的路線，將具體措施分為建立合理的公司治理體系、加強對財務(wù)人員的教育、增加信息透明度充分利用媒體的力量、建立第三方對招股說明書解讀的平臺、加強對投資者的教育、建立股票回購標準、加大對中介機構(gòu)監(jiān)督與處罰、引進保險機制建立賠償基金、完善退市制度、盡快推行注冊制十點。
[Abstract]:At present , the financial fraud of the stock market in our country is serious , IPO financial fraud is more and more intense , in recent years from the green land to the scenic mountain river , to the new earth , Wanfu Shengke , not only the fake amount is staggering , the fake level also has high innovation high , has seriously affected our country ' s stock market healthy development , how to effectively prevent the IPO financial fraud , protect the investor ' s interests , and promote the healthy development of the security market of our country become a problem to be solved urgently . This paper summarizes the motivation of IPO financial fraud by referring to the theory of fraud triangle factor . The motive or the pressure factor includes the interest drive of the multi - party main body , the local government ' s performance pressure and the pressure to satisfy the listed conditions .
