【摘要】：目前在我國很多地區(qū),在基礎(chǔ)設(shè)施建設(shè)領(lǐng)域引入特許經(jīng)營的模式。最初主要是BOT模式,即建設(shè)—運(yùn)營—移交,由于PPP模式可以很好的彌補(bǔ)BOT的不足,近年來PPP模式逐漸成為主流。鑒于高速公路的獨(dú)特經(jīng)濟(jì)屬性及其在國民經(jīng)濟(jì)發(fā)展中的重要作用,合理地對(duì)其進(jìn)行管制就成為政府關(guān)注的焦點(diǎn)。而高速公路公私雙方合作效率的關(guān)鍵影響因素為控制權(quán)的配置問題。基于此,本文從以下方面進(jìn)行研究: (1)系統(tǒng)地闡述國內(nèi)外對(duì)PPP項(xiàng)目控制權(quán)的研究現(xiàn)狀。對(duì)高速公路采取PPP模式的必要性和可行性進(jìn)行了深入歸納和分析,同時(shí)梳理了PPP項(xiàng)目各利益相關(guān)者間的關(guān)系。 (2)合理定價(jià)對(duì)最優(yōu)控制權(quán)配置的影響。私人部門投入PPP項(xiàng)目主要?jiǎng)訖C(jī)是為了獲得收益,價(jià)格作為影響私人收益的主要因素,直接決定私人部門投入的積極性�；诖�,提出了一種新的規(guī)制機(jī)制:即在私營財(cái)團(tuán)自主定價(jià)條件下,分析了項(xiàng)目的最優(yōu)股權(quán)結(jié)構(gòu),摒棄了以往從孤立的視角分析項(xiàng)目所有權(quán)問題。 (3)特許期的選擇對(duì)最優(yōu)控制權(quán)配置的影響。PPP項(xiàng)目的特許經(jīng)營期指從特許經(jīng)營協(xié)議生效開始的一定年限期間,包括建造期和運(yùn)營期。PPP項(xiàng)目特許期及在此基礎(chǔ)上的控制權(quán)配置,其本質(zhì)是公共部門與私人財(cái)團(tuán)緊密合作應(yīng)對(duì)特許期內(nèi)可能發(fā)生的各種不確定性,進(jìn)而實(shí)現(xiàn)雙方之間的風(fēng)險(xiǎn)分擔(dān)和利益均衡。因此,合理的特許期能平衡項(xiàng)目現(xiàn)金流,保障投資各方獲得相應(yīng)的投資收益。 (4)私營企業(yè)努力水平與控制權(quán)配置的關(guān)系研究。項(xiàng)目的社會(huì)效益產(chǎn)出很大程度上受私營部門努力水平的影響。由于社會(huì)效益的產(chǎn)出階段主要是項(xiàng)目的運(yùn)營期,而高速公路的社會(huì)效益包括帶動(dòng)沿線地區(qū)經(jīng)濟(jì)的發(fā)展、通行者得到更好的服務(wù)、技術(shù)的創(chuàng)新、公司管理水平的提高從而降低成本提高效益等等。這些方面很大程度是受私營部門努力水平影響的。因此,通過研究控制權(quán)的配置與私營部門努力水平的關(guān)系,政府可以通過合理配置控制權(quán)來實(shí)現(xiàn)提高私營部門努力水平的目標(biāo)。
[Abstract]:At present, franchising mode is introduced in the field of infrastructure construction in many areas of our country. At first, it was mainly BOT mode, that is, construction-operation-handover. Because PPP mode can make up for the deficiency of BOT, PPP mode has gradually become the mainstream in recent years. In view of the unique economic attributes of expressway and its important role in the development of national economy, reasonable regulation of expressway has become the focus of government attention. The key factor affecting the efficiency of highway public-private cooperation is the allocation of control rights. Based on this, this paper studies from the following aspects: (1) systematically expounds the research status of PPP project control at home and abroad. This paper sums up and analyzes the necessity and feasibility of adopting PPP mode on expressway, and combs the relationship among the stakeholders of PPP project at the same time. (2) the influence of reasonable pricing on the optimal allocation of control rights. The main motivation of private sector investment in PPP project is to obtain income. Price, as the main factor affecting private income, directly determines the enthusiasm of private sector investment. Based on this, a new regulatory mechanism is proposed: under the condition of independent pricing by private consortia, the optimal ownership structure of the project is analyzed, which abandons the previous analysis of project ownership from an isolated perspective. (3) the influence of the choice of concession period on the optimal allocation of control. The franchise period of PPP project refers to a certain period of time from the entry into force of the franchise agreement, including the construction period and the operation period. The essence of PPP project concession period and the allocation of control rights on this basis is that the public sector and private consortia work closely to deal with all kinds of uncertainties that may occur during the concession period. Then realize the risk sharing and benefit balance between the two sides. Therefore, a reasonable concession period can balance the cash flow of the project and ensure the investment parties to obtain the corresponding investment income. (4) Research on the relationship between the level of effort and the allocation of control rights in private enterprises. The social benefits of the project are largely affected by the level of efforts of the private sector. Because the output stage of social benefits is mainly the operation period of the project, the social benefits of the expressway include driving the economic development of the areas along the route, getting better service, technological innovation, improving the management level of the company, thus reducing the cost and improving the efficiency, and so on. These aspects are largely affected by the level of private sector efforts. Therefore, by studying the relationship between the allocation of control and the level of efforts of the private sector, the government can achieve the goal of improving the level of efforts of the private sector through the rational allocation of control.
