跨國并購過程中人力資源跨文化整合風(fēng)險與規(guī)避機(jī)制

【摘要】:跨國并購有助于并購方獲得競爭要素、延伸產(chǎn)業(yè)鏈條、提升管理水平、破除行業(yè)壁壘。人力資源整合風(fēng)險成為企業(yè)跨國并購的重要風(fēng)險來源,也是決定企業(yè)跨國并購成敗的關(guān)鍵決定因素。從風(fēng)險規(guī)避的角度看,跨國并購人力資源整合應(yīng)從完善并購前盡職調(diào)查機(jī)制、開展文化一致性評估機(jī)制、建立管理層相對穩(wěn)定機(jī)制、配套文化融合性教育機(jī)制、形成并購方持續(xù)改進(jìn)機(jī)制、加強(qiáng)跨國型人才培育機(jī)制等方面建立風(fēng)險規(guī)避機(jī)制。
[Abstract]:Cross-border M & A is helpful for M & A to obtain competitive factors, extend industrial chain, improve management level and break down industry barriers. The risk of human resources integration is an important risk source of transnational M & A, and also a key determinant of the success or failure of cross-border M & A. From the point of view of risk aversion, the integration of human resources in cross-border M & A should be based on perfecting the due diligence mechanism before M & A, carrying out the evaluation mechanism of cultural consistency, establishing the relative stable mechanism of management, and supporting the educational mechanism of cultural integration. Establishing the mechanism of risk aversion from the aspects of continuous improvement mechanism of M & A and strengthening the cultivation mechanism of transnational talents.
