高樂股份公司成功上市的案例研究

【摘要】:2008年的金融危機(jī)席卷全球,以“合俊”為代表的東莞代工企業(yè)應(yīng)勢轟然倒下,以廉價(jià)勞動(dòng)力為主要競爭優(yōu)勢的中國代工制造業(yè)一片慘淡。在金融危機(jī)余波未了,國際經(jīng)濟(jì)形勢不明朗的情況下,2010年2月3日,來自廣東省揭陽市的玩具企業(yè)高樂股份在深交所中小板掛牌上市,成功登陸中國資本市場,成為我國玩具企業(yè)的首家上市公司。從生產(chǎn)貼牌產(chǎn)品及開展來料加工業(yè)務(wù)的振興制造廠,到90%以上產(chǎn)品為自主品牌、年?duì)I業(yè)收入達(dá)3.5億元以上的國內(nèi)首家上市的玩具企業(yè),高樂股份實(shí)現(xiàn)了成功地上市,是一個(gè)值得研究的案例。 本文采用文獻(xiàn)研究法和案例研究法,研究了高樂股份的上市歷程,并著重分析高樂股份戰(zhàn)略轉(zhuǎn)型實(shí)施過程中成功上市的經(jīng)驗(yàn)和企業(yè)能力演進(jìn)情況,同時(shí)展望企業(yè)的上市效益和未來發(fā)展方向,希冀對(duì)加工貿(mào)易企業(yè)實(shí)現(xiàn)轉(zhuǎn)型升級(jí)、開創(chuàng)自主品牌提供有益的借鑒。 論文首先詳細(xì)介紹了當(dāng)前玩具行業(yè)的發(fā)展?fàn)顩r,,點(diǎn)出中國玩具企業(yè)發(fā)展存在的特點(diǎn)及出路。接著在案例正文部分介紹高樂股份公司在上市之前的戰(zhàn)略定位及意義、準(zhǔn)備上市的管理過程。論文詳細(xì)進(jìn)行了案例分析,運(yùn)用企業(yè)管理理論,例如戰(zhàn)略管理理論、股份制改造理論等,剖析了高樂公司運(yùn)作上市的過程,總結(jié)其成功的經(jīng)驗(yàn),發(fā)現(xiàn)高樂股份在國際金融危機(jī)中幸免于難正是得益于提前確定的戰(zhàn)略轉(zhuǎn)型目標(biāo)。高樂股份成功上市原因在于其多年來公司始終堅(jiān)持鍛造企業(yè)各方面能力,戰(zhàn)略規(guī)劃能力、研發(fā)能力、市場能力和生產(chǎn)管理能力等方面能力的不斷演進(jìn)和提高,使得高樂股份逐漸走上國際性的現(xiàn)代化企業(yè)的道路,其創(chuàng)造利潤和抵御風(fēng)險(xiǎn)的能力顯著提高,而高樂股份管理層勇于開拓,與時(shí)俱進(jìn),富于審視,科學(xué)定位的企業(yè)家精神正是這一切的推動(dòng)力量,同時(shí)也是自主品牌戰(zhàn)略成功的關(guān)鍵所在。 當(dāng)然,公司的發(fā)展沒有終點(diǎn),盡管目前經(jīng)營不錯(cuò),并成功上市,但與發(fā)展成熟的現(xiàn)代大企業(yè),特別是與跨國公司相比,高樂股份與上市公司中的先進(jìn)企業(yè)還有公司治理能力方面的差距,如何將現(xiàn)代企業(yè)管理理論應(yīng)用到具有中國特色的民營企業(yè)當(dāng)中仍是高樂股份公司要面臨的一大挑戰(zhàn),論文也對(duì)如何迎接挑戰(zhàn)進(jìn)行了一些探索。
[Abstract]:With the financial crisis sweeping the world in 2008, Dongguan's contract manufacturing enterprises, represented by Hejun, should plummet, and China's contract manufacturing industry, with cheap labor as its main competitive advantage, is in dire shape. In the wake of the financial crisis and the uncertain international economic situation, on February 3, 2010, Gaole, a toy enterprise from Jieyang City, Guangdong Province, was listed on the small and medium-sized board of the Shenzhen Stock Exchange, successfully landing on the Chinese capital market. Become the first listed company of toy enterprises in China. From a revitalized manufacturing plant that produces branded products and develops the processing business of incoming materials, to over 90% of the products being self-owned brands, the first domestic toy enterprise with annual operating income of more than 350 million yuan has successfully listed its shares in Gaulle. Is a case worth studying. This paper studies the process of Gaole's share listing by using literature research and case study, and analyzes the successful listing experience and enterprise capability evolution in the process of Gaole's share strategy transformation. At the same time, it looks forward to the listed benefit and the future development direction of the enterprises, hoping to provide useful reference for the processing trade enterprises to realize the transformation and upgrade and to create their own brands. Firstly, the paper introduces the current development of toy industry in detail, points out the characteristics and ways out of the development of Chinese toy enterprises. Then the paper introduces the strategic orientation and significance of Gaole stock company before listing and the management process of preparing for listing in the main part of the case. The paper makes a case study in detail, analyzes the operation and listing process of Gaole Company, and summarizes its successful experience by using the enterprise management theory, such as strategic management theory, stock system transformation theory, etc. Finding that Gaulle survived the international financial crisis was helped by the strategic transformation goals set ahead of time. The reason for the successful listing of Gaulle shares lies in the continuous evolution and improvement of its ability to forge various aspects of the enterprise, such as strategic planning, R & D, market and production management, over the years. So that Gaole shares gradually on the international road of modern enterprises, its ability to create profits and resist risks significantly improved, while the management of the shares dare to open up, keep pace with the times, rich in scrutiny, The entrepreneurial spirit of scientific orientation is the driving force of all this and the key to the success of our own brand strategy. Of course, there is no end point in the development of the company. Although it is now well run and successfully listed, it is compared with the mature modern large enterprises, especially with multinational corporations. The gap between Gaole shares and the advanced enterprises in listed companies as well as the corporate governance ability is still a big challenge for Gaole Stock Company to apply the modern enterprise management theory to the private enterprises with Chinese characteristics. The paper also explores how to meet the challenge.
