【摘要】：隨著世界經(jīng)濟(jì)的快速發(fā)展,證券公司已經(jīng)成為經(jīng)濟(jì)市場(chǎng)的重要主體,而證券經(jīng)紀(jì)業(yè)務(wù)作為證券公司的重要業(yè)務(wù)對(duì)推動(dòng)證券公司的發(fā)展也起到了不可小覷的作用。由于證券經(jīng)紀(jì)業(yè)務(wù)具有代理關(guān)系的特征,因此證券公司在證券經(jīng)紀(jì)業(yè)務(wù)中對(duì)投資者應(yīng)負(fù)有忠實(shí)義務(wù)。忠實(shí)義務(wù)對(duì)規(guī)范證券公司的行為,保護(hù)投資者的利益具有重要意義。我國(guó)目前的立法中缺乏對(duì)證券公司忠實(shí)義務(wù)的規(guī)范,對(duì)忠實(shí)義務(wù)的規(guī)范僅散見(jiàn)于民法通則的個(gè)別條款。本文通過(guò)介紹證券公司與忠實(shí)義務(wù)的基本理論,闡述了忠實(shí)義務(wù)對(duì)證券公司經(jīng)紀(jì)業(yè)務(wù)發(fā)展的重要作用,通過(guò)借鑒國(guó)外相關(guān)理論,提出了完善我國(guó)證券公司在證券經(jīng)紀(jì)業(yè)務(wù)中忠實(shí)義務(wù)的兩種設(shè)想。
[Abstract]:With the rapid development of the world economy, securities companies have become an important subject of the economic market, and securities brokerage business, as an important business of securities companies, has also played an important role in promoting the development of securities companies. Because the securities brokerage business has the characteristic of agency relationship, the securities company should have the duty of faithfulness to the investor in the securities brokerage business. The duty of faithfulness is of great significance to standardize the behavior of securities companies and protect the interests of investors. At present, there is a lack of norms on the duty of faithfulness of securities companies in the current legislation of our country, and the norms of the obligation of faithfulness are only scattered in the individual provisions of the general principles of civil law. By introducing the basic theory of securities company and duty of faithfulness, this paper expounds the important role of duty of faithfulness in the development of brokerage business of securities company, and puts forward two ideas of perfecting the duty of faithfulness of securities company in securities brokerage business of our country by drawing lessons from the relevant theories of foreign countries.
