【摘要】:全球的私募股權(quán)投資基金行業(yè)正在進(jìn)入一個(gè)新的發(fā)展階段,已經(jīng)成為全球金融市場(chǎng)上舉足輕重的力量。近幾年來(lái),中國(guó)的私募股權(quán)投資基金行業(yè)從無(wú)到有,從初露端倪到蓬勃發(fā)展,成為我國(guó)金融市場(chǎng)上頗具生命力的重要組成部分,也成為當(dāng)今金融創(chuàng)新的熱點(diǎn)問(wèn)題。但是,私募股權(quán)投資基金在我國(guó)起步較晚,發(fā)展仍處于初級(jí)階段,以致于在籌集資金、項(xiàng)目選擇、后續(xù)管理以及退出獲利等實(shí)際運(yùn)作過(guò)程存在現(xiàn)實(shí)問(wèn)題和發(fā)展障礙,極大制約著我國(guó)私募股權(quán)投資基金的發(fā)展。作為一種創(chuàng)造性極強(qiáng)的經(jīng)濟(jì)活動(dòng),其構(gòu)思、談判、簽約乃至退出的全部過(guò)程中,需要經(jīng)過(guò)許多環(huán)節(jié),幾乎每個(gè)環(huán)節(jié)都有失敗的可能,全過(guò)程蘊(yùn)含了巨大的風(fēng)險(xiǎn)。因此,拓寬企業(yè)融資渠道,規(guī)避私募股權(quán)投資基金模式下的風(fēng)險(xiǎn),實(shí)現(xiàn)投資者和融資企業(yè)的雙贏,加強(qiáng)私募股權(quán)模式下房地產(chǎn)企業(yè)投資風(fēng)險(xiǎn)防范的研究具有十分重要的意義。本文關(guān)于私募股權(quán)投資基金對(duì)房地產(chǎn)企業(yè)的投資風(fēng)險(xiǎn)防范,主要從以下幾個(gè)方面介紹:首先是論述私募股權(quán)投資基金的概念、類型和運(yùn)作流程,其次以我國(guó)私募股權(quán)投資基金的發(fā)展和投資房地產(chǎn)面臨的投資風(fēng)險(xiǎn)進(jìn)行研究。通過(guò)回顧外資私募在我國(guó)房地產(chǎn)企業(yè)的發(fā)展現(xiàn)狀和我國(guó)本土私募在房地產(chǎn)企業(yè)的發(fā)展現(xiàn)狀,得出私募股權(quán)投資房地產(chǎn)企業(yè)的特點(diǎn)。本文將重點(diǎn)研究私募股權(quán)投資基金下的房地產(chǎn)企業(yè)投資風(fēng)險(xiǎn)來(lái)源和防范措施,將與案例相結(jié)合的方式,運(yùn)用風(fēng)險(xiǎn)管理的程序與方法,從投資過(guò)程和退出過(guò)程兩個(gè)角度分析私募股權(quán)投資房地產(chǎn)企業(yè)存在的風(fēng)險(xiǎn),包括來(lái)源于外部環(huán)境的投資風(fēng)險(xiǎn)、來(lái)源于房地產(chǎn)企業(yè)本身的投資風(fēng)險(xiǎn)與房地產(chǎn)項(xiàng)目的投資風(fēng)險(xiǎn),以及系統(tǒng)風(fēng)險(xiǎn)和運(yùn)營(yíng)風(fēng)險(xiǎn)等退出過(guò)程中的投資風(fēng)險(xiǎn),系統(tǒng)地分析私募股權(quán)投資房地產(chǎn)企業(yè)中的風(fēng)險(xiǎn)構(gòu)成和影響,在對(duì)風(fēng)險(xiǎn)進(jìn)行識(shí)別的基礎(chǔ)上,針對(duì)私募股權(quán)投資房地產(chǎn)企業(yè)的投資風(fēng)險(xiǎn)的特點(diǎn)和規(guī)律,提出針對(duì)投資風(fēng)險(xiǎn)的防范手段,以減少并防范私募股權(quán)的投資風(fēng)險(xiǎn),促進(jìn)私募股權(quán)投資基金的健康發(fā)展。
[Abstract]:The global private equity fund industry is entering a new stage of development, has become a significant force in the global financial market. In recent years, China's private equity investment fund industry from scratch. From the beginning to the vigorous development, it has become an important part of the financial market in our country, but also become a hot issue of financial innovation. However, the private equity investment fund started late in our country. Development is still at an early stage, so that there are real problems and obstacles to development in the actual operational processes of raising funds, project selection, follow-up management and profit-taking. As a kind of highly creative economic activity, the whole process of conception, negotiation, signing and even withdrawal of private equity investment funds in China needs to go through many links. Almost every link has the possibility of failure, the whole process contains a huge risk. Therefore, broaden the financing channels of enterprises, avoid the risk under the private equity investment fund model, and realize the win-win situation between investors and financing enterprises. It is of great significance to strengthen the research on the investment risk prevention of real estate enterprises under the private equity model. Mainly from the following aspects: the first is to discuss the concept of private equity investment funds, types and operation process. Secondly, the development of Chinese private equity investment fund and the investment risk in real estate are studied. The development of foreign private equity in real estate enterprises and the development of local private equity in real estate enterprises are reviewed. Show status. The characteristics of private equity investment in real estate enterprises. This paper will focus on the private equity investment fund under the real estate investment risk sources and preventive measures, will be combined with the way of cases. Using the procedures and methods of risk management, this paper analyzes the risks of private equity investment in real estate enterprises from the two angles of investment process and exit process, including the investment risk from the external environment. It comes from the investment risk of the real estate enterprise and the investment risk of the real estate project, as well as the investment risk in the exit process such as the system risk and the operation risk. Systematic analysis of private equity investment in real estate enterprises in the risk composition and impact, on the basis of risk identification, in view of private equity investment in real estate enterprises investment risk characteristics and rules. In order to reduce and prevent the investment risk of private equity and promote the healthy development of private equity investment fund, the paper puts forward the precautionary measures against investment risk.
