【摘要】:作為金融業(yè)四大支柱之一的信托行業(yè),在我國近30年的發(fā)展歷程中,經(jīng)歷了五次清理整頓。其中,1982、1985、1988和1993年進(jìn)行的四次清理整頓,實行了嚴(yán)格的銀行業(yè)與信托業(yè)的分業(yè)經(jīng)營與管理。1999年2月開始的第五次清理整頓,旨在改變當(dāng)時信托業(yè)機(jī)構(gòu)太多、無序發(fā)展的局面。四川信托有限公司正是在這樣的背景下,由四川省信托公司、四川省建設(shè)信托公司歷經(jīng)十余年的重組,并與省內(nèi)外多家戰(zhàn)略投資者反復(fù)談判、協(xié)調(diào),最終妥善處置了全部債務(wù)和所有者權(quán)益,引入了戰(zhàn)略投資者,并于2010年1月6日獲中國銀監(jiān)會批準(zhǔn)正式籌建的信托有限公司。信托公司作為金融機(jī)構(gòu),風(fēng)險與收益的管理是信托公司的核心競爭力。信托公司的核心競爭力在于通過承擔(dān)和化解風(fēng)險,從風(fēng)險中獲取利潤。因此,本論文以信托機(jī)構(gòu)的風(fēng)險為主線,在吸收運用西方的風(fēng)險管理理論、信托理論和已有的相關(guān)研究成果的基礎(chǔ)上,以重組后的四川信托有限公司為研究對象,分析其風(fēng)險管理現(xiàn)狀,探討了信托機(jī)構(gòu)風(fēng)險管理的有效模式和政策措施。論文的主要研究內(nèi)容如下:首先,闡述論文的選題背景和國內(nèi)外信托行業(yè)的風(fēng)險分析與管理現(xiàn)狀。其次,結(jié)合我國信托行業(yè)歷次整頓情況和背景,及其最新的信托政策宏觀背景,總結(jié)和分析了四川信托限公司的重組背景、重組過程。然后,根據(jù)重組后的信托公司應(yīng)該在“受人之托、代人理財”業(yè)務(wù)的本源上,考慮業(yè)務(wù)規(guī)劃的競爭與合作、創(chuàng)新與重構(gòu)的發(fā)展思路,分析了其風(fēng)險管理現(xiàn)狀及其暴露出來的主要問題。最后,對如何建立有效的風(fēng)險管理控制體系和流程,提出了相應(yīng)的對策建議:(1)確定風(fēng)險管理控制的總體目標(biāo)。(2)建立信托公司風(fēng)險管理控制體系;(3)要全面實施風(fēng)險管理控制組織結(jié)構(gòu)控制;(4)在開展各類信托業(yè)務(wù)過程中,堅持合法合規(guī)原則、流程操作原則、科學(xué)評估原則、集體決策原則以及監(jiān)控反饋原則等。本論文針對四川信托有限公司重組后的風(fēng)險管理現(xiàn)狀進(jìn)行分析,有助于促進(jìn)四川信托有限公司的健康發(fā)展。
[Abstract]:As one of the four pillars of the financial trust industry, in nearly 30 years of development in China, has experienced five rectification. Ltd. in January 6, 2010. The trust company as a financial institution, the risks and benefits of the management of public trust The core competitiveness of the company. The trust company is the core competitiveness by taking risks, profit from the risk. Therefore, the risks of trust institutions as the main line, in the absorption of the use of risk management theory in the west, relevant research results of trust theory and existing on the reorganization of the Sichuan trust Company Limited as the research object, analyzes the status of risk management, discusses the effective mode and policies and measures of risk management trust. The main contents of this dissertation are as follows: firstly, the present situation of the risk analysis and management described the research background and the domestic and foreign trust industry. Secondly, combined with our previous trust industry to rectify the situation and background, and trust the latest policy background, summarizes and analyzes the restructuring background, Sichuan trust company restructuring process. Then, according to the trust after the reorganization of the company should be in the " The generation of financial support, business source, considering the competition and cooperation in business planning, development innovation and reconstruction, and analyzes the main problems of risk management and exposed. Finally, on how to establish the risk management control system and process, put forward the corresponding countermeasures and suggestions: (1) to determine the overall goal of risk management control. (2) the establishment of risk management system to control the trust company; (3) to the full implementation of risk management control structure control; (4) in the process of carrying out all kinds of trust business, adhere to the principle of legal compliance, operation principle, evaluation principle, the principle of collective decision and monitoring feedback the principle. Aiming at the Sichuan Trust Company Limited after the reorganization of the risk management analysis of the status quo, helps to promote the healthy development of Sichuan Trust Company Limited.
