【摘要】：內(nèi)幕交易受害投資者司法救濟(jì)制度構(gòu)建的前提,是對(duì)內(nèi)幕交易與投資者損害之間法律關(guān)系的合理闡釋。內(nèi)幕交易既未侵害投資者知情權(quán),也沒有對(duì)其投資決策造成誤導(dǎo),因此不屬于欺詐行為,反欺詐理論的事實(shí)基礎(chǔ)并不準(zhǔn)確。就危害實(shí)質(zhì)而言,內(nèi)幕交易屬于使用非法信息優(yōu)勢(shì)的不公平交易行為,侵害了交易對(duì)手依據(jù)平等決策基礎(chǔ)和相同成敗機(jī)會(huì)進(jìn)行公平交易的合法權(quán)益。依據(jù)公平交易理論,內(nèi)幕交易損害賠償請(qǐng)求權(quán)人應(yīng)當(dāng)被界定為與內(nèi)幕交易時(shí)間完全一致的善意反向交易者,其有權(quán)獲得的賠償數(shù)額為實(shí)際買入和賣出相關(guān)證券的價(jià)格差額,同時(shí)應(yīng)以內(nèi)幕交易人的違法所得數(shù)額為限。
[Abstract]:The premise of the construction of the judicial relief system of insider trading is the rational explanation of the legal relationship between insider trading and investor damage . The insider trading not only violates the right of investors , but also does not mislead the decision of investment . Therefore , it does not belong to fraudulent behavior , and the fact basis of anti - fraud theory is not accurate . According to the theory of fair trade , the right person should be defined as a kind of good faith reverse trader with the same time as the insider trading time . The compensation amount is the difference between the price actually bought and sold . At the same time , it should be limited to the amount of the insider trading person ' s illegal earnings .
