【摘要】：從20世紀(jì)80年代開(kāi)始,私募股權(quán)投資基金在全球范圍內(nèi)得到了迅速發(fā)展。近年來(lái),國(guó)際上許多知名私募股權(quán)投資基金不斷加快進(jìn)入我國(guó)私募股權(quán)投資市場(chǎng)的步伐,同時(shí),私募股權(quán)投資在中國(guó)已經(jīng)不再神秘,像十幾年前的華爾街一樣,中國(guó)的投資界也開(kāi)始熱衷于對(duì)私募股權(quán),盡管私募股權(quán)投資在我國(guó)發(fā)展有一定時(shí)間,但依舊不完善。私募股權(quán)投資作為一種有效的金融工具,以其靈活、專業(yè)的獨(dú)特優(yōu)勢(shì),不僅可以滿足企業(yè)不同發(fā)展階段的融資需求,完善公司治理結(jié)構(gòu),而且在高新技術(shù)創(chuàng)新、多層次資本市場(chǎng)培育以及產(chǎn)業(yè)結(jié)構(gòu)升級(jí)等方面都具有十分重要的作用。它發(fā)展能優(yōu)化市場(chǎng)資源配置,有利于企業(yè)的融資渠道的拓寬、并且可以整合優(yōu)質(zhì)資源上市,促使金融市場(chǎng)穩(wěn)步發(fā)展。中國(guó)的金融市場(chǎng)一直處于發(fā)展過(guò)程中,投融資之間信息不對(duì)稱,信貸是主要的投融資渠道,但是許多企業(yè)不符合信貸要求的條件或者對(duì)于此種方式有所顧忌。私募投資應(yīng)該是金融市場(chǎng)的一種補(bǔ)充,但現(xiàn)在如何獲得私募的投資值得研究,而且中國(guó)的私募本身也面臨很多問(wèn)題,中國(guó)8次叫停IPO,給私募股權(quán)的退出渠道也造成一定影響。 文章以私募股權(quán)投資基金投資縱橫物流公司為例,通過(guò)對(duì)縱橫物流公司所處行業(yè)及外部情況,競(jìng)爭(zhēng)優(yōu)勢(shì),財(cái)務(wù)狀況等多方面的分析為基礎(chǔ),站在私募股權(quán)的角度上對(duì)投資該公司進(jìn)行動(dòng)因分析；并對(duì)公司的風(fēng)險(xiǎn)防范措施進(jìn)行了分析評(píng)價(jià)做出縱橫物流的財(cái)務(wù)指標(biāo)分析,評(píng)估PE投資于縱橫物流公司決策的正確性與否,探索研究私募股權(quán)基金對(duì)投資項(xiàng)目選擇的決策依據(jù),從而優(yōu)化私募投資,提高投資的勝算。通過(guò)對(duì)私募股權(quán)投資縱橫物流公司的思考。信息不對(duì)稱下價(jià)值評(píng)估的不確定性,并提出如何充分利用對(duì)賭協(xié)議以及退出方式加強(qiáng)私募投資的勝算,對(duì)完善私募股權(quán)投資從法律、政策、投資階段和退出渠道選擇等方面提出意見(jiàn)。為進(jìn)一步完善私募股權(quán)投資提出合理化建議。
[Abstract]:From the beginning of 1980s, private equity investment fund has been developing rapidly in the global range. In recent years, many international well-known private equity investment funds to accelerate the entering of China's private equity investment market, at the same time, private equity investment in Chinese is no longer mysterious, like ten years ago as Wall Street, Chinese investment community also keen on private equity, although private equity investment for a period of time in the development of our country, but still not perfect. Private equity investment as an effective financial instrument, with its unique advantages of flexible, professional, can not only meet the financing needs of enterprises in different stages of development, improve the corporate governance structure, but also in high technology innovation plays an important role in multi-level capital market development and the upgrading of the industrial structure and so on. It can optimize the market allocation of resources, favorable To broaden the financing channels for enterprises, and the integration of high quality resources market, the financial market developed steadily. China financial market has been in the process of development, the information asymmetry between investment and financing, credit is the main financing channels, but many enterprises do not meet the requirements of credit conditions or scruples for private investment should be this way. It is a supplement to the financial market, but now how to get private investment is worth studying, and the private Chinese itself is also facing a lot of problems, Chinese 8 times to stop IPO, private equity withdrawal channels will also be affected.
The private equity investment fund investment and logistics company as an example, on the aspect of logistics industry competition by the company and the external environment, advantage, financial analysis and other aspects of the base station in the private equity perspective on the motivation analysis of the investment of the company; and the company's risk prevention measures are analyzed and evaluated make analysis of financial indicators and logistics, correct evaluation of PE investment in the aspect of logistics decision or not, explore options for private equity fund research on the investment project decision-making basis, so as to optimize the private investment, improve the investment chance. By thinking of the private equity investment and logistics company. The evaluation value is not under asymmetric information how to make full use of uncertainty, and puts forward the strengthening of private investment and the agreement on gambling odds exit, to perfect the private equity investment from the legal, policy, investment Suggestions on the selection of stage and exit channel are put forward, and the rationalization proposals for further improvement of private equity investment are put forward.
