【摘要】：在很多國家,風(fēng)險投資產(chǎn)業(yè)是由制度環(huán)境塑造的,中國也不例外,都是先從設(shè)立以政府引導(dǎo)的創(chuàng)業(yè)投資基金開始,進(jìn)而引導(dǎo)金融機(jī)構(gòu)、企業(yè)和私人投資者等進(jìn)入風(fēng)險資本市場�？陀^上說,與歐美等發(fā)達(dá)國家相比,我國國有資產(chǎn)在創(chuàng)業(yè)主體中的占比更大,但這并不意味著其會帶來更好的投資效率�；诖诉x題背景,論文在上半部分先簡要介紹了風(fēng)險投資在國內(nèi)外的發(fā)展概況、運(yùn)作機(jī)制、投資主體等內(nèi)容,并從資本歸屬性質(zhì)出發(fā),根據(jù)風(fēng)險資金的提供者是政府、企業(yè)、個人及外資等,或是多重來源,將風(fēng)險投資劃分具有政府背景、私人背景和混合背景三種情形,并在文獻(xiàn)綜述部分簡要概括了國內(nèi)外學(xué)者對風(fēng)險投資背景與企業(yè)效率之間關(guān)系的研究成果。接著在理論部分著重運(yùn)用信息經(jīng)濟(jì)學(xué)中的委托-代理理論、認(rèn)證假說和監(jiān)督假說等內(nèi)容,并結(jié)合我國發(fā)展實(shí)際詳細(xì)從初衷、動機(jī)以及運(yùn)作機(jī)制等角度對我國政府與私人背景風(fēng)險投資做對比分析,探討因資本背景不同而可能導(dǎo)致對企業(yè)效率產(chǎn)生差異化影響的緣由。下半部分論文在肯定風(fēng)險投資的加入對企業(yè)經(jīng)營表現(xiàn)存在一定正效應(yīng)的前提下,選取我國2004-2012年所有在中小板上市的企業(yè)作為樣本,綜合運(yùn)用數(shù)據(jù)包絡(luò)分析模型和多元線性回歸模型進(jìn)行實(shí)證研究。最終得出如下三點(diǎn)結(jié)論:總體上看政府背景風(fēng)險投資的參與度顯著高于私人背景;并且風(fēng)險投資的背景差異會對企業(yè)經(jīng)營效率帶來差異化影響,政府背景風(fēng)險投資對提升企業(yè)經(jīng)營效率的影響不及私人背景;最后,混合背景風(fēng)險投資對企業(yè)經(jīng)營表現(xiàn)有正向積極影響,且其參股下的企業(yè)效率值最高。導(dǎo)致上述結(jié)果的原因,論文認(rèn)為一是由于政府背景風(fēng)險投資從發(fā)展初期就背負(fù)了一定的政策初衷,因而在政府干預(yù)程度與市場化發(fā)展程度的權(quán)衡上存在一定偏頗之處,而私人背景風(fēng)險投資以逐利為第一要義,因而能更好適應(yīng)風(fēng)險投資充分市場化的運(yùn)作需要;二是由于政府與私人背景風(fēng)險投資在運(yùn)作機(jī)制、監(jiān)督管理等方面存在差異,前者較之后者受體制等方面的諸多約束,面臨更高的委托代理成本;三是混合背景風(fēng)險投資能通過資源共享、風(fēng)險分?jǐn)傄猿浞职l(fā)揮聯(lián)合投資的優(yōu)勢。綜合理論和實(shí)證兩部分,論文認(rèn)為我國風(fēng)險投資市場的發(fā)展必然會有一個過渡期,中央及地方政府可以效仿美國等的經(jīng)驗(yàn),采取措施以提升政府背景風(fēng)險投資的市場表現(xiàn),促進(jìn)我國風(fēng)險投資市場的整體全面發(fā)展。
[Abstract]:In many countries, venture capital industry is shaped by institutional environment, China is no exception, is the first from the venture investment fund set up by the government to guide, and guide financial institutions, enterprises and private investors to enter the venture capital market. Objectively speaking, compared with Europe and other developed countries, China's state-owned assets in the main business in the proportion of larger, but this does not mean that it will bring better investment efficiency. This paper based on the background, in the first half part briefly introduces the development of risk investment in the domestic and foreign investment operation mechanism, main content, and starting from the nature of capital ownership, according to venture capital the provider is the government, enterprises, individuals and foreign capital, or multiple sources, the risk investment division with government background, personal background and mixed background of three kinds of situations, and in the literature review part briefly summarizes the domestic Foreign scholars on the relationship between venture capital background and enterprise efficiency research results. Then in the theory part focuses on the use of principal - agent theory in information economics, the certification hypothesis and monitoring hypothesis and other content, combined with China's actual development in detail from the original intention, motivation and operation mechanism of the comparative analysis of the investment and government of our country personal background risk, and may be due to different background of capital cause bring different impacts on the efficiency of the enterprises. The second part of the thesis based on the risk investment added there was a positive effect on the business performance, selection of 2004-2012 in our country all in the small board listed companies as a sample, using data envelopment analysis model and multiple linear regression model for empirical research. Finally draws the following three conclusions: on the whole background of government participation in higher risk investment In the private background; and differences of risk investment will bring different influence on the operating efficiency of enterprises, government background risk investment to improve business efficiency than private background; finally, there is a positive influence on performance of mixed background of venture capital on enterprise management, and the efficiency of its shares under the enterprise value is the highest. The reasons resulting in the above results the paper argues that the government is due to background risk investment from the early stages of development have certain policy intention, and thus must weigh the degree of biased development in the extent of government intervention and market, and private background risk investment to care for the first meaning, so it can better adapt to the venture capital fully market-oriented operation needs; two is due to government investment and private background risk in operation mechanism, differences in terms of supervision and management, the former than the latter by the system. Many of the constraints facing higher agency costs; three is a mixture of background risk investment through resource sharing, risk sharing in order to give full play to the advantages of joint investment. The two part of a comprehensive theoretical and empirical analysis, the development of China's venture capital market will have a transitional period, the central and local governments can follow the United States the experience of market performance measures to enhance the background of risk investment, promote the overall venture capital market of China's overall development.
