【摘要】：由于合同的不完備性，許多風險因素并不能在合同中完全體現(xiàn)，導致實際實施過程中出現(xiàn)新的變化時，承發(fā)包雙方會產(chǎn)生糾紛扯皮事件，而合同的不完備性一方面是本身的特點決定的，另一方面則是因為合同范本的適用性較差，貴陽市城市軌道交通工程施工合同采用的《標準施工合同范本》（2007版），在工程實施過程中出現(xiàn)了一些糾紛事件，導致造價失控，因此，對施工合同進行優(yōu)化，盡量對可能遇到的風險事件事先預設處理機制，成為本文研究的重點�，F(xiàn)有對合同優(yōu)化的研究多集中在PPP項目上，，DBB模式下的研究甚為少見，這也正是本文研究的切入點。 由于風險分擔是合同的主要內(nèi)容，本文從風險分擔的視角對貴陽市城市軌道交通工程的施工合同條款進行優(yōu)化。風險分擔以合同簽訂為分界點，劃分為合同簽訂前初始風險分擔以及合同簽訂以后的風險再分擔過程，本文主要在這兩個階段對貴陽市城市軌道交通工程的施工合同進行優(yōu)化。 首先，對貴陽市城市軌道交通工程的施工合同進行分析，并通過問卷調(diào)查法確定其實際風險分擔方案，分析標桿城市軌道交通工程的風險分擔方案，并與貴陽市城市軌道交通工程合同的風險分擔方案對比，對其風險分擔方案進行合理性分析。確定分擔不合理的風險因素，作為貴陽市城市軌道交通工程施工合同條款優(yōu)化的對象，設計這些風險因素的專用條款，對合同進行優(yōu)化。 其次，從合同履行的視角設計了風險再分擔的途徑，通過調(diào)研確定貴陽市城市軌道交通工程在實施中出現(xiàn)的實際風險因素，并同上述確定的初始分擔不合理的風險因素，共同作為風險再分擔的對象，從風險再分擔的視角確定其再分擔的方式和重新分配，并引入了開放性條款，據(jù)此設計其再分擔的條款，確定這些風險因素的應對策略，實現(xiàn)對合同文本的優(yōu)化，提供風險分擔優(yōu)化的建議。
[Abstract]:Because of the incompleteness of the contract, many risk factors can not be fully reflected in the contract. When there are new changes in the actual implementation process, disputes will arise between the contracting parties. On the one hand, the incompleteness of the contract is determined by its own characteristics, on the other hand, it is because of the poor applicability of the model contract. The Model of Standard Construction contract adopted in the construction contract of Guiyang City Urban Rail Transit Project is the 2007 edition. During the implementation of the project, there are some disputes which lead to the cost losing control. Therefore, the construction contract is optimized. As far as possible, the preset mechanism of risk events is the focus of this paper. Most of the existing researches on contract optimization are focused on PPP projects, which is the breakthrough point of this paper. As risk sharing is the main content of the contract, this paper optimizes the construction contract terms of Guiyang urban rail transit project from the perspective of risk sharing. Risk sharing is divided into the initial risk sharing before the contract signing and the risk re-sharing process after the contract signing. This paper mainly optimizes the construction contract of Guiyang urban rail transit project in these two stages. First of all, the construction contract of Guiyang urban rail transit project is analyzed, and the actual risk sharing scheme is determined by questionnaire, and the risk sharing scheme of benchmark urban rail transit project is analyzed. Compared with the risk sharing scheme of Guiyang urban rail transit project contract, the rationality of the risk sharing scheme is analyzed. As the object of optimizing the construction contract terms of Guiyang urban rail transit project, the special clauses of these risk factors are designed, and the contract is optimized. Secondly, from the perspective of contract performance, the paper designs the way of risk redistribution, determines the actual risk factors in the implementation of Guiyang urban rail transit project through investigation, and shares the unreasonable risk factors with the above identified initial risk factors. As the object of risk redistribution, this paper determines the way and redistribution of risk re-sharing from the perspective of risk re-sharing, and introduces the open clause, according to which the article of re-sharing is designed, and the coping strategies of these risk factors are determined. Optimize the contract text and provide advice on risk sharing optimization.
