【摘要】：個體工商戶是我國市場經(jīng)濟(jì)的重要組成部分,是社會公眾遵循市場經(jīng)濟(jì)規(guī)律,投資于社會生活最為緊密領(lǐng)域的草根經(jīng)濟(jì),在不同的歷史時期對國家的經(jīng)濟(jì)和社會發(fā)展皆發(fā)揮著重要作用。但是,作為我國最富有中國特色的個體工商戶制度,卻存在許多與經(jīng)濟(jì)發(fā)展不相適應(yīng)的問題。而這些問題在法學(xué)界也沒有得到應(yīng)有的重視。作者認(rèn)為,個體工商戶自產(chǎn)生以來,為緩解就業(yè)壓力、方便市民生活、增加國家稅收等方面都做出了重要貢獻(xiàn),根據(jù)我國人口多、底子薄、貧富差距和地區(qū)發(fā)展差距仍然較大的特殊國情,個體工商戶仍具有存在的必要和價值。因而,以改革和完善我國個體工商戶制度作為研究主題仍有價值和意義。本文以現(xiàn)行個體工商戶制度為研究對象,從五個方面展開論述。首先,對我國個體工商戶的概念、特點、產(chǎn)生過程、發(fā)展?fàn)顩r以及個體工商戶制度的建立過程和立法發(fā)展進(jìn)行歸納和總結(jié),目的是為了對所研究的對象有一個總體的了解和把握;其次,介紹了理論界存在的主張廢除個體工商戶制度和主張保留個體工商戶制度的兩種觀點。作者對這兩種觀點對比分析后認(rèn)為應(yīng)該繼續(xù)保留個體工商戶制度,個體工商戶制度仍有其存在的價值和必要性;第三、探析了我國個體工商戶制度存在的主要問題。因為只有將個體工商戶制度所存在的問題分析透徹,個體工商戶制度的改革才能朝著正確的方向進(jìn)行。作者認(rèn)為當(dāng)前我國個體工商戶制度存在的主要問題包括:個體工商戶和個人獨資企業(yè)的界限模糊、個體工商戶的民事法律地位不明確、個體工商戶的組成形式不科學(xué)和個體工商戶制度的商事登記要求不合理等;第四、借鑒了德國、日本、法國等國家的相關(guān)立法條例;第五、從立法角度對改革和完善個體工商戶制度提出了建議。
[Abstract]:Individual industrial and commercial households are an important part of the market economy in our country. They are the grassroots economy in which the public follows the laws of market economy and invests in the closest areas of social life. In different historical periods, it plays an important role in the country's economic and social development. However, as China's richest individual industrial and commercial system with Chinese characteristics, there are many problems that are incompatible with economic development. However, these problems have not been given due attention in the field of law. The author believes that since the emergence of individual industrial and commercial households, they have made important contributions to alleviating the pressure of employment, facilitating the livelihood of citizens, increasing state taxes, etc., according to the large population and weak foundation of our country. The gap between the rich and the poor and the regional development gap is still large, the individual industrial and commercial households still have the necessity and value. Therefore, it is of value and significance to reform and perfect the system of individual industry and commerce in our country. This article takes the current individual industrial and commercial household system as the research object, from five aspects starts to discuss. First of all, the concept, characteristics, production process, development status, establishment process and legislative development of individual industrial and commercial households in China are summarized and summarized. The purpose is to have a general understanding and grasp of the object studied; Secondly, the author introduces the two viewpoints of the theory circle, that is, abolishing the system of individual industry and commerce and maintaining the system of individual industry and commerce. The author thinks that the system of individual industry and commerce should continue to be retained, and the system of individual industry and commerce still has its value and necessity. Thirdly, it analyzes the main problems existing in the system of individual industry and commerce in our country. Only by thoroughly analyzing the problems existing in the system of individual industry and commerce, the reform of the system of individual industry and commerce can be carried out in the right direction. The author thinks that the main problems existing in the current system of individual industrial and commercial households in China include: the boundaries of individual industrial and commercial households and sole proprietorship enterprises are blurred, and the civil legal status of individual industrial and commercial households is not clear. The composition of individual industrial and commercial households is unscientific and the commercial registration requirements of individual industrial and commercial households are unreasonable. Fourthly, it draws lessons from the relevant legislation and regulations of Germany, Japan, France and so on; fifthly, it puts forward some suggestions to reform and perfect the system of individual industry and commerce from the angle of legislation.
