房屋交易中關(guān)聯(lián)信息披露義務(wù)研究

【摘要】:在現(xiàn)代社會(huì),信息是交易雙方當(dāng)事人締結(jié)合約的基礎(chǔ),只有在擁有充分的信息的基礎(chǔ)上所產(chǎn)生的合意,才是雙方當(dāng)事人真實(shí)的意思表示。但是,房屋交易市場(chǎng)由于交易標(biāo)的物的特殊性,買賣雙方實(shí)際上是處于一個(gè)信息不對(duì)等的地位,賣方掌握著房地產(chǎn)商品的大量實(shí)質(zhì)性信息,而處在買方地位的消費(fèi)者擁有的信息只包含一定量的公開(kāi)信息,賣方的絕對(duì)信息優(yōu)勢(shì)使得買方只能被迫接受信息和承擔(dān)風(fēng)險(xiǎn)。本文研究主要是通過(guò)對(duì)房屋交易中的信息優(yōu)勢(shì)方設(shè)置信息披露義務(wù),使交易雙方在信息占有量上達(dá)到相對(duì)平等,從而實(shí)現(xiàn)房屋買賣合同的實(shí)質(zhì)公正。 文章主要分為四個(gè)部分,,第一部分,首先對(duì)房屋交易中關(guān)聯(lián)信息披露義務(wù)的基本理論問(wèn)題進(jìn)行分析,將房屋交易中所涉及的信息界定為關(guān)聯(lián)信息,并將關(guān)聯(lián)信息類型化為直接關(guān)聯(lián)信息和間接關(guān)聯(lián)信息,同時(shí)對(duì)房屋交易中關(guān)聯(lián)信息披露義務(wù)的概念、前提、理論基礎(chǔ)等予以分析。 第二部分,主要針對(duì)我國(guó)房屋交易市場(chǎng)信息不對(duì)稱的現(xiàn)狀,對(duì)我國(guó)房屋交易中關(guān)聯(lián)信息披露義務(wù)的立法及司法現(xiàn)狀進(jìn)行了分析。認(rèn)為我國(guó)現(xiàn)行立法缺乏對(duì)房屋交易中關(guān)聯(lián)信息披露義務(wù)的具體規(guī)定和系統(tǒng)設(shè)定,司法實(shí)踐中也存在法官自由裁量權(quán)過(guò)大,買方舉證困難等問(wèn)題。 第三部分,主要針對(duì)兩大法系有關(guān)國(guó)家對(duì)房屋交易中關(guān)聯(lián)信息披露義務(wù)的立法及實(shí)踐進(jìn)行了考察,并通過(guò)比較分析,總結(jié)對(duì)我國(guó)房屋中關(guān)聯(lián)信息披露義務(wù)具體設(shè)定的啟示; 第四部分,針對(duì)前述問(wèn)題,提出了完善我國(guó)房屋交易中關(guān)聯(lián)信息披露義務(wù)的建議。主要包括:1.建議我國(guó)通過(guò)司法解釋對(duì)房屋交易中的關(guān)聯(lián)信息披露義務(wù)予以確立;2.對(duì)我國(guó)房屋交易中關(guān)聯(lián)信息披露義務(wù)進(jìn)行系統(tǒng)設(shè)定,在主體范圍上應(yīng)當(dāng)包括賣方和房屋買賣居間人;在內(nèi)容上應(yīng)當(dāng)包含直接關(guān)聯(lián)信息和間接關(guān)聯(lián)信息,在履行方式方應(yīng)當(dāng)借鑒英美法系賣方房屋資料披露表格的形式等;3.對(duì)于違反房屋交易中關(guān)聯(lián)信息披露義務(wù)的法律責(zé)任予以完善;4.提出對(duì)法官自由裁量權(quán)的限制以及舉證責(zé)任倒置在此類審判中的引入。
[Abstract]:In modern society, information is the basis on which the parties to a transaction conclude a contract. Only when the parties have sufficient information, can they express their true intention. However, because of the particularity of the subject matter of the transaction, the buyers and sellers are in a position of unequal information, and the seller holds a large amount of material information about the real estate commodities. Consumers in the position of buyer only have a certain amount of public information, the seller's absolute information advantage makes the buyer forced to accept the information and bear the risk. In this paper, we mainly set up the obligation of information disclosure to the information advantage party in the housing transaction, so that the two sides of the transaction can achieve the relative equality in the amount of information, so as to realize the substantial justice of the house purchase and sale contract. The article is divided into four parts. The first part analyzes the basic theory of the related information disclosure obligation in the housing transaction, and defines the information involved in the housing transaction as the related information. At the same time, the paper analyzes the concept, premise and theoretical basis of the disclosure obligation of the related information in the housing transaction. In the second part, aiming at the situation of asymmetric information in China's housing market, the author analyzes the legislative and judicial situation of the disclosure obligation of related information in the housing transaction in China. The author thinks that the current legislation of our country lacks the specific regulation and systematic setting of the obligation of disclosure of related information in the housing transaction, and there are also some problems in the judicial practice, such as the excessive discretion of the judge and the difficulty of proving the evidence of the buyer, etc. The third part mainly focuses on the legislation and practice of the related information disclosure obligation in the housing transaction in the countries of two legal systems, and through comparative analysis, summarizes the inspiration to the specific setting of the related information disclosure obligation in the housing of our country; The fourth part, in view of the above question, has proposed the consummation our country housing transaction related information disclosure duty suggestion. The main contents are as follows: 1. It is suggested that our country should establish the obligation of disclosure of related information in housing transactions through judicial interpretation; 2.The obligation to disclose the related information in the housing transaction of our country should be set up systematically, which should include the seller and the broker of the house sale in the scope of the main body; In terms of content, it should contain direct and indirect related information, and should learn from the form of seller's house information disclosure form of Anglo-American law system in the way of performance. 3. To perfect the legal liability of violating the obligation of disclosure of related information in the house transaction; 4. To put forward the limitation of the discretion of the judge and the introduction of the inversion of the burden of proof in this kind of trial.
