【摘要】:近年來,隨著經(jīng)濟(jì)的發(fā)展,人們對(duì)自身利益最大化的追求,生活中產(chǎn)生了形形色色疑難復(fù)雜的合同糾紛。在“朱某某與甲房地產(chǎn)公司關(guān)于《商品房買賣合同》與《借款協(xié)議》糾紛”一案中,雙方當(dāng)事人圍繞《商品房買賣合同》與《借款協(xié)議》之間的關(guān)系以及《商品房買賣合同》是否應(yīng)該履行產(chǎn)生爭(zhēng)議。本案案情簡(jiǎn)單,但法律關(guān)系復(fù)雜,從主、從合同的認(rèn)定,當(dāng)事人真實(shí)意思表示,訂立合同的目的和流押條款的法理等幾個(gè)方面分析可知,本案屬于附解除條件的《商品房買賣合同》的履行問題。本案表面上看似時(shí)下司法實(shí)踐當(dāng)中頻發(fā)的以簽訂房屋買賣合同的方式為借款提供擔(dān)保的新型交易模式,司法機(jī)關(guān)面對(duì)此類案件時(shí),在實(shí)際審理中,不能一貫以“名為買賣,實(shí)為擔(dān)!钡乃季S去定性,而要立足案件具體情節(jié),尊重當(dāng)事人意志,理清其中的法律關(guān)系,這樣才能達(dá)到公平公正的效果。我國法律法規(guī)與司法操作在處理類似“以房抵債”類型案件時(shí)存在一定的局限性,需要進(jìn)一步完善。
