【摘要】:A教育集團(tuán)創(chuàng)辦于2000年,是河南省第一個(gè)民辦教育集團(tuán),主要從事教育培訓(xùn)、和全日制教學(xué)。目前,A教育集團(tuán)有教職工數(shù)百人,50余所培訓(xùn)學(xué)校,每年培訓(xùn)中小學(xué)生10余萬(wàn)人次,在校學(xué)生一千余人。A教育集團(tuán)現(xiàn)行的治理模式是家族式治理,存在著股權(quán)結(jié)構(gòu)不合理、經(jīng)營(yíng)者激勵(lì)與約束機(jī)制不完善,致使主要骨干教師人心不穩(wěn),骨干教師離職,甚至曾經(jīng)出現(xiàn)A教育集團(tuán)的常務(wù)總經(jīng)理帶走核心團(tuán)隊(duì)另起爐灶的嚴(yán)重事件。如何優(yōu)化A教育集團(tuán)的治理結(jié)構(gòu)與治理機(jī)制是該公司亟待解決的問(wèn)題。本文在收集梳理大量文獻(xiàn)資料的基礎(chǔ)上,以公司治理為理論依據(jù),將系統(tǒng)地研究A教育集團(tuán)的治理優(yōu)化策略。首先,通過(guò)A教育集團(tuán)發(fā)展現(xiàn)狀發(fā)展分析,揭示該集團(tuán)治理中存在的問(wèn)題。其次,對(duì)A教育集團(tuán)治理結(jié)構(gòu)進(jìn)行整體設(shè)計(jì),并提供A教育集團(tuán)股權(quán)結(jié)構(gòu)的優(yōu)化方案。進(jìn)而,通過(guò)集團(tuán)章程完善、董事會(huì)治理、監(jiān)事會(huì)與經(jīng)理室設(shè)置,優(yōu)化A教育集團(tuán)內(nèi)部治理結(jié)構(gòu)。最后,從建立與股權(quán)獎(jiǎng)勵(lì)、設(shè)立員工升職與發(fā)展管道、完善勞務(wù)合同等各項(xiàng)制度,完善公司治理機(jī)制,提供A教育集團(tuán)治理優(yōu)化策略。本文特色與創(chuàng)新之處只要表現(xiàn)在:(1)通過(guò)A教育集團(tuán)治理結(jié)構(gòu)的整體設(shè)計(jì),提供A教育集團(tuán)股權(quán)結(jié)構(gòu)的優(yōu)化方案;(2)完善A教育集團(tuán)章程、董事會(huì)治理、監(jiān)事會(huì)與經(jīng)理室設(shè)置,優(yōu)化A教育集團(tuán)內(nèi)部治理結(jié)構(gòu);(3)完善公司治理機(jī)制,提供A教育集團(tuán)治理優(yōu)化策略。本文的研究不僅為A交易集團(tuán)制定一套可操作的治理結(jié)構(gòu)優(yōu)化方案與實(shí)施策略,破解A教育集團(tuán)發(fā)展的瓶頸,而且為同類(lèi)教育企業(yè)的集團(tuán)治理提供理論依據(jù)和參考。
[Abstract]:A education group was founded in 2000, Henan province is the first private education group, mainly engaged in education and training, and full-time teaching. At present, A Education Group has a staff of hundreds of people, more than 50 training school, annual training of primary and middle school students more than 10 people, more than one thousand students in.A education group the current governance model of family corporate governance, ownership structure exists unreasonable, incentive and restraint mechanism is not perfect, the main backbone teachers unstable people, teachers leave serious events even once appear executive general manager A education group took another core team. How to optimize the governance structure and governance mechanism of A education group is the company to to solve the problem. In this paper collects a large number of documents, to corporate governance as the theoretical basis, the system of governance optimization strategy of A education group first, Through the development of the status quo of the development of A education group analysis, reveals the existing problems in the governance of the group. Secondly, the overall design of the governance structure of A education group, and provide optimization scheme of A education group equity structure. Then, through the group charter perfect, governance of the board of directors, board of supervisors and manager room settings, A education group internal optimization governance structure. Finally, from the establishment of equity incentive and employee promotion, establishment and development of the pipeline, improve the labor contract system, improve the corporate governance mechanism, providing A education group governance optimization strategy. In this paper, the characteristics and innovations as long as in: (1) the overall design of the governance structure of A education group, provides the optimization scheme A education group equity structure; (2) improve A Education Group Constitution, governance of the board of directors, board of supervisors and manager room settings, optimize the internal governance structure of A Education group; (3) improving the mechanism of corporate governance It provides A education group governance optimization strategy. This study not only establishes an operable governance structure optimization plan and implementation strategy for A trading group, but also solves the bottleneck of A education group development, and provides theoretical basis and reference for similar education enterprise group governance.
