【摘要】：高校知識產(chǎn)權(quán)信托的定義為,高校作為信托法律關(guān)系的委托人,將其所有的知識產(chǎn)權(quán)作為信托財產(chǎn),委托特定的信托機構(gòu)作為受托人,進行對知識產(chǎn)權(quán)的管理與處分,以維護知識產(chǎn)權(quán),并將其收益最大化。中國高校在知識產(chǎn)權(quán)的維護與利用存在缺陷,大量的知識產(chǎn)權(quán)由于得不到及時的維護而導致權(quán)利消滅,難以與市場充分結(jié)合,創(chuàng)造出其應有的價值知識產(chǎn)權(quán)信托成為解決這一問題的有效途徑。知識產(chǎn)權(quán)信托是在信托業(yè)務的基礎(chǔ)上,以維護和利用知識產(chǎn)權(quán)為目的,進行的充分市場化的商業(yè)運作,結(jié)合信托機構(gòu)的專業(yè)優(yōu)勢和高校所有的知識產(chǎn)權(quán)資源,利用市場化的手段,有效維護和利用知識產(chǎn)權(quán),實現(xiàn)其價值最大化。知識產(chǎn)權(quán)信托所涉及的法律眾多,在知識產(chǎn)權(quán)、信托、證券、訴訟法等方面均有涉及,且有評估、財產(chǎn)轉(zhuǎn)移、權(quán)利救濟等法律運用方面都存在一定的問題,本文針對基礎(chǔ)法律制度與特別法律制度中所存在的部分問題作出了分析。在知識產(chǎn)權(quán)信托中,評估貫穿始終,在信托設(shè)立及存續(xù)期間都需要獨立公正且精確的評估機制參與。目前中國的知識產(chǎn)權(quán)評估體質(zhì)尚未完善,體制存在一定的問題,本文對評估的客體對象及法律規(guī)定作出了分析,提出了相應問題。在信托存續(xù)期間,受托人對信托財產(chǎn)的管理與處分包括了轉(zhuǎn)染許可及以股權(quán)形式出資的方式,在法律規(guī)定方面尚有部分問題存在,并不適應目前信托業(yè)務的發(fā)展。最后對我國目前知識產(chǎn)權(quán)信托存在的一些問題提出了相應的法律制度角度建議,在知識產(chǎn)權(quán)信托登記、評估及監(jiān)管方面均有所涉及。
[Abstract]:The definition of college intellectual property trust is that the university, as the principal of the trust legal relationship, takes all its intellectual property as the trust property, entrusts the specific trust institution as the trustee, carries on the management and the disposition to the intellectual property right. To safeguard intellectual property rights and maximize their revenue. There are defects in the maintenance and utilization of intellectual property rights in Chinese colleges and universities. A large number of intellectual property rights are destroyed because they are not maintained in a timely manner, and it is difficult to fully integrate with the market. Creating its due value intellectual property trust has become an effective way to solve this problem. Intellectual property trust is a fully market-oriented commercial operation on the basis of trust business, aiming at maintaining and utilizing intellectual property rights, combining the professional advantages of trust institutions and all intellectual property resources of colleges and universities. The use of market-oriented means, effective maintenance and use of intellectual property rights, to achieve its value maximization. There are many laws involved in intellectual property trust, such as intellectual property, trust, securities, procedural law and so on, and there are some problems in the application of law, such as evaluation, property transfer, right relief, etc. This paper analyzes some problems existing in the basic legal system and the special legal system. In intellectual property trust, evaluation runs through the whole time, and the independent, impartial and accurate evaluation mechanism is required during the establishment and existence of the trust. At present, the constitution of intellectual property evaluation in China is not perfect, and there are some problems in the system. This paper analyzes the object and legal provisions of the evaluation, and puts forward the corresponding problems. During the period of the trust, the trustee manages and disposes of the trust property including the way of the transfer license and the form of equity contribution, and there are still some problems in the legal provisions, which are not suitable for the development of the trust business at present. Finally, some problems existing in intellectual property trust in our country are put forward from the point of view of legal system, which are involved in registration, evaluation and supervision of intellectual property trust.
