【摘要】：準(zhǔn)確界定民辦學(xué)校的出資人權(quán)利,是完善民辦學(xué)校治理結(jié)構(gòu)的基礎(chǔ),對(duì)促進(jìn)民辦教育的發(fā)展具有重要意義。民辦學(xué)校的出資人權(quán)利產(chǎn)生于出資人對(duì)民辦學(xué)校的出資行為,集中體現(xiàn)為出資人對(duì)民辦學(xué)校的股權(quán)。出資人權(quán)利包括財(cái)產(chǎn)性權(quán)利和管理性權(quán)利。其中出資人的財(cái)產(chǎn)性權(quán)利包括利潤(rùn)分配權(quán)、股權(quán)轉(zhuǎn)讓權(quán)和剩余財(cái)產(chǎn)分配權(quán)。出資人的管理性權(quán)利包括出資人在學(xué)校決策機(jī)構(gòu)中的成員權(quán)、表決權(quán),以及知情權(quán)和監(jiān)督權(quán)。
[Abstract]:It is the foundation of perfecting the governance structure of the private schools to define the rights of the investors of the private schools accurately, and it is of great significance to promote the development of the private education. The investor's right of the private school comes from the investor's contribution to the private school, which is embodied in the investor's equity in the private school. The rights of investors include property rights and management rights. The property rights of the investors include the right to distribute profits, the right to transfer shares and the right to distribute surplus property. The managerial rights of the investors include the rights of membership, voting rights, the right to know and the right of supervision in the decision-making organs of the school.
