【摘要】：商事信托是受托人以營利為目的承諾信托并管理信托財產(chǎn)的行為,設(shè)立商事信托需要采用書面形式,商事信托在設(shè)立、存續(xù)及終止各環(huán)節(jié)受到嚴(yán)厲的行政權(quán)力監(jiān)管,受托人資格與義務(wù)有較高的要求。民事信托的受托人承諾信托財產(chǎn)不以營利為目的,其設(shè)立可以不采取書面形式,監(jiān)管上采取法院司法監(jiān)管的模式,受托人資格義務(wù)的標(biāo)準(zhǔn)低于商事信托的受托人。我國引入信托制度主要用于商事領(lǐng)域,民事信托在國內(nèi)尚未發(fā)展起來,現(xiàn)有的信托立法以規(guī)范商事信托為初衷,未顧及民事信托與商事信托在設(shè)立制度、監(jiān)管制度及受托人資格與義務(wù)上的區(qū)別。長期以來理論界對民事信托與商事信托的范圍未予界定,實踐中不僅是信托公司的商事信托業(yè)務(wù)、證券投資基金業(yè)務(wù)屬于商事信托,商業(yè)銀行的非保本浮動收益型理財投資業(yè)務(wù),證券公司、基金公司等泛資產(chǎn)管理業(yè)務(wù)都屬于商事信托的范疇,而目前商事信托市場亂象叢生。認(rèn)清這些問題,需要完善我國的信托立法,制定《信托業(yè)法》對商事信托業(yè)務(wù)統(tǒng)一規(guī)范,如此才得以促進民事信托與商事信托的長久發(fā)展,這正是區(qū)分民事信托與商事信托的價值所在。
[Abstract]:Commercial trust is the act that the trustee promises the trust and manages the trust property with the aim of making profit. The establishment of the commercial trust needs to be in written form, and the establishment, existence and termination of the commercial trust are subject to strict administrative power supervision. The qualifications and obligations of trustees have higher requirements. The trustee of the civil trust promises that the trust property is not for the purpose of profit, its establishment may not take the written form, the supervision adopts the judicial supervision mode of the court, the standard of the trustee's qualification obligation is lower than the trustee of the commercial trust. In our country, the trust system is mainly used in the commercial field, but the civil trust has not been developed in our country. The existing trust legislation takes the regulation of commercial trust as the original intention and does not take into account the establishment system of civil trust and commercial trust. The differences between the supervisory system and the qualifications and duties of trustees. For a long time, the scope of civil trust and commercial trust has not been defined in the theoretical circle. In practice, it is not only the commercial trust business of the trust company, but also the securities investment fund business belongs to the commercial trust. Non-capital preservation floating income investment business, securities companies, fund companies and other pan-asset management business of commercial banks all belong to the category of commercial trust, but the commercial trust market is in chaos at present. To recognize these problems, we need to perfect the trust legislation of our country, formulate the Trust Law to standardize the business of commercial trust, so as to promote the long-term development of civil trust and commercial trust. This is the value of distinguishing civil trust from commercial trust.
