【摘要】： 信托是英美衡平法的偉大創(chuàng)造,大陸法系國(guó)家引進(jìn)信托制度必須考慮本國(guó)的經(jīng)濟(jì)、社會(huì)、文化背景,使信托制度與本國(guó)法律傳統(tǒng)相銜接。信托公示制度的建立及完善即是大陸法系國(guó)家對(duì)信托制度改造的重要一環(huán)。 本文共分三部分,前言、正文和結(jié)論,其中正文部分共分四章。 第一章,信托財(cái)產(chǎn)公示的法理基礎(chǔ)。本章首先介紹了信托公示的基本內(nèi)涵及發(fā)展歷程,認(rèn)為信托公示與信托財(cái)產(chǎn)公示具有相同的邏輯內(nèi)涵。明確的信托財(cái)產(chǎn)公示制度由大陸法系的日本率先確立。大陸法系國(guó)家建立信托財(cái)產(chǎn)公示制度有其法理基礎(chǔ)——物權(quán)公示原則和信托財(cái)產(chǎn)獨(dú)立性及有限責(zé)任。一方面,大陸法系嚴(yán)格的一物一權(quán)原則和物權(quán)公示公信原則的絕對(duì)性使信托財(cái)產(chǎn)必須與之相契合;另一方面,信托財(cái)產(chǎn)獨(dú)立性和受托人有限責(zé)任使得信托財(cái)產(chǎn)具有強(qiáng)烈的“類(lèi)人格化”傾向,這是信托特性的根本所在,大陸法系國(guó)家引進(jìn)信托必須尊重信托財(cái)產(chǎn)的該種特性,在本國(guó)制度框架下予以表彰。 第二章,信托財(cái)產(chǎn)公示制度的必要性及制度價(jià)值。該章首先分析了大陸法系為什么建立信托財(cái)產(chǎn)公示制度即信托財(cái)產(chǎn)公示制度建立的必要性,分析中對(duì)公示中存在的主要矛盾——信托的封閉性與公示的矛盾進(jìn)行了探討。論述必要性時(shí),筆者從宏觀、微觀兩個(gè)角度進(jìn)行了分析。宏觀上,維護(hù)交易安全、規(guī)制受托人道德風(fēng)險(xiǎn)以修正市場(chǎng)信用缺失帶來(lái)的不利后果都需要建立信托財(cái)產(chǎn)公示制度;微觀上講,傳統(tǒng)信托中的分別管理原則不足以保障信托特性的發(fā)揮,加上資產(chǎn)證券化的快速發(fā)展,特殊目的信托也亟需建立相應(yīng)的信托財(cái)產(chǎn)公示制度。信托財(cái)產(chǎn)公示制度建立,對(duì)平衡各方當(dāng)事人利益、保障交易安全等意義重大,有著自身獨(dú)特的制度價(jià)值。 第三章,兩大法系各國(guó)信托財(cái)產(chǎn)公示制度的比較分析。信托是英美衡平法的產(chǎn)物,因此,該章中,筆者首先比較了兩大法系在信托財(cái)產(chǎn)公示制度上的不同運(yùn)作,在此基礎(chǔ)上,重點(diǎn)分析了我國(guó)信托公示制度的相關(guān)規(guī)定和立法闕如。筆者認(rèn)為,英美法系并非不存在信托財(cái)產(chǎn)公示制度,其受托人標(biāo)識(shí)義務(wù)、詳細(xì)告知義務(wù)及嚴(yán)格的信賴義務(wù)和受益人衡平法追蹤權(quán)足以保障信托財(cái)產(chǎn)的獨(dú)立性。大陸法系則有著明確的信托財(cái)產(chǎn)公示制度規(guī)定,在此,筆者以最早引進(jìn)信托制度的日本為例分析了信托公示的一般規(guī)定及發(fā)展進(jìn)程。接著筆者探討了信托財(cái)產(chǎn)公示的效力——已建立信托財(cái)產(chǎn)公示制度的國(guó)家普遍采用公示對(duì)抗主義,我國(guó)則創(chuàng)造性的采用公示生效主義,這有違私法自治基本原則,不利于信托效能的發(fā)揮。 第四章,我國(guó)信托財(cái)產(chǎn)公示制度的具體設(shè)計(jì)。筆者在上文分析的我國(guó)信托財(cái)產(chǎn)公示制度不足基礎(chǔ)上,試圖對(duì)我國(guó)信托公示制度的建立進(jìn)行一定的前瞻,提出具體的制度設(shè)計(jì)模式,認(rèn)為應(yīng)依財(cái)產(chǎn)的不同形式及性質(zhì)采取多樣化的公示方式。就受理機(jī)構(gòu)而言,我國(guó)已成立上海信托登記中心,筆者認(rèn)為可以在該中心基礎(chǔ)上籌辦統(tǒng)一的信托服務(wù)機(jī)構(gòu),建立相對(duì)統(tǒng)一的信托財(cái)產(chǎn)公示機(jī)構(gòu)。
[Abstract]:Trust is the great creation of Anglo - American equity law . The introduction of trust system in continental law system must take into account the national economic , social and cultural background , make the trust system connect with the national legal tradition . The establishment and perfection of the trust publicity system is an important part of the reform of the trust system in the countries of the continental law system .



This paper is divided into three parts , preface , text and conclusion , in which the body part is divided into four chapters .



In the first chapter , the basic connotation and the development course of the trust property are introduced in this chapter . It is believed that the trust property has the same logic meaning as that of the trust property .



In chapter 2 , the necessity and the system value of the trust property publicity system are analyzed . In this chapter , the author analyzes the necessity of establishing the trust property publicity system , namely the trust property publicity system , in the civil law system .



In chapter 3 , the comparative analysis of the public opinion system of trust property of the two major laws is the product of Anglo - American equity method . Therefore , in this chapter , the author compares the different operation of trust property on the trust property .



Chapter Four , the specific design of China ' s trust property publicity system . Based on the analysis of the system of trust property of our country , the author tries to forward the establishment of the trust publicity system in our country , and puts forward the concrete system design pattern , which considers that it is necessary to adopt diversified publicity methods according to different forms and properties of the property . In the case of the acceptance institution , China has established the Shanghai Trust Registration Center , and the author believes that a unified trust service institution can be organized on the basis of the center , and a relatively unified public trust property public institution can be established .
