【摘要】：中國(guó)經(jīng)濟(jì)在經(jīng)歷了三十多年改革開放的飛速發(fā)展以來(lái)，社會(huì)財(cái)富不斷積累，涌現(xiàn)了大量包括民營(yíng)企業(yè)家在內(nèi)的超級(jí)富豪。據(jù)統(tǒng)計(jì)，截至2012年底，千萬(wàn)級(jí)富豪有百萬(wàn)余人，年增幅6%，其中70%為民營(yíng)企業(yè)家。自創(chuàng)業(yè)板開板至今，共有355家民營(yíng)企業(yè)登陸創(chuàng)業(yè)板，市值達(dá)到9700多億。民營(yíng)企業(yè)家的家族財(cái)富傳承也隨之成為一個(gè)熱點(diǎn)話題。在離岸市場(chǎng)，通過(guò)家族信托方式傳承財(cái)富已經(jīng)有多年歷史。而在國(guó)內(nèi)，因?yàn)闅v史、社會(huì)和法律環(huán)境的不同決定了國(guó)內(nèi)的民營(yíng)企業(yè)家們需要一種不同與離岸家族信托的形式來(lái)調(diào)整股權(quán)治理結(jié)構(gòu)，達(dá)到財(cái)富傳承的目的。 設(shè)計(jì)適合國(guó)內(nèi)環(huán)境的家族信托計(jì)劃需要建立在對(duì)家族公司股權(quán)治理的理論基礎(chǔ)和對(duì)國(guó)內(nèi)信托產(chǎn)品的理解之上，并結(jié)合離岸市場(chǎng)家族信托的成功經(jīng)驗(yàn)。本文在參閱大量文獻(xiàn)和對(duì)國(guó)內(nèi)外眾多信托產(chǎn)品的分析的基礎(chǔ)上，，首先研究家族企業(yè)股權(quán)治理的理論和家族信托的衍生；然后對(duì)離岸市場(chǎng)的家族信托進(jìn)行研究，梳理離岸市場(chǎng)家族信托設(shè)立的要素、原因和核心優(yōu)勢(shì)，并通過(guò)案例研究來(lái)識(shí)別離岸家族信托的結(jié)構(gòu)特點(diǎn)。通過(guò)前述分析，并結(jié)合我國(guó)信托行業(yè)的形勢(shì)和首款具備家族信托雛形的信托計(jì)劃交易結(jié)構(gòu)來(lái)設(shè)計(jì)適合中國(guó)民營(yíng)企業(yè)的國(guó)內(nèi)家族信托計(jì)劃。文章最后闡述了當(dāng)前家族信托發(fā)展亟需解決的其他社會(huì)問(wèn)題和解決之道。
[Abstract]:Since the economic China has experienced rapid development in thirty years of reform and opening up, accumulation of social wealth, the emergence of a large number of private entrepreneurs, including the super rich. According to statistics, as of the end of 2012, there are more than one million million rich, annual growth rate of 6%, of which 70% of private entrepreneurs. Since the opening of the gem, a total of 355 private enterprises on GEM, the market value reached about 970000000000. The family wealth inheritance of private entrepreneurs has become a hot topic. In the offshore market, through a family trust wealth inheritance has the history for many years. But in China, because of historical, social and legal environment determines the different domestic private entrepreneurs need a different and the offshore family trust form to adjust corporate governance structure, to achieve the purpose of wealth inheritance.
The design of the domestic environment for the family trust scheme needs to be established in the theoretical foundation of family governance and equity of domestic trust products, combined with the successful experience of the offshore market family trust. Based on the analysis of many references at home and abroad on the number of trust products, the first of the family enterprise governance theory and the family trust is derived; and then study the offshore market family trust, combing family trust set up offshore market elements, and its core advantage, and through the case study to identify the structural characteristics of the offshore family trust. Through the analysis and design for the domestic private enterprises Chinese family trust plan with the trust industry in our country the situation and the first with the embryonic form of the family trust trust plan transaction structure. The paper expounds the current development of a family trust Other social problems and solutions that need to be solved urgently.
