商品房消費(fèi)信貸法律關(guān)系中的抗辯權(quán)延伸問(wèn)題探究

【摘要】:商品房消費(fèi)信貸是伴隨著市場(chǎng)經(jīng)濟(jì)發(fā)展而逐漸興起的一種消費(fèi)方式,,商品房消費(fèi)信貸中的購(gòu)房合同和擔(dān)保貸款合同構(gòu)成關(guān)聯(lián)合同,該關(guān)聯(lián)關(guān)系是抗辯權(quán)得以延伸適用的前提。抗辯權(quán)延伸對(duì)于保護(hù)購(gòu)房者的利益具有重要作用。 文章的第一部分是問(wèn)題的提出。該部分分析了商品房消費(fèi)信貸中包含的法律關(guān)系類(lèi)型以及商品房消費(fèi)信貸在實(shí)踐中的操作過(guò)程。并通過(guò)兩個(gè)典型的案例揭示了購(gòu)房者作為消費(fèi)信貸法律關(guān)系的一方當(dāng)事人,在面對(duì)經(jīng)濟(jì)實(shí)力強(qiáng)大又有著密切合作關(guān)系的開(kāi)發(fā)商和貸款銀行時(shí),購(gòu)房者容易遭遇的風(fēng)險(xiǎn)。商品房消費(fèi)信貸法律糾紛的處理復(fù)雜,明確購(gòu)房合同和擔(dān)保貸款合同的關(guān)系是糾紛處理的前提。 文章的第二部分是抗辯權(quán)延伸的適用前提、歷史沿革及構(gòu)成要件。這一部分筆者首先分析了商品房消費(fèi)信貸中的購(gòu)房合同和擔(dān)保貸款合同構(gòu)成關(guān)聯(lián)合同,二者在法律效力上相互影響,該關(guān)聯(lián)關(guān)系是抗辯權(quán)得以延伸適用的前提條件;其次,運(yùn)用比較法的分析方法,筆者闡述了抗辯權(quán)延伸在世界各國(guó)的產(chǎn)生、發(fā)展情況;最后,通過(guò)總結(jié)抗辯權(quán)延伸在各國(guó)的適用理論,筆者歸納出抗辯權(quán)延伸的構(gòu)成要件并分析了商品房消費(fèi)信貸法律關(guān)系中抗辯權(quán)延伸適用的構(gòu)成要件。 文章的第三部分是抗辯權(quán)延伸適用的正當(dāng)性及不可預(yù)先免除性。商品房消費(fèi)信貸中購(gòu)房者可以基于購(gòu)房合同中對(duì)開(kāi)發(fā)商的抗辯權(quán)對(duì)抗貸款合同中的貸款銀行,這無(wú)疑是對(duì)合同相對(duì)性原則的突破。合同相對(duì)性是民法的基本原則,該原則對(duì)于保障民事主體的意志自由具有十分重要的意義。任何對(duì)合同相對(duì)性原則的突破必須具有正當(dāng)性,商品房消費(fèi)信貸中的抗辯權(quán)得以延伸適用,其正當(dāng)性在于保護(hù)處于弱勢(shì)地位的購(gòu)房者利益,使得信貸法律關(guān)系中的利益保護(hù)趨于平衡。并且,從格式條款和公平誠(chéng)信原則出發(fā),抗辯權(quán)延伸也不可以通過(guò)協(xié)議條款預(yù)先免除。 文章的第四部分是抗辯權(quán)延伸在我國(guó)司法解釋中的疑難問(wèn)題。我國(guó)商品房買(mǎi)賣(mài)司法解釋有部分規(guī)定涉及到抗辯權(quán)延伸,但是由于這些規(guī)定還較為籠統(tǒng),在司法實(shí)踐中不可避免地存在適用上的疑難問(wèn)題。筆者結(jié)合司法裁判中的案例,對(duì)這些疑難問(wèn)題進(jìn)行了分析,進(jìn)而提出相應(yīng)的解決措施。
[Abstract]:With the development of market economy, the consumption credit of commercial housing is a kind of consumption mode. The contract of purchase of house and the contract of guarantee loan form the related contract, which is the premise that the right of defense can be extended and applied. The extension of the right of defense plays an important role in protecting the interests of buyers. The first part of the article is the question. This part analyzes the types of legal relations contained in the consumption credit for commercial housing and the operation process of the consumer credit in practice. And through two typical cases, this paper reveals the risks that buyers, as one party of the legal relationship of consumer credit, are likely to encounter in the face of the strong economic strength and close cooperative relationship between developers and loan banks. The settlement of legal disputes of commercial housing consumption credit is complicated. It is the premise of dispute settlement to make clear the relationship between purchase contract and guarantee loan contract. The second part of the article is the applicable premise, historical evolution and constitutive elements of the extension of the right of defense. In this part, the author first analyzes the contract of purchase of house and the contract of guarantee loan in the consumer credit of commercial housing, which influence each other in the legal effect, which is the precondition for the extension and application of the right of defense. By using the comparative analysis method, the author expounds the emergence and development of the right of defense extension in various countries in the world, and finally, by summarizing the applicable theory of the extension of the right of defense in various countries, The author sums up the constitutive elements of the extension of the right of defense and analyzes the constitutive elements of the extension of the right of defense in the legal relationship of consumption and credit of commercial housing. The third part of the article is the legitimacy of the extension of the right of defense and can not be exempted in advance. In the consumption credit of commercial housing, the buyer can counteract the loan bank on the basis of the right of defense to the developer in the purchase contract, which is undoubtedly a breakthrough to the principle of relativity of contract. The relativity of contract is the basic principle of civil law, which is of great significance to guarantee the freedom of will of civil subject. Any breakthrough in the principle of relativity of contract must be justified, and the right of defense in the consumer credit of commercial housing can be extended and applied, and its legitimacy lies in the protection of the interests of the buyers in a weak position. Make the benefit protection in the credit legal relation tend to balance. Moreover, the extension of the right of defense can not be waived in advance by the terms of agreement from the principles of format and fairness and good faith. The fourth part of the article is the extension of the right of defense in China's judicial interpretation of the difficult problems. There are some provisions concerning the extension of the right of defense in the judicial interpretation of the sale of commercial housing in our country, but because these provisions are still relatively general, there are inevitably some difficult problems in the application of these provisions in the judicial practice. Based on the cases of judicial decision, the author analyzes these difficult problems and puts forward the corresponding solutions.
