【摘要】：中國的股票在市場上發(fā)展的很快,到2004年,已經(jīng)對它以保薦的形式予以行政審批。這種制度可以使各有關(guān)方面分工更加明確,責(zé)任精準(zhǔn),是向注冊制轉(zhuǎn)變帶來的好處,能高效率的促進(jìn)證券經(jīng)濟(jì)的健康發(fā)展。 本文通過舉例的形式,采用對市場信息的統(tǒng)計和對相關(guān)數(shù)據(jù)的的收集,并且運用到實踐活動中的方式,深入探討證券市場的保薦制度帶給我國的影響和所具有的指導(dǎo)意義。在這里主要是以瓊花為例。 本文從這幾個方面來闡述： 一是撰寫本文的時代背景以及選擇這個主題的原因,以保薦制度為分水嶺,描述了保薦制度以前中國證券審批制度發(fā)展的歷史狀況和保薦制度建立后現(xiàn)在呈現(xiàn)出的我國的證券樣貌。文章的整體構(gòu)思思路也在這里提到。 二是關(guān)于保薦制度的總的說明,通過幾個典型國家的保薦制度特點在證券的體現(xiàn)來說明,這其中包括了保薦制度的始祖—英國的大體情況,美國別有特色的保薦市場,還有關(guān)于在馬來西亞以及我國香港的各有特點的制度。 三是落實到我國的實際狀況,說明這項制度在我國實行的各種可能性作用分析。它給我國帶來了好處也有劣處。好處是一定程度上降低了一些ST企業(yè)的數(shù)量,也使得我國的證券市場更加正規(guī),提升我國企業(yè)的曝光率。劣處是關(guān)于這個體制發(fā)展的不完善,比如保薦責(zé)任人權(quán)責(zé)混亂,沒有一個明確的約束機(jī)制進(jìn)行規(guī)范,沒有真正的落到實處等等問題。 四是通過舉例,以瓊花為例,闡述其發(fā)展的前前后后,通過深入分析其過程來取得經(jīng)驗和教訓(xùn),獲得借鑒。由此也能看出總體上反映的大環(huán)境以及具體的保薦所有人所欠缺的部分問題,以及對保薦制度的監(jiān)督和懲罰工作不到位等需要加大力度的問題。 五是對保薦制度在我國發(fā)展的分析,在法律制定的方面以及我國提供的發(fā)展形勢所能給予的發(fā)展空間大小來說明。在法律制定的方面主要是對保薦所有人做出的各項法律約束和規(guī)范和保薦所有人的組成成分以及結(jié)構(gòu)調(diào)整方面來分析；我國提供的發(fā)展形勢和空間主要是能夠給予的保薦所有人的發(fā)展空間大小,以及對他們的監(jiān)督力度和懲罰措施等方法的具體規(guī)范,還有是對保薦制度運行的后備資源的支持這些方面來分析。在本文結(jié)束部分闡述了這項制度所帶給我們的關(guān)于注冊的指導(dǎo)思想。
[Abstract]:China's stock market is developing very fast, and by 2004, it has been approved in the form of recommendation. This system can make the division of labor between the parties more clear and precise. It is the benefit brought by the change to the registration system, which can promote the healthy development of the securities economy with high efficiency. Through the form of examples, this paper adopts the statistics of market information and the collection of relevant data, and applies them to practical activities. This paper probes into the influence and guiding significance of the sponsorship system of the securities market in China, mainly taking Qionghua as an example. This article from these several aspects to elaborate: The first is the background of the writing of this article and the reasons for choosing this theme, with the recommendation system as the watershed. This paper describes the historical situation of the development of China's securities examination and approval system before the sponsorship system and the present situation of our country's securities after the establishment of the sponsor system. The overall thinking of the article is also mentioned here. The second is about the general description of the sponsorship system, through several typical countries to explain the characteristics of the sponsorship system in the securities to explain, including the sponsor system of the ancestor of the British general situation. There is a unique sponsorship market in the United States, as well as systems in Malaysia and Hong Kong. The third is to implement the actual situation of our country. It shows that this system in our country to carry out a variety of possible role analysis. It has brought benefits to our country, but also bad. The advantage is to a certain extent to reduce the number of some St enterprises. Also make our country's securities market more formal, enhance the exposure of enterprises in China. The disadvantage is about the imperfect development of this system, such as the confusion of the rights and responsibilities of the responsible persons, there is no clear restraint mechanism to regulate. There is no real implementation and so on. Four is through the example, take the Qionghua as an example, elaborated its development before and after, through the thorough analysis its process to obtain the experience and the lesson. From this, we can also see the overall reflection of the general environment and the specific sponsor of the lack of part of the problems, as well as the recommendation system of supervision and punishment is not in place and other issues need to be strengthened. The fifth is the analysis of the development of the recommendation system in our country. The size of the development space that can be given by the development situation provided by our country is illustrated in the aspect of law making. In the aspect of law making, it is mainly the legal restriction and norm made by the sponsor owner and the sponsor owner's.
