【摘要】：隨著我國新股發(fā)行制度改革的不斷深化，證監(jiān)會發(fā)審機構(gòu)對企業(yè)IPO越來越嚴(yán)格，有必要對主板中小板IPO失敗的企業(yè)進行研究，從所在行業(yè)、所屬區(qū)域、擬上市證券交易所、企業(yè)所有制等角度，找出審核機構(gòu)關(guān)注的重點，從而得出相關(guān)建議。 國內(nèi)外學(xué)者對IPO失敗原因的研究角度眾多，并沒有特定的研究方法，由于各個研究方法以及數(shù)據(jù)的局限性，對我國主板中小板2008-2012年期間的IPO失敗企業(yè)沒有進行深入分析，有必要對這一時期的樣本進行研究探討。 在從我國股票發(fā)行相關(guān)法規(guī)、IPO審核制度等演變過程的角度研究我國新股發(fā)行審核制度演變過程的基礎(chǔ)上，以2008-2012年主板中小板IPO未過會的企業(yè)為研究樣本，一方面從其所在行業(yè)、地域、所有制情況、擬上市交易所以及各年度不同進行簡單的統(tǒng)計分析，得出以下結(jié)論：第一，行業(yè)不同，，企業(yè)上市失敗率不同；第二，2008-2012年主板中小板IPO失敗企業(yè)中，西南地區(qū)企業(yè)失敗率遠遠高于華北地區(qū)；第三，每年改制前為有限責(zé)任公司失敗的企業(yè)占大部分，并且所占比例遠遠高于改制前為股份有限公司的企業(yè)；第四，準(zhǔn)備在深圳證券交易所上市的企業(yè)遠遠多于上海證券交易所，同時在深圳證券交易所上市失敗率高于上海證券交易所。另一方面以失敗企業(yè)為研究樣本，深入分析其失敗的詳細原因，根據(jù)統(tǒng)計結(jié)果，按其重要性主要包括以下幾個因素：持續(xù)盈利能力、獨立性、募集資金運用、主體資格、規(guī)范運行、財務(wù)與會計等。位于前三的主要原因是持續(xù)盈利能力、獨立性以及募集資金運用。 與現(xiàn)有的研究成果相比，本研究主要有以下幾個創(chuàng)新點，第一，研究內(nèi)容的深入拓展，對失敗企業(yè)的研究，豐富了現(xiàn)有研究資料，在一定程度上拓展了該領(lǐng)域的研究內(nèi)容；第二，研究角度的創(chuàng)新，站在擬上市公司的角度，從行業(yè)、地域、所有制形式、擬上市證券交易所等對樣本進行研究；第三，采用數(shù)據(jù)的長期性，采用2008年金融危機到2012年暫停IPO這一時期的數(shù)據(jù)進行研究，研究數(shù)據(jù)具有代表性。 研究過程中有以下三個不足：數(shù)據(jù)來源具有一定缺陷、政策變化帶來的局限性、自身理論知識帶來的研究深度不足。
[Abstract]:With the deepening of the reform of the issuance system of the new shares in our country , the examining and examining institutions of the CSRC are more and more strict to the IPO of the enterprises , and it is necessary to study the enterprises that fail in the IPO of the main board and small board , and find out the focus of the audit institution from the angle of the industry , the region , the stock exchange , the enterprise ownership , etc . , so as to obtain the relevant suggestions . There are many researches on the reasons of IPO failure at home and abroad , and there is no specific research method . Due to the limitations of each research method and data , there is no in - depth analysis of IPO failure enterprises during 2008 - 2012 , and it is necessary to study the samples in this period . On the other hand , the failure rate of enterprises in Southwest China is much higher than that of Shanghai Stock Exchange in 2008 - 2012 . Compared with the existing research results , the research mainly includes the following innovation points : the first , the study of the research content , the research on the failure enterprises , the enrichment of the research content in the field , the research on the sample to a certain extent , the second , the research angle innovation , the research on the sample from the industry , the territory , the ownership form , the proposed stock exchange and the like , and the third , the data is used for the long term , and the data of the period of the IPO is suspended from the 2008 financial crisis to 2012 , and the research data is representative . There are three deficiencies in the research process : the data source has some defects , the limitation of policy change and the lack of research depth brought by its own theory knowledge .
