【摘要】：如何通過新的途徑為專利轉(zhuǎn)化提供資金,理論界和實務(wù)界都在探索�，F(xiàn)今,專利轉(zhuǎn)化的融資模式主要有專利權(quán)投資入股、專利質(zhì)押貸款、專利證券化、國家創(chuàng)新基金和吸引風險投資等。其中,吸引風險投資促進專利轉(zhuǎn)化是正在崛起并快速發(fā)展的新的融資模式,其作用越來越明顯。通過引入風險投資制度,為專利轉(zhuǎn)化提供資金支持,不僅解決專利轉(zhuǎn)化的融資難問題,更會促進風險投資事業(yè)的發(fā)展,同時對我國發(fā)展創(chuàng)新性經(jīng)濟、轉(zhuǎn)變經(jīng)濟發(fā)展方式、提升核心競爭力具有非常重大的現(xiàn)實意義。本文對專利轉(zhuǎn)化的概念進行界定之后,在分析了通過風險投資促進我國專利轉(zhuǎn)化具有可行性的基礎(chǔ)上,針對專利轉(zhuǎn)化中的風險投資制度存在的主體制度方面的問題,主要包括風險投資者問題、風險企業(yè)問題和風險投資機構(gòu)問題,提出拓寬風險投資供給主體范圍、明確風險企業(yè)法律地位和完善風險投資機構(gòu)主體組織形式的解決措施;針對專利轉(zhuǎn)化中的風險投資制度存在的運行制度方面的問題,主要包括專利產(chǎn)權(quán)價值評估問題、風險投資融資工具問題和風險投資退出的問題,提出構(gòu)建專利價值評估體系、完善風險投資融資工具和拓寬風險投資退出渠道的措施。
[Abstract]:How to provide funds for patent transformation through new ways is explored by both theorists and practitioners. Nowadays, the financing mode of patent conversion mainly includes patent investment, patent pledge loan, patent securitization, national innovation fund and attracting venture capital. Among them, attracting venture capital to promote patent transformation is a new financing mode that is rising and developing rapidly, and its function is becoming more and more obvious. Through the introduction of venture capital system to provide financial support for patent transformation, it not only solves the problem of financing difficulty in patent transformation, but also promotes the development of venture capital, at the same time, it will promote the development of innovative economy and change the mode of economic development in China. It is of great practical significance to enhance the core competence. After defining the concept of patent transformation, this paper analyzes the feasibility of promoting patent transformation through venture capital, and aims at the problems in the subject system of venture capital system in patent transformation. It mainly includes the problem of venture capital, the problem of venture enterprise and the problem of venture capital organization, and puts forward some solutions to widen the scope of supply of venture capital, clarify the legal status of venture enterprise and perfect the organization form of the main body of venture capital; Aiming at the problems existing in the operation system of venture capital system in patent transformation, including the value evaluation of patent property right, the financing tool of venture capital and the exit of venture capital, the paper puts forward the construction of patent value evaluation system. Measures to improve the financing tools of venture capital and broaden the exit channels of venture capital.
