論在建工程抵押的法律風(fēng)險(xiǎn)與防范

【摘要】:隨著經(jīng)濟(jì)活動(dòng)的需要,擔(dān)保制度開(kāi)始更多地關(guān)注擔(dān)保物權(quán)的融資功能,目前我國(guó)法律已經(jīng)明確了在建工程可以作為抵押物。在房地產(chǎn)抵押中,在建工程抵押已經(jīng)越來(lái)越多,在社會(huì)實(shí)踐中也運(yùn)用的越來(lái)越廣泛,但是在建工程抵押存在很多隱性風(fēng)險(xiǎn),對(duì)抵押權(quán)人尤其是商業(yè)銀行的權(quán)利維護(hù)產(chǎn)生了沖擊。而我國(guó)在建工程抵押制度還很不完善,它在理論和實(shí)踐中還存在很多不科學(xué)的地方。因此本文試圖通過(guò)法理分析和現(xiàn)實(shí)操作性?xún)蓚(gè)角度對(duì)在建工程抵押進(jìn)行詳細(xì)分析,為今后的學(xué)術(shù)研究和現(xiàn)實(shí)風(fēng)險(xiǎn)防范提出借鑒性意見(jiàn)。 本論文分為五個(gè)部分。筆者首先介紹了本文的研究背景、研究現(xiàn)狀和創(chuàng)新之處。其次對(duì)在建工程抵押進(jìn)行了學(xué)理分析,通過(guò)對(duì)在建工程概念的分析,闡述了在建工程的特殊性和在建工程抵押的法律特征。再次,筆者系統(tǒng)地總結(jié)了在建工程抵押存在的主要法律風(fēng)險(xiǎn),包括在建工程作為抵押標(biāo)的物的法律風(fēng)險(xiǎn)、在建工程抵押設(shè)立過(guò)程中的法律風(fēng)險(xiǎn)、抵押登記辦理的法律風(fēng)險(xiǎn)、抵押權(quán)實(shí)現(xiàn)的法律風(fēng)險(xiǎn)。最后,筆者通過(guò)對(duì)在建工程抵押的法律風(fēng)險(xiǎn)的產(chǎn)生原因進(jìn)行分析,,提出了在建工程抵押的風(fēng)險(xiǎn)防范措施。筆者重點(diǎn)針對(duì)抵押登記辦理的風(fēng)險(xiǎn),構(gòu)建了一種新型的風(fēng)險(xiǎn)防范措施——預(yù)登記,預(yù)登記不同于預(yù)告登記或者本登記,而是在相關(guān)法律法規(guī)存在對(duì)在建工程抵押登記的規(guī)定空白時(shí)商業(yè)銀行靈活采取的一種爭(zhēng)取合法權(quán)利的手段,這種方式已經(jīng)在實(shí)務(wù)中有一些操作經(jīng)驗(yàn),在此提出,希望能獲得更多的指點(diǎn),也供實(shí)務(wù)界進(jìn)行參考。最后作者就完善在建工程抵押立法提出了個(gè)人建議。
[Abstract]:With the need of economic activities, the security system begins to pay more attention to the financing function of security interest. At present, the law of our country has made clear that construction in progress can be used as collateral. In the real estate mortgage, the construction project mortgage has been more and more widely used in social practice, but there are a lot of hidden risks in the construction project mortgage, which has a great impact on the mortgagee, especially the commercial bank. But the mortgage system of construction project in our country is not perfect, it still has many unscientific places in theory and practice. Therefore, this paper attempts to make a detailed analysis of the mortgage of the construction project in progress from the perspectives of legal theory analysis and practical operation, so as to put forward some useful suggestions for the academic research and the prevention of realistic risks in the future. This paper is divided into five parts. First of all, the author introduces the research background, research status and innovation. Secondly, this paper makes a theoretical analysis on the mortgage of the construction in progress. Through the analysis of the concept of the construction in progress, it expounds the particularity of the construction in progress and the legal characteristics of the mortgage in the construction. Thirdly, the author systematically summarizes the main legal risks existing in the mortgage of the construction project, including the legal risk of the construction project as the subject matter of the mortgage, the legal risk in the course of the establishment of the mortgage under construction, and the legal risk of mortgage registration. The legal risk of the realization of mortgage. Finally, the author analyzes the causes of the legal risk of mortgage in construction, and puts forward the measures to prevent the risk of mortgage in construction. Focusing on the risk of mortgage registration, the author constructs a new risk prevention measure, pre-registration, which is different from pre-registration or this registration. It is a flexible means for commercial banks to fight for legal rights when the relevant laws and regulations have blank provisions on the registration of mortgage in construction projects. This method has already had some operational experience in practice, and it is proposed here. Hope to get more guidance, but also for the practice of reference. Finally, the author puts forward some personal suggestions to perfect the legislation of mortgage in construction.
