【摘要】:在全球經(jīng)濟低速增長的經(jīng)濟環(huán)境下,國家近兩年來堅持穩(wěn)健的經(jīng)濟政策,出臺了一系列抑制房地產(chǎn)及CPI上漲過快的調(diào)控手段。這樣的宏觀經(jīng)濟環(huán)境帶來對國內(nèi)個體經(jīng)濟的影響是:通貨膨脹得到有效控制,但造成社會資金面緊張,大部分民營企業(yè)資金鏈短缺,實體經(jīng)濟受到?jīng)_擊。與此同時,國際經(jīng)濟復蘇緩慢,歐債危機和美國QE3財政懸崖使得全球消費減少,我國作為世界加工廠出口銷量緊縮,大批出口企業(yè)面臨困境。 在本人所從業(yè)的行業(yè)市場以及關(guān)聯(lián)行業(yè)市場低迷,,占據(jù)國家經(jīng)濟重要位置的眾多民營企業(yè),自力更生的民營企業(yè),由于沒有強有力的政策支持,又一次面臨困境。 本論文通過研究一個初具規(guī)模的中小型民營企業(yè)DYF公司,是一家以出口生產(chǎn)貿(mào)易為主營業(yè)務(wù)的勞動密集型企業(yè)。該企業(yè)面臨近兩年社會經(jīng)濟發(fā)展進程減緩的環(huán)境考驗和國際市場疲軟的負面影響,挖掘企業(yè)自身資產(chǎn)價值,抓住政府政策規(guī)劃走向,結(jié)合企業(yè)本地市場現(xiàn)狀,進行有效企業(yè)資本運作的案例。其中該企業(yè)進行的產(chǎn)業(yè)重組、資產(chǎn)剝離、戰(zhàn)略聯(lián)盟、合資這四個資本動作,是本文要分析研究的重點。 通過此次運作,DYF公司實現(xiàn)了產(chǎn)業(yè)升級、資產(chǎn)增值,提高了企業(yè)產(chǎn)業(yè)機構(gòu)活躍性,完成了從生產(chǎn)型企業(yè)到多元化經(jīng)營的實業(yè)公司的轉(zhuǎn)型。為國內(nèi)眾多需要進行資本運作的企業(yè)提供了參考價值,以減少資本運作過程中的盲目性,降低重新整合后帶來新的困境。 本文從企業(yè)的內(nèi)外部環(huán)境及企業(yè)經(jīng)營現(xiàn)狀出發(fā),分析企業(yè)面臨的實際困境和產(chǎn)業(yè)資本運作的必要性。研究重點是在企業(yè)本次資本運作的過程中,分解各種資本動作所帶來的意義,資本運作動作對于企業(yè)組織結(jié)構(gòu)、財務(wù)狀況、運營模式的可行性和資本運作后的效率經(jīng)濟評價。
[Abstract]:In the global economic environment with low economic growth, the country has adhered to a steady economic policy in the past two years, and has introduced a series of control measures to curb the excessive rise of real estate and CPI. The impact of this macroeconomic environment on the domestic individual economy is that inflation is effectively controlled, but the social capital is tight, most private enterprises are short of funds, and the real economy is under attack. At the same time, the international economy recovers slowly, the European debt crisis and the QE3 fiscal cliff of the United States make the global consumption reduce, the export sales volume of our country as the world processing factory shrinks, a large number of export enterprises face difficulties. In my industry market and related industries market downturn, occupies an important position in the national economy of many private enterprises, self-reliant private enterprises, due to the lack of strong policy support, once again facing a difficult situation. In this paper, DYF Company, a small and medium-sized private enterprise, is a labor-intensive enterprise with export production and trade as its main business. The enterprise faces the environmental test of slowing down the process of social and economic development in the past two years and the negative impact of the weak international market. It excavates the value of the enterprise's own assets, catches the direction of government policy planning, and combines with the present situation of the local market of the enterprise. A case of effective capital operation of an enterprise. The four capital movements of the enterprise, such as industrial reorganization, asset divestiture, strategic alliance and joint venture, are the key points of this paper. Through this operation, DYF has realized industrial upgrading, asset appreciation, and increased the activity of industrial institutions, and completed the transformation from production-oriented enterprises to diversified industrial companies. It provides reference value for many domestic enterprises that need to operate capital, in order to reduce blindness in the process of capital operation and bring new difficulties after reintegration. Based on the internal and external environment of enterprises and the present situation of enterprise management, this paper analyzes the practical difficulties faced by enterprises and the necessity of industrial capital operation. The emphasis of this paper is to analyze the significance brought by various capital actions in the process of capital operation of enterprises. The capital operation action can be used to evaluate the organizational structure, financial situation, operation mode feasibility and efficiency and economic evaluation after capital operation.
