【摘要】:近年來,為了土地和資金的有效整合,出現(xiàn)合作開發(fā)房地產(chǎn)模式。合作開發(fā)房地產(chǎn)模式逐漸受房地產(chǎn)行業(yè)的歡迎并得到迅速發(fā)展。然而,房地產(chǎn)開發(fā)程序復(fù)雜,每個房地產(chǎn)開發(fā)項目都要經(jīng)過立項、規(guī)劃、用地等的行政許可程序并且合作開發(fā)房地產(chǎn)涉及到國土管理、涉及投資、城市規(guī)劃、建筑施工等多方面的法律法規(guī),且這些法律法規(guī)尚不完善,所以,出現(xiàn)了很多關(guān)于房地產(chǎn)合作開發(fā)方面的法律糾紛。因此,本文欲對影響房地產(chǎn)合作合同效力因素進(jìn)行探討。 本文第一部分先介紹合作開發(fā)房地產(chǎn)的主體資質(zhì),再分析房地產(chǎn)合作合同適用效力補(bǔ)正的意義及怎么補(bǔ)正的問題。該部分首先簡要的介紹了房地產(chǎn)開發(fā)企業(yè),通過分析房地產(chǎn)開發(fā)企業(yè)的設(shè)立條件和企業(yè)怎樣實(shí)施資質(zhì)管理,淺析了合作合同一方主體必須是房地產(chǎn)開發(fā)企業(yè),并分析有資質(zhì)的企業(yè)不實(shí)際開發(fā)經(jīng)營房地產(chǎn)合同效力的認(rèn)定。然后,在簡要介紹合同效力補(bǔ)正意義的前提下,分析合作主體均無資質(zhì)的房地產(chǎn)開發(fā)合同的效力補(bǔ)正。 本文第二部分首先簡單介紹房地產(chǎn)開發(fā)項目的確立。通過介紹立項過程,分析了合作開發(fā)的行政許可手續(xù)對合作開發(fā)房地產(chǎn)合同效力的影響。 本論文第三部分分析建設(shè)用地使用權(quán)對合作開發(fā)房地產(chǎn)合同效力的影響及效力補(bǔ)正。該部分一一分析了劃撥土地使用權(quán)、集體土地使用權(quán)、未獲建設(shè)用地使用權(quán)證對合作開發(fā)房地產(chǎn)合同的影響及合同效力補(bǔ)正。
[Abstract]:In recent years, for the sake of the effective integration of land and capital, the mode of cooperative development of real estate has emerged. The mode of cooperative development of real estate has gradually been welcomed by the real estate industry and developed rapidly. However, the process of real estate development is complicated. Every real estate development project has to go through the administrative licensing procedures of project, planning, land use, etc., and the cooperative development of real estate involves land management, investment, urban planning, construction and other aspects of laws and regulations. And these laws and regulations are not perfect, so, there are many legal disputes about the real estate cooperative development. Therefore, this paper intends to discuss the factors that affect the effectiveness of the real estate cooperative contract. The first part of this paper first introduces the subject qualification of the cooperative development of real estate, then analyzes the significance of the application of the real estate cooperation contract and how to correct the problem. By analyzing the conditions for the establishment of real estate development enterprises and how to implement qualification management, this paper analyzes that the main body of a cooperative contract must be a real estate development enterprise. Then, on the premise of briefly introducing the significance of the correction of the effectiveness of the contract, this paper analyzes the validity of the real estate development contract without the qualification of the main body of cooperation. The second part of this paper briefly introduces the establishment of the real estate development project. By introducing the process of establishing the project, this paper analyzes the impact of the administrative licensing procedures of the cooperative development on the effectiveness of the cooperative development real estate contract. The third part of this paper analyzes the influence and correction of the use right of construction land on the effectiveness of cooperative development real estate contract. In this part, it analyzes the right to use the allocated land, the right to use collective land, and the right to use the collective land. No construction land use certificate on the cooperative development of real estate contract and the effectiveness of the contract correction.
