【摘要】:改革開放以來,隨著中國經(jīng)濟(jì)高速、穩(wěn)定、持續(xù)的發(fā)展,外國資本不斷涌入并愈發(fā)活躍。其中,房地產(chǎn)市場以其巨大的發(fā)展?jié)摿Α⒏哳~的利潤以及較好的流動性成為外商在我國投資的熱點。外資的進(jìn)入,一方面提高了我國房地產(chǎn)業(yè)的總體層次與水準(zhǔn),促進(jìn)了國內(nèi)房地產(chǎn)業(yè)與國際接軌,對我國房地產(chǎn)市場融入國際市場起到了推動作用;另一方面也推升了房價的快速上漲,助長了房地產(chǎn)市場泡沫的形成,對我國的經(jīng)濟(jì)安全和社會穩(wěn)定造成了負(fù)面影響。因此,對于我國外商投資房地產(chǎn)業(yè)市場準(zhǔn)入制度的研究,具有重大的理論和實踐意義。 本文采用理論分析和實證分析結(jié)合、定性分析和定量分析并用、歸納分析和演繹分析連結(jié)、對比論證分析以及邏輯推理分析等研究方法,以外商投資房地產(chǎn)業(yè)市場準(zhǔn)入制度為研究對象,以外商投資和房地產(chǎn)業(yè)等方面的法律法規(guī)為研究基礎(chǔ),共分為如下四個部分: 第一章,概述我國外商投資房地產(chǎn)業(yè)的基本情況。首先分析外資進(jìn)入我國房地產(chǎn)市場的原因,然后從外商投資我國房地產(chǎn)業(yè)的主要方式和主要區(qū)域來介紹外資進(jìn)入我國房地產(chǎn)市場的現(xiàn)狀,最后分析外資對我國房地產(chǎn)市場的積極影響與消極影響。 第二章,重點闡述我國外商投資房地產(chǎn)業(yè)的市場準(zhǔn)入制度。首先概述我國關(guān)于外商投資房地產(chǎn)業(yè)市場準(zhǔn)入的立法情況,包括相關(guān)的法律、司法解釋、行政法規(guī)、部門規(guī)章、地方法規(guī)等。然后剖析我國外商投資房地產(chǎn)業(yè)市場準(zhǔn)入制度中的市場投資主體與市場監(jiān)管主體。最后從市場準(zhǔn)入的實體與程序角度逐一詳細(xì)分析我國外商投資房地產(chǎn)業(yè)市場準(zhǔn)入的特殊條件,包括對投資形式、注冊資本/投資總額、投資方式、投資回報、投資范圍、投資程序等方面的要求。 第三章,分析國外房地產(chǎn)市場外資準(zhǔn)入制度的立法及啟示。首先以美洲、歐洲、亞洲等地的主要國家為例來簡述國外在房地產(chǎn)市場外資準(zhǔn)入上的立法情況。然后在此基礎(chǔ)上,,從投資主體、監(jiān)管主體、準(zhǔn)入條件三個方面進(jìn)一步歸納出對完善我國外商投資房地產(chǎn)業(yè)市場準(zhǔn)入制度的可借鑒之處。 第四章,提出完善我國外商投資房地產(chǎn)業(yè)市場準(zhǔn)入制度的建議。首先從制度本身以及審批和監(jiān)管等多層次地深度剖析我國外商投資房地產(chǎn)業(yè)市場準(zhǔn)入目前存在的主要問題。然后針對這些不足和缺陷,有針對性地提出一些富有實際操作性的完善建議,主要涵蓋法律框架、審批監(jiān)管、產(chǎn)業(yè)政策、稅收手段、金融體系、匯率機(jī)制等方面。
[Abstract]:Since the reform and opening up, with the rapid, stable and sustained development of China's economy, foreign capital has been pouring in and becoming more and more active. Among them, the real estate market with its huge development potential. High profits and good liquidity have become the hot spot of foreign investment in China. On the one hand, the entry of foreign capital has improved the overall level and level of the real estate industry in China, and promoted the domestic real estate industry to meet the international standards. It has promoted the integration of Chinese real estate market into the international market. On the other hand, it also pushes up the rapid rise of house prices, contributes to the formation of the real estate market bubble, and has a negative impact on the economic security and social stability of our country. It is of great theoretical and practical significance to study the market access system of foreign investment real estate industry in China. This paper uses the combination of theoretical analysis and empirical analysis, qualitative analysis and quantitative analysis, inductive analysis and deductive analysis, comparative analysis and logical reasoning analysis and other research methods. Taking the market access system of the foreign investment real estate industry as the research object, taking the foreign investment and the real estate industry as the research foundation, it is divided into the following four parts: The first chapter summarizes the basic situation of foreign investment in the real estate industry in China. Firstly, it analyzes the reasons for foreign investment into the real estate market of our country. Then it introduces the current situation of foreign investment in China's real estate market from the main ways and regions of foreign investment in real estate industry, and finally analyzes the positive and negative effects of foreign investment on China's real estate market. The second chapter focuses on the market access system of foreign investment in real estate industry. Firstly, it summarizes the legislation of foreign investment real estate market access, including the relevant laws, judicial interpretation. Administrative regulations and departmental regulations. The local laws and regulations, etc. Then analyze the market investment subject and the market supervision subject in the market access system of our country's foreign investment real estate industry. Finally, from the point of view of the entity and procedure of market access, we analyze the foreign investment house in our country in detail one by one. Special conditions for market access in the real estate industry. Including the form of investment, registered capital / total investment, investment methods, investment returns, investment scope, investment procedures and other requirements. The third chapter analyzes the legislation and enlightenment of foreign real estate market entry system. First of all, America, Europe. Asia and other major countries for example to briefly describe the foreign real estate market foreign access to legislation. Then on this basis, from the investment body, the main body of supervision. Three aspects of access conditions are further summed up to improve the real estate market access system for foreign investment in China. Chapter 4th. Some suggestions are put forward to perfect the market access system of the real estate industry with foreign investment. Firstly, the main problems existing in the market access of the real estate industry with foreign investment are analyzed from the system itself, examination and approval and supervision and so on. And then address these shortcomings and shortcomings. Some practical suggestions are put forward, including legal framework, examination and approval, industrial policy, tax means, financial system, exchange rate mechanism and so on.
