【摘要】:近年來,隨著國家的宏觀調(diào)控政策與部分地區(qū)的房地產(chǎn)企業(yè)風(fēng)險(xiǎn)頻發(fā)的現(xiàn)象,導(dǎo)致整個(gè)市場的中小房地產(chǎn)企業(yè)融資都成為了難題,從銀行的角度考慮,風(fēng)險(xiǎn)的控制肯定是最為重要的,這本是無可厚非的事實(shí),然而,在這種調(diào)控背景下,眾多優(yōu)質(zhì)的房地產(chǎn)企業(yè)也將面臨著資金鏈斷裂的危險(xiǎn),金融機(jī)構(gòu)面對房地產(chǎn)企業(yè)整體的風(fēng)險(xiǎn),大多選擇不再對中小型房地產(chǎn)企業(yè)放款,這也直接導(dǎo)致了這種成長型房地產(chǎn)企業(yè)“斷奶”的困境。本文通過研究中國金融市場業(yè)務(wù)的各交易主體的特性,通過深入分析中小房地產(chǎn)企業(yè)——QD房地產(chǎn)開發(fā)公司,并詳細(xì)調(diào)查了解了其位于三四線城市的QD時(shí)代廣場項(xiàng)目。選擇該公司作為研究對象,是因?yàn)樵摴驹谝欢ǔ潭壬洗碇覈砷L型的房地產(chǎn)開發(fā)公司,其在融資過程中所遇到的困境與國內(nèi)其他中小房地產(chǎn)企業(yè)有一定的共性。本文通過了金融市場創(chuàng)新融資方案的設(shè)計(jì),為該項(xiàng)目列舉出了多種有較強(qiáng)操作性的交易方案,其中囊括了信托計(jì)劃、金融資產(chǎn)交易所非公開定向債權(quán)投資工具、有限合公司的結(jié)構(gòu)化應(yīng)用、商業(yè)承兌匯票等等,并對方案的交易結(jié)構(gòu)、參與主體進(jìn)行了多維度的分析,將每一種交易結(jié)構(gòu)的風(fēng)險(xiǎn)點(diǎn)進(jìn)行了全面的考慮,最后將最為可行的融資方案提出,在QD房地產(chǎn)開發(fā)公司可接受的情況下解決QD時(shí)代廣場項(xiàng)目的融資問題。
[Abstract]:In recent years, with the national macro-control policy and part of the real estate enterprise risk frequent phenomenon, leading to the market of small and medium-sized real estate enterprise financing has become a problem, considering from the angle of the bank risk control is certainly the most important, it is understandable that, however, in this under the background of regulation, a number of high-quality real estate enterprises will face the risk of capital chain rupture, facing the risk of real estate enterprises overall financial institutions, mostly choose not to small and medium-sized real estate enterprises loans, which led directly to the growth of real estate enterprises "weaning" dilemma. In this paper, through the study of characteristics of Chinese the financial market transactions, through in-depth analysis of small and medium-sized real estate enterprises -- QD real estate development company, and a detailed survey of the three or four line of the city is located in the QD Times Square project. The choice of the company as the research object, because the company represents China's growth to a certain extent, the real estate development company, which encountered in the process of financing difficulties and other domestic small and medium-sized real estate enterprises have commonness. Through the design of innovative financial market financing scheme, for the project list there are a variety of trading programs, which include a trust plan, financial assets exchange non-public debt investment tools, structured using finite company, commercial acceptance and so on, and the program to participate in the main structure, multi-dimensional analysis, each kind of transaction structure risk for comprehensive consideration, the most feasible financing scheme is proposed to solve the problem of financing, QD Times Square project in QD real estate development company can accept the case.
