【摘要】："事業(yè)單位法人"這一單位制度與法人制度的耦合體,并不能準(zhǔn)確體現(xiàn)公立高校的法人屬性,而"民辦非企業(yè)法人"則是囿于所有制和公益性而創(chuàng)設(shè),忽視了我國民辦學(xué)校主要是投資而非捐資辦學(xué)的現(xiàn)實(shí)。由于混合所有制是對資本單一所有的突破,"事業(yè)單位法人"或"民辦非企業(yè)法人"定位可能造成政策目標(biāo)與辦學(xué)實(shí)踐的悖反,而"營利性法人"則是一個(gè)兼顧效益與公益的平衡選項(xiàng),營利性院校的內(nèi)部治理依照商事法律確立法人財(cái)產(chǎn)權(quán)和法人治理結(jié)構(gòu),外部治理以契約約束取代行政約束,則可全面實(shí)現(xiàn)學(xué)校自治。
[Abstract]:The coupling body of unit system and legal person system of "institution of legal person" can not accurately reflect the legal person attribute of public university, but "private non-enterprise legal person" is created because of the property of ownership and public welfare. Ignore the reality that private schools are mainly invested rather than donated. Because the mixed ownership is a breakthrough to the single ownership of capital, the orientation of "public institution legal person" or "private non-enterprise legal person" may cause the contradiction between the policy goal and the practice of running a school. The "for-profit legal person" is a balance between benefit and public interest. The internal governance of for-profit colleges establishes the legal person property rights and corporate governance structure according to the commercial law, and the external governance replaces the administrative constraints with contractual constraints. School autonomy can be fully realized.
