【摘要】：民辦高校是我國的一個新事物，其中可供研究的方面極多，本文僅就有關(guān)其法人地位的諸多問題做一研究。民辦高校屬于法人，這一點毫無疑問，不管是理論界還是實務(wù)界都取得共識。但是，民辦高校到底是屬于何種法人，在法律上尚未確定，本文首先在此問題上予以討論。其次，民辦高校的資金來自于民間，，在確保資金來源的穩(wěn)定性和投資者所投資金的安全性方面，在法律上必須予以體現(xiàn)，但目前尚未有成型的法律制度予以保障，本文將民辦高校法人財產(chǎn)權(quán)分為舉辦者產(chǎn)權(quán)和民辦高校法人財產(chǎn)權(quán)兩個問題來討論。前者的解決需要明晰產(chǎn)權(quán)，后者需要落實法人財產(chǎn)權(quán)。再次，民辦高校內(nèi)部治理結(jié)構(gòu)是保障民辦高校持續(xù)快速健康發(fā)展的關(guān)鍵一環(huán)，本文首先提出民辦高校的內(nèi)部治理結(jié)構(gòu)應(yīng)當(dāng)參照公司內(nèi)部治理結(jié)構(gòu)，但由于其特殊性，應(yīng)當(dāng)有資金的特點，然后對現(xiàn)有法律規(guī)范中有關(guān)其內(nèi)部治理結(jié)構(gòu)的規(guī)定做一梳理，指出不足指出，最后對完善民辦高校法人治理結(jié)構(gòu)提出自己的意見。第四，民辦高校大學(xué)章程，是對民辦高校實施管理和民辦高校自身實施各種行為的依據(jù)，其地位相當(dāng)重要，但目前尚未有專門的法律對其做出明確規(guī)定，本文試圖對民辦高校大學(xué)章程的制定過程和內(nèi)容作一探討。最后，本文還對民辦高校的進入退出機制進行探討，對現(xiàn)有制度的缺失提出自己的意見。
[Abstract]:Private colleges and universities are a new thing in our country, which can be studied very much. This article only studies a number of problems related to its legal person status. Private colleges and universities belong to legal persons. There is no doubt that there is no doubt that both the theoretical and practical circles have achieved consensus. However, what legal persons belong to private colleges and universities have not yet been confirmed by law. First, this article is discussed on this issue. Secondly, the funds of private colleges and universities come from the folk. In order to ensure the stability of the source of funds and the security of the investors' investment, it must be embodied in the law, but at present there is no legal system to protect them. This article divides the property rights of private colleges and universities into organizers. Property right and private university legal person property right two issues to discuss. The former needs to clear property rights, the latter needs to implement the legal person property rights. Thirdly, the internal governance structure of private colleges and universities is a key link to ensure the sustained and rapid and healthy development of private colleges and universities. Firstly, the internal governance structure of private colleges and universities should be referred to the internal company. The management structure, but because of its particularity, should have the characteristics of funds, and then the existing legal norms on its internal governance structure of the provisions to do a combing, pointed out that the lack of point out, and finally to improve the private university corporate governance structure of their own opinions. Fourth, private colleges and universities, private colleges and universities are the implementation of management and private higher education. This article tries to discuss the process and content of the constitution of private colleges and universities.
