【摘要】：產(chǎn)權(quán)制度創(chuàng)新是國(guó)有企業(yè)改革成功的核心問(wèn)題。本文應(yīng)用馬克思產(chǎn)權(quán)理論和現(xiàn)代產(chǎn)權(quán)制度理論，通過(guò)選取YT集團(tuán)公司產(chǎn)權(quán)制度創(chuàng)新作為典型案例研究，著力從實(shí)務(wù)操作上探索國(guó)有企業(yè)產(chǎn)權(quán)制度創(chuàng)新的成功模式。重點(diǎn)放在對(duì)產(chǎn)權(quán)制度創(chuàng)新基本經(jīng)驗(yàn)的總結(jié)，提出今后產(chǎn)權(quán)制度創(chuàng)新的新問(wèn)題、新任務(wù)及解決措施。 全文一共分為五章。第一章就本文研究背景、研究意義、國(guó)內(nèi)外相關(guān)研究述評(píng)、研究?jī)?nèi)容、研究方法、結(jié)構(gòu)框架等進(jìn)行介紹。第二章介紹YT集團(tuán)公司產(chǎn)權(quán)制度創(chuàng)新主要做法，介紹歷史沿革、組織機(jī)構(gòu)、經(jīng)營(yíng)狀況等基本情況，從探索起步階段建立現(xiàn)代企業(yè)制度，全面展開(kāi)階段實(shí)現(xiàn)產(chǎn)權(quán)多元化，鞏固完善階段推進(jìn)資產(chǎn)證券化三個(gè)階段，重點(diǎn)歸納YT集團(tuán)公司產(chǎn)權(quán)制度創(chuàng)新主要內(nèi)容。第三章總結(jié)YT集團(tuán)公司產(chǎn)權(quán)制度創(chuàng)新的經(jīng)驗(yàn)與存在問(wèn)題，從以產(chǎn)權(quán)制度創(chuàng)新為核心助推企業(yè)戰(zhàn)略落地、以產(chǎn)權(quán)制度創(chuàng)新為動(dòng)力促進(jìn)不良業(yè)務(wù)改善、以產(chǎn)權(quán)制度創(chuàng)新為牽引帶動(dòng)企業(yè)全面創(chuàng)新三個(gè)方面，提煉出產(chǎn)權(quán)制度創(chuàng)新主要經(jīng)驗(yàn)，分析當(dāng)前存在的委托代理層次過(guò)多、制約公司治理效果，法人治理結(jié)構(gòu)不完善、影響企業(yè)正確決策，人力資本產(chǎn)權(quán)激勵(lì)弱化、不利于企業(yè)長(zhǎng)期發(fā)展等突出問(wèn)題。第四章提出深入推進(jìn)產(chǎn)權(quán)制度創(chuàng)新的對(duì)策，建議采取推進(jìn)YT集團(tuán)公司整體上市、實(shí)現(xiàn)資產(chǎn)證券化目標(biāo)，完善公司法人治理結(jié)構(gòu)、規(guī)范企業(yè)管理行為，創(chuàng)新人力資本產(chǎn)權(quán)制度、確立長(zhǎng)期發(fā)展基礎(chǔ)等措施。第五章為研究結(jié)論，總結(jié)出本文的主要觀點(diǎn)，指出存在的不足之處。 目前我國(guó)國(guó)有企業(yè)改革進(jìn)入攻堅(jiān)階段，一些深層次問(wèn)題還沒(méi)有完全解決，制約著國(guó)有企業(yè)核心競(jìng)爭(zhēng)能力的提升，產(chǎn)權(quán)制度創(chuàng)新道路還很漫長(zhǎng)、任務(wù)依然艱巨。希望本文能夠給處于一般競(jìng)爭(zhēng)性行業(yè)和領(lǐng)域的國(guó)有企業(yè)推進(jìn)產(chǎn)權(quán)制度創(chuàng)新提供有價(jià)值的參考。
[Abstract]:The innovation of property right system is the core problem of the successful reform of state-owned enterprises. This paper applies Marx's property right theory and modern property right system theory, through selecting YT group company's property right system innovation as the typical case study, tries to explore the successful mode of the state-owned enterprise's property right system innovation from the practical operation. Emphasis is placed on summing up the basic experience of the innovation of property right system, and putting forward new problems, new tasks and solutions to the innovation of property right system in the future. The full text is divided into five chapters. The first chapter introduces the research background, research significance, domestic and foreign related research review, research content, research methods, structure framework and so on. The second chapter introduces the main methods of property right system innovation of YT Group Company, introduces the historical evolution, organization and management situation, and establishes modern enterprise system from the initial stage of exploration, and realizes the diversification of property right in an all-round way. The three stages of asset securitization are consolidated and perfected, and the main contents of property right system innovation of YT Group Company are summarized. The third chapter summarizes the experience and existing problems of property right system innovation of YT Group Company, from taking property right system innovation as the core to promote enterprise strategy landing, and taking property right system innovation as motive force to promote the improvement of bad business. Taking the innovation of the property right system as the lead to the enterprise's overall innovation, this paper abstracts the main experience of the innovation of the property right system, analyzes on the existing excessive principal-agent levels, restricts the effect of corporate governance, and the imperfect structure of corporate governance. It affects the correct decision of the enterprise, weakens the incentive of the property right of the human capital, and is unfavorable to the long-term development of the enterprise. The fourth chapter puts forward the countermeasures to promote the innovation of property right system, and proposes to promote the whole listing of YT Group Company, realize the goal of asset securitization, perfect the corporate governance structure, standardize the enterprise management behavior, and innovate the property right system of human capital. Establish long-term development basis and other measures. The fifth chapter is the conclusion of the research, summarizes the main points of this paper, points out the shortcomings. At present, the reform of state-owned enterprises in our country has entered a critical stage, some deep-seated problems have not been completely solved, which restricts the improvement of the core competitiveness of state-owned enterprises, and the road of property right system innovation is still very long, and the task is still arduous. It is hoped that this paper can provide valuable reference for state-owned enterprises in general competitive industries and fields to promote the innovation of property right system.
