【摘要】：國內(nèi)上市動因研究文獻大多為定性的對上市制度的考察，本文試圖通過定性和定量分析中國概念股樣本的特征，依靠大量數(shù)據(jù)支持通過40余張圖表對其上市動因進行研究。進行的工作包括： 對我國境外上市20年歷史沿革及監(jiān)管政策的定性考察； 根據(jù)市值排名、IPO業(yè)務(wù)活躍程度以及中國企業(yè)上市分布，選取5大主要境外證券市場的12個交易板塊，進行上市制度比較； 結(jié)合官方網(wǎng)站清單和網(wǎng)絡(luò)背景調(diào)查，，人工甄別，形成807個中國概念股獨立的樣本清單； 手工搜集及統(tǒng)計樣本的基本指標（上市時間、地點、行業(yè)分布、發(fā)行價、現(xiàn)價）、當前財務(wù)狀況（市值規(guī)模、凈利率、流動比率、杠桿）、上市后業(yè)績成長率（資產(chǎn)、收入）、回報率（股息收益率、股價變動）及市場態(tài)度（市盈率、股價成長和權(quán)益收益率的相關(guān)系數(shù)）。 結(jié)論是，特定歷史時期對國內(nèi)市場對企業(yè)外部融資的限制，以及境外市場較為靈活的制度設(shè)計，是企業(yè)境外上市的原因；隨著海外市盈率回歸理性，股價并未體現(xiàn)出和業(yè)績增長的較強相關(guān)性。對擬上市企業(yè)，建議謹慎考慮、認真準備、上市成功后繼續(xù)苦練內(nèi)功，達到當初投資者的期許。
[Abstract]:Most of the literature about the motives of listing in China is mostly qualitative research on the listing system. This paper attempts to qualitatively and quantitatively analyze the characteristics of China's concept stock samples, relying on a large number of data to support the study of its listing motives through more than 40 charts.
The qualitative investigation of the 20 years' history and supervision policy of China's overseas listing;
According to the market value ranking, the IPO business activity and the distribution of Chinese listed companies, we choose 12 transaction segments of the 5 main overseas securities markets to compare the listing system.
In combination with the official website list and the network background survey, the individual sample list of 807 Chinese concept shares is formed by manual screening.
The basic index manual collection and statistics of the samples (listing time, location, industry distribution, issue price, price), the current financial situation (market capitalization, net interest rate, liquidity ratio, leverage), after the listing of the performance growth rate (assets, rate of return (income), dividend yield, stock price and market (attitude) the price earnings ratio, price growth and equity return correlation coefficient).
The conclusion is that the specific historical period of domestic market restrictions on financing, the design of the system and the overseas market is more flexible, is the cause of overseas listed companies; with overseas earnings return to rational, stock price does not reflect the strong relationship between the growth and performance of the listed companies. The recommendations, the careful consideration and careful preparation, successful listing to hard skills, achieve the original investor expectations.
