服務(wù)型預(yù)付式消費(fèi)合同研究

【摘要】:預(yù)付式消費(fèi)作為一種新興的消費(fèi)模式和商業(yè)支付方式,已遍布各行各業(yè),滲透于人們?nèi)粘I畹姆椒矫婷。這種交易模式,于經(jīng)營者而言,有利于回籠資金、鎖定客戶群;于消費(fèi)者而言,可以享受折扣優(yōu)惠、節(jié)省交易的時間。服務(wù)型預(yù)付式消費(fèi),作為預(yù)付式消費(fèi)的類型之一,其合同具有風(fēng)險單向性、非及時履行性、條款的格式化等預(yù)付式消費(fèi)合同的普遍特性。除此之外,其以無形、抽象性的“服務(wù)”為合同標(biāo)的,服務(wù)履行效果對受領(lǐng)人自身屬性具有依賴性,對其服務(wù)履行瑕疵的判定更具模糊性,這都使得該合同的司法議題更具復(fù)雜性。隨著服務(wù)型預(yù)付式消費(fèi)合同在美容美發(fā)、教育培訓(xùn)、洗衣、健身等生活服務(wù)領(lǐng)域的廣泛應(yīng)用,我們需要對該合同進(jìn)行進(jìn)一步深入研究。本文主要包括引言、正文和結(jié)語三大部分。正文部分一共四章,各章主要內(nèi)容如下:第一章為服務(wù)型預(yù)付式消費(fèi)合同的界定。為明確本文的研究對象,本章先采取案例導(dǎo)入的形式,以知名的永琪美容美發(fā)機(jī)構(gòu)、聚智堂名師教育經(jīng)營者卷款跑路為背景,引出我國服務(wù)型預(yù)付式消費(fèi)的內(nèi)涵;然后再通過與《合同法》相關(guān)有名合同的比較,總結(jié)出服務(wù)型預(yù)付式消費(fèi)合同的一些顯著特性,例如:合同風(fēng)險的單向性、合同履行的非及時性、合同條款的格式化、合同標(biāo)的的無形性等等。第二章為服務(wù)型預(yù)付式消費(fèi)合同的適用爭議及其規(guī)制現(xiàn)狀的介紹。針對合同中相關(guān)“格式條款”有效性的認(rèn)定、消費(fèi)者單方面解除合同的處理和合同解除后退費(fèi)權(quán)的實(shí)現(xiàn)與保障等司法實(shí)務(wù)中的主要爭議點(diǎn),分別從中央立法規(guī)范和地方制度探索層面對其現(xiàn)有法律規(guī)制進(jìn)行研究。第三章是對我國服務(wù)型預(yù)付式消費(fèi)合同法律規(guī)制之不足的分析。本章分別從宏觀層面和具體操作層面對該合同法律規(guī)制存在的不足展開探討。其中,宏觀層面的不足主要包括:缺乏針對性的法律;地方出臺的行業(yè)自律公約或示范文本立法層級低、強(qiáng)制性弱等。在具體操作層面上,主要包括對合同中相關(guān)“格式條款”有效性的認(rèn)定、消費(fèi)者單方面解除合同的處理和合同解除后退費(fèi)權(quán)的實(shí)現(xiàn)與保障所存在缺陷的分析。第四章為我國服務(wù)型預(yù)付式消費(fèi)合同法律規(guī)制完善的探討。本章針對我國服務(wù)型預(yù)付式消費(fèi)合同在法律規(guī)制上的不足,通過借鑒發(fā)達(dá)國家立法經(jīng)驗和我國地方實(shí)踐的有益經(jīng)驗,以締結(jié)—履行—退出—監(jiān)督為主線,提出完善合同締結(jié)制度、健全履約擔(dān)保防范機(jī)制、構(gòu)建多元退出機(jī)制以及完善社會監(jiān)督機(jī)制等相關(guān)建議。
[Abstract]:As a new consumption mode and commercial payment method, prepaid consumption has spread all kinds of industries and permeated every aspect of people's daily life. This kind of trading mode, for the operator, is advantageous to withdraw the capital, lock in the customer group; for the consumer, can enjoy the discount, save the time of the transaction. As one of the types of prepaid consumption, the contract of service-type prepaid consumption has the universal characteristics of risk one-way, non-timely performance, formatting of terms and so on. In addition, it takes the intangible and abstract "service" as the target of the contract. The effect of service performance is dependent on the recipient's own attribute, and the judgment of its service performance defect is more fuzzy. All of this makes the judicial issues of the contract more complicated. With the extensive application of service-type prepaid consumption contract in the fields of hairdressing, education, laundry, fitness and other life services, we need to further study the contract. This article mainly includes the introduction, the text and the conclusion three major parts. The main contents of each chapter are as follows: the first chapter is the definition of service-based prepaid consumer contract. In order to clarify the research object of this paper, this chapter firstly takes the form of case introduction, with the well-known Yongqi beauty and hairdressing institution, Jizhitang famous teacher education operator roll money running road as the background, leads to the connotation of the service-type prepaid consumption in our country; Then through the comparison with the famous contract related to contract Law, the paper summarizes some notable characteristics of the service-type prepaid consumption contract, such as the one-way nature of the contract risk, the non-timeliness of the contract performance, the formatting of the contract terms. The intangibility of the subject matter of the contract, etc. The second chapter is the introduction of the application dispute and regulation status of the service-based prepaid consumption contract. In view of the validity of the relevant "form clause" in the contract, the main disputes in the judicial practice, such as the treatment of the unilateral rescission of the contract and the realization and protection of the right to refund after the termination of the contract, are discussed. Respectively from the central legislative norms and local system exploration level of their existing legal regulations are studied. The third chapter is the analysis of the insufficiency of the legal regulation of the service-type prepaid consumption contract in our country. This chapter discusses the shortcomings of the legal regulation of the contract from the macro level and the specific operational level. Among them, the macro level of deficiencies include: lack of targeted laws; local industry self-discipline conventions or model text legislation level is low, mandatory weak, and so on. On the specific operational level, it mainly includes the determination of the validity of the relevant "format clauses" in the contract, the treatment of the unilateral rescission of the contract and the analysis of the defects in the realization and guarantee of the right to refund after the termination of the contract. The fourth chapter discusses the consummation of legal regulation of service-prepaid consumption contract in our country. This chapter aims at the deficiency of the legal regulation of the service-type prepaid consumption contract in our country, through drawing lessons from the legislative experience of the developed countries and the beneficial experience of our country's local practice, taking the conclusion, performance, withdrawal and supervision as the main line, Some suggestions are put forward, such as perfecting the contract conclusion system, perfecting the performance guarantee prevention mechanism, constructing the pluralistic exit mechanism and perfecting the social supervision mechanism and so on.
