【摘要】：PSP是私人部門與公共部門為提供公共產(chǎn)品或服務(wù)而建立的各種合作關(guān)系,它的運(yùn)作對(duì)于彌補(bǔ)政府公用事業(yè)資金不足或是提高公用事業(yè)的供給效率有重要的意義。為能與高速發(fā)展的經(jīng)濟(jì)相配套,我國需通過靈活多樣的運(yùn)作PSP以加快各種基礎(chǔ)設(shè)施建設(shè)及提高公共事業(yè)運(yùn)營效率。由于我國運(yùn)作PSP的時(shí)間尚短且經(jīng)驗(yàn)不足,對(duì)PSP運(yùn)行中的一些法律問題不論是從理論方面還是商業(yè)實(shí)踐方面,均存在著疑問和爭議,這對(duì)有效推進(jìn)PSP的運(yùn)行構(gòu)成了障礙。既往針對(duì)PSP的所進(jìn)行的研究,多由法學(xué)研究者從單純的法律理論角度出發(fā)或由經(jīng)濟(jì)學(xué)研究者從單純的商業(yè)角度出發(fā),而筆者從法學(xué)研究者及PSP運(yùn)作從業(yè)者的角度出發(fā),在本文中結(jié)合民商事法學(xué)理論與國內(nèi)外PSP運(yùn)作的實(shí)踐情況,從PSP運(yùn)作的法律環(huán)境、PSP運(yùn)作的主要形式、PSP運(yùn)作中的風(fēng)險(xiǎn)及法律對(duì)策三個(gè)方面進(jìn)行法律分析和探討：一方面從法律的角度上對(duì)國內(nèi)外在這些方面的實(shí)踐情況進(jìn)行了介紹和解析,進(jìn)而提出了筆者在這些方面一些可供操作的建議和指引,包括：從法律體系、監(jiān)管機(jī)構(gòu)及合同安排三個(gè)方面指出我國PSP運(yùn)作法律環(huán)境的不足并從這些方面就如何建立一個(gè)良性的PSP運(yùn)作的法律環(huán)境提出建議；提出依據(jù)資產(chǎn)所有權(quán)不同而進(jìn)行PSP運(yùn)作主要形式的分類方法并基于對(duì)不同PSP運(yùn)行模式的法律特性的分析就如何選擇合適的PSP運(yùn)作形式提供指引；結(jié)合合同法理論總結(jié)歸納PSP運(yùn)行的風(fēng)險(xiǎn)并提出合理確定PSP運(yùn)行風(fēng)險(xiǎn)的法律對(duì)策的一些基本原則和具體方法。
[Abstract]:PSP is a kind of cooperative relationship between private sector and public sector to provide public goods or services. Its operation is of great significance to make up for the shortage of government public utility funds or to improve the efficiency of public utility supply.In order to match the rapid development of economy, China needs to speed up the construction of various infrastructure facilities and improve the efficiency of public utilities operation through flexible and diversified operation of PSP.Due to the short time and lack of experience in the operation of PSP in our country, there are some questions and disputes on some legal issues in the operation of PSP, both in theory and in commercial practice, which constitute an obstacle to the effective promotion of the operation of PSP.Previous studies on PSP are mostly from the perspective of pure legal theory or economics from a purely commercial point of view, and the author from the perspective of law researchers and PSP operators.Combining the theory of civil and commercial law with the practice of PSP at home and abroad,From the legal environment of PSP operation, this paper analyzes and probes into the risk and legal countermeasures of PSP operation from three aspects: on the one hand, it introduces and analyzes the practical situation in these aspects from the angle of law.Then the author puts forward some suggestions and guidelines in these aspects, including: from the legal system,The supervision organization and the contract arrangement point out the insufficiency of the legal environment of PSP operation in our country and put forward some suggestions on how to establish a benign legal environment of PSP operation from these aspects.This paper puts forward the classification method of the main forms of PSP operation according to the different ownership of assets and provides guidance on how to choose the appropriate PSP operation form based on the analysis of the legal characteristics of different PSP operation modes.Combined with the theory of contract law, this paper sums up the risk of PSP operation and puts forward some basic principles and concrete methods to reasonably determine the legal countermeasures of PSP operation risk.
