【摘要】:情事變更原則是現(xiàn)代合同法中的一項(xiàng)重要原則,通過2009年5月最高人民法院頒布的《關(guān)于適用中華人民共和國(guó)合同法若干問題的解釋(二)》(以下簡(jiǎn)稱為《合同法解釋(二)》),我國(guó)在立法上首次明確規(guī)定了情事變更制度。 事實(shí)上,情事變更在我國(guó)經(jīng)濟(jì)生活中時(shí)有發(fā)生,尤其是在商品房預(yù)售合同糾紛領(lǐng)域。由于商品房預(yù)售是合同是一種特殊的買賣合同,具有履行時(shí)間長(zhǎng),資金數(shù)額巨大,一定程度上的融資性與國(guó)家干預(yù)性等特點(diǎn),因此極易受到建材價(jià)格與土地價(jià)格漲跌、金融市場(chǎng)的波動(dòng)以及國(guó)家政策變化等一系列因素的影響。在這些情事變更發(fā)生后,如果繼續(xù)履行原合同,必然會(huì)造成對(duì)其中當(dāng)事人一方的顯失公平。此時(shí)適用情事變更原則就顯得非常必要,它將有助于化解因各種房地產(chǎn)市場(chǎng)風(fēng)險(xiǎn)導(dǎo)致的契約雙方利益的非自愿性失衡。然而情事變更原則有其嚴(yán)格的適用條件,如果濫用此原則,會(huì)導(dǎo)致房地產(chǎn)市場(chǎng)交易秩序的混亂,大大限制房地產(chǎn)市場(chǎng)的健康發(fā)展。因此,在實(shí)踐中必須結(jié)合商品房預(yù)售合同的特點(diǎn)對(duì)情事變更原則的適用條件進(jìn)行詳細(xì)地分析。 本文以2010年以來(lái)我國(guó)推行的一系列房地產(chǎn)調(diào)控政策為背景,在深入理解《合同法解釋(二)》的基礎(chǔ)上,對(duì)新形勢(shì)下情事變更原則在商品房預(yù)售合同糾紛中的適用問題進(jìn)行細(xì)致地探討,意圖為我國(guó)司法實(shí)踐中此類案件的解決提供智力支持。 本為文共分為四個(gè)部分。 文章第一部分介紹了情事變更原則基本理論方面的內(nèi)容,包括情事變更原則的概念與性質(zhì),以及在國(guó)外及我國(guó)的發(fā)展?fàn)顩r等內(nèi)容。 文章第二部分結(jié)合商品房預(yù)售合同的特殊性分析了情事變更原則在商品房預(yù)售合同中適用的必要性和可行性。商品房預(yù)售合同在其性質(zhì)上歸根結(jié)底是一種特殊的買賣合同,因此完全可以適用情事變更原則處理由此類合同所引發(fā)的糾紛。 文章第三部分重點(diǎn)論述了情事變更原則在商品房預(yù)售合同糾紛中的具體適用情況,包括情事變更原則的適用條件及法律效力等,為司法實(shí)踐中正確適用情事變更原則處理此類糾紛提供一定的理論依據(jù)與裁判標(biāo)準(zhǔn)。 文章第四部分闡述了如何完善情事變更原則在商品房預(yù)售合同中的適用問題,,著重分析了情事變更與商業(yè)風(fēng)險(xiǎn)、不可抗力等相關(guān)法律概念的區(qū)別,以使情事變更原則在商品房預(yù)售合同糾紛中被正確、合理地適用。
[Abstract]:The principle of circumstance change is an important principle in modern contract law. By means of the interpretation (2) > (hereinafter referred to as "interpretation of contract Law (2))" issued by the Supreme people's Court in May 2009 concerning the application of contract law of the people's Republic of China, our country has clearly stipulated the system of circumstance change for the first time in legislation. As a matter of fact, the change of events occurs from time to time in the economic life of our country, especially in the field of disputes over the contract of pre-sale of commercial housing. Because the pre-sale of commercial housing is a special contract of sale and purchase, it has a long time of performance and a huge amount of capital. Due to the characteristics of financing and national intervention to a certain extent, they are vulnerable to a series of factors, such as the rise and fall of building materials prices and land prices, the volatility of financial markets and the changes in national policies. If the original contract continues to be performed, it will inevitably result in an obvious injustice to one of the parties. At this time, it is very necessary to apply the principle of change of circumstances. It will help to resolve the involuntary imbalance in the interests of both parties to the contract caused by various kinds of real estate market risks. However, the principle of change of events has its strict conditions of application, if it is abused, it will lead to confusion in the order of transactions in the real estate market. The healthy development of the real estate market is greatly restricted. Therefore, it is necessary to analyze in detail the applicable conditions of the principle of change of events according to the characteristics of the pre-sale contract of commercial housing in practice. Based on a series of real estate regulation and control policies implemented in China since 2010, and on the basis of an in-depth understanding of the interpretation of contract Law (2), This paper probes into the application of the principle of change of events in the disputes of commercial housing pre-sale contract under the new situation in order to provide intellectual support for the solution of such cases in our country's judicial practice. This article is divided into four parts. The first part of the article introduces the basic theory of the principle of change of circumstances, including the concept and nature of the principle of change of circumstances, as well as the development situation in foreign countries and in China. The second part of the article analyzes the necessity and feasibility of applying the principle of circumstance change in commercial housing pre-sale contract, which is, in the final analysis, a special kind of sale contract. Therefore, the principle of change of circumstances can be applied to deal with disputes arising from such contracts. The third part focuses on the application of the principle of change of events in the disputes of commercial housing pre-sale contract, including the applicable conditions and legal effect of the principle of change of circumstances, etc. It provides certain theoretical basis and judgment standard for correctly applying the principle of circumstance change to deal with such disputes in judicial practice. The fourth part of the article expounds how to perfect the application of the principle of circumstance change in commercial housing pre-sale contract, and emphatically analyzes the difference between circumstance change and commercial risk, force majeure and other related legal concepts. In order to make the principle of change of events in the commercial housing pre-sale contract dispute is correct, reasonable application.
