我國建設(shè)工程價款優(yōu)先受償權(quán)制度探析

【摘要】:我國當前關(guān)于建設(shè)工程價款優(yōu)先受償權(quán)的法律依據(jù)主要有三個:1999年《合同法》第286條正式確立了建筑工程價款優(yōu)先受償權(quán);2002年6月11日,最高人民法院出臺了《關(guān)于建設(shè)工程價款優(yōu)先受償權(quán)問題的批復》;2004年12月8日,最高人民法院針對福建省高級人民法院的請示做出了《關(guān)于裝修裝飾工程款是否享有合同法第二百八十六條規(guī)定的優(yōu)先受償權(quán)的函復》。 其中《合同法》第286條規(guī)定了建設(shè)工程承包人優(yōu)先權(quán)的行使條件、方式以及程序等內(nèi)容,而兩個司法解釋則進一步明確了建設(shè)工程優(yōu)先受償權(quán)行使的主體和客體范圍、受償?shù)姆秶、行使期限以及效力層級等?nèi)容,但不論在實體還是程序方面仍然存在不少缺陷和漏洞,與與現(xiàn)行其他的法律制度甚至民法法理也有一些矛盾之處,,以致理論界爭議不斷、實務中適用率較低,并未有效實現(xiàn)該制度的立法初衷。 本文在比較法和法經(jīng)濟學學方法的指導下,著重考察借鑒德國模式的法定抵押權(quán)制度,從構(gòu)建設(shè)工程價款優(yōu)先受償權(quán)登記制度入手,探討建設(shè)工程價款優(yōu)先受償權(quán)在行使過程中可能出現(xiàn)的問題,以期完善建設(shè)工程承包人優(yōu)先受償權(quán)制度。 本文遵循上述思路,主體分為四個部分,文章具體結(jié)構(gòu)如下: 第一部分是我國現(xiàn)行建設(shè)工程價款優(yōu)先受償權(quán)制度概述。該部分主要介紹了我國現(xiàn)行建設(shè)工程價款優(yōu)先受償權(quán)制度的立法背景和立法現(xiàn)狀,并進一步指出了我國現(xiàn)行建設(shè)工程價款優(yōu)先受償權(quán)制度存在的問題以及對該制度進行研究的必要性和緊迫性。 第二部分是建設(shè)工程價款優(yōu)先受償權(quán)的性質(zhì)探討和比較法研究。關(guān)于建設(shè)工程價款優(yōu)先受償權(quán)的性質(zhì)素來爭議已久,該部分分別介紹了主流的三種觀點,并分析了其各自的合理性和缺陷,在此基礎(chǔ)上認為性質(zhì)之爭的根源在于思考的視角和基礎(chǔ)不同,三種性質(zhì)分別代表著國外關(guān)于建設(shè)工程價款優(yōu)先受償權(quán)制度設(shè)計的三種主流立法例,并進一步介紹了各種立法例的具體規(guī)則及其制度背景。 第三部分是完善我國建設(shè)工程價款優(yōu)先受償權(quán)制度的總體思路。該部分從總體上闡明我國應該以《合同法》第286條為基礎(chǔ),借鑒德國模式采法定抵押權(quán)的制度模式進一步完善建設(shè)工程價款優(yōu)先受償權(quán)制度,并運用法經(jīng)濟學和比較法的方法分析了此種制度構(gòu)建的原因。 第四部分是我國建設(shè)工程價款優(yōu)先受償權(quán)制度的具體制度設(shè)計。該部分指出建設(shè)工程價款優(yōu)先受償權(quán)制度的關(guān)鍵在于構(gòu)建關(guān)于建設(shè)工程價款優(yōu)先受償權(quán)的登記制度,通過登記制度使將承包人的建設(shè)工程價款優(yōu)先受償權(quán)及其詳細信息予以公示,能夠化解現(xiàn)行建設(shè)工程價款優(yōu)先受償權(quán)制度面臨的很多障礙,該部分還進一步對建設(shè)工程價款優(yōu)先受償權(quán)制度的權(quán)利主體、債權(quán)范圍、標的物范圍、行使方式、行使期限、效力等問題進行了分析研究。
[Abstract]:There are three main legal bases on the priority of the construction project price in our country: article 286 of the contract Law of 1999 formally established the right to the priority payment of the construction project price; June 11, 2002,The Supreme people's Court issued the "approval on the priority of the right to payment of the Construction Project Price." on December 8, 2004,The Supreme people's Court made a reply to the request of the higher people's Court of Fujian Province on whether the decoration and decoration funds enjoy the preferential right of compensation as stipulated in Article 286 of the contract Law.Article 286 of the contract Law stipulates the conditions, methods and procedures of the construction contractor's priority, while the two judicial interpretations further clarify the scope of the subject and object of the exercise of the priority right of the construction project.As a result, the theoretical circle disputes, the application rate in practice is low, has not effectively realized this system legislation original intention.Under the guidance of comparative law and the method of law and economics, this paper focuses on the legal mortgage system of German model, starting with the registration system of the priority payment of construction project price.This paper probes into the problems that may arise in the exercise of the construction project price priority right in order to perfect the system of the construction project contractor's priority compensation right.This paper follows the above thinking, the main body is divided into four parts, the specific structure of the article is as follows:The first part is an overview of the current construction project price priority system.This part mainly introduces the legislative background and current legislative situation of the current construction project price priority system in China.Furthermore, it points out the problems existing in the current system of priority payment of construction project price in China and the necessity and urgency of studying the system.The second part is the study of the nature and comparative law of the priority right of the construction project price.There has been a long controversy about the nature of the preemption right of construction project price. This part introduces three mainstream viewpoints, and analyzes their rationality and defects.On this basis, the author thinks that the root of the nature dispute lies in the different perspectives and bases of thinking. The three kinds of properties represent the three mainstream legislations of the design of the priority compensation system of construction project price separately.And further introduced the specific rules of various legislative cases and the background of the system.The third part is the overall idea of perfecting the system of priority payment of construction project price in our country.On the whole, this part clarifies that our country should take Article 286 of contract Law as the basis, and further perfect the system of preferential payment of construction project price by using the model of Germany for reference, which adopts the system of legal mortgage.The reasons for the construction of this system are analyzed by using the methods of law economics and comparative law.The fourth part is the specific system design of the priority compensation system of construction project price in our country.This part points out that the key of the system of the priority right of payment of construction project price lies in the establishment of the registration system of the right of priority payment of construction project price.Through the registration system to make the contractor's construction project cost priority right and its detailed information to be made public, it can resolve many obstacles that the current construction project price priority compensation system faces.This part also makes an analysis and study on the subject of right, the scope of creditor's rights, the scope of subject matter, the way of exercise, the time limit and the effectiveness of the system of preferential payment of construction project price.
