贊比亞礦業(yè)投資準(zhǔn)入法律制度研究

【摘要】:投資準(zhǔn)入是投資者實(shí)現(xiàn)境外投資的重要階段,是決定投資者能否進(jìn)入一國(guó)開(kāi)展經(jīng)營(yíng)活動(dòng)的關(guān)鍵。因此,在國(guó)家投資法的理論與實(shí)踐中,外資準(zhǔn)入問(wèn)題也備受各國(guó)學(xué)者與投資者的關(guān)注。近年來(lái),隨著能源與礦產(chǎn)資源爭(zhēng)奪的白熱化,國(guó)際礦業(yè)投資也日益增多。礦業(yè)與國(guó)家經(jīng)濟(jì)安全密不可分,對(duì)礦業(yè)領(lǐng)域的投資必然受到各國(guó)礦業(yè)投資立法以及相關(guān)礦業(yè)投資準(zhǔn)入規(guī)則的規(guī)制。贊比亞礦產(chǎn)資源豐富,其國(guó)民經(jīng)濟(jì)的發(fā)展有賴于礦產(chǎn)行業(yè)的發(fā)展。贊比亞政府一直積極調(diào)整礦業(yè)政策,完善礦業(yè)立法,改善礦業(yè)投資法律環(huán)境。相較其他非洲國(guó)家而言,贊比亞的宏觀環(huán)境較好,構(gòu)建了較為完善的礦業(yè)投資法律體系。追溯贊比亞礦業(yè)投資準(zhǔn)入法律制度的淵源可知,雖然贊比亞沒(méi)有統(tǒng)一的投資法典,但是關(guān)于礦業(yè)投資準(zhǔn)入的主體、準(zhǔn)入待遇、準(zhǔn)入范圍、準(zhǔn)入程序等規(guī)定分散在各法律規(guī)范當(dāng)中。贊比亞的礦業(yè)投資準(zhǔn)入法律制度主要圍繞《投資法》、《發(fā)展署法》以及《礦業(yè)與礦產(chǎn)開(kāi)發(fā)法》這三個(gè)核心法律文件建立,明確了礦業(yè)主體的資格,進(jìn)入礦業(yè)投資的程序,允許投資的范圍以及可享受的優(yōu)惠待遇。除此之外,贊比亞的公司法、勞動(dòng)法、環(huán)境保護(hù)法等均有涉及投資準(zhǔn)入的規(guī)定,如外資企業(yè)的存在形式,當(dāng)?shù)貏趧?dòng)力的雇傭、投資項(xiàng)目的環(huán)境保護(hù)問(wèn)題等。中國(guó)與贊比亞一直保持著良好的經(jīng)貿(mào)合作關(guān)系,尤其是在礦業(yè)投資方面,雙方形成了良好的互補(bǔ)。從發(fā)展形勢(shì)來(lái)看,中國(guó)對(duì)贊比亞礦業(yè)投資的潛力依然巨大。但理論上來(lái)看,我國(guó)學(xué)者大多從宏觀角度研究中贊投資關(guān)系、贊比亞投資環(huán)境等。針對(duì)贊比亞礦業(yè)投資,尤其投資準(zhǔn)入這一方面的研究較少。因此,了解贊比亞礦業(yè)投資準(zhǔn)入法律制度是十分必要的,這對(duì)解決中資企業(yè)在投資贊比亞礦業(yè)可能面臨的準(zhǔn)入問(wèn)題具有重要的啟示意義。探析贊比亞投資法、礦業(yè)法以及其他法中有關(guān)礦業(yè)投資準(zhǔn)入的規(guī)定,明確準(zhǔn)入的主體、程序、范圍以及待遇等內(nèi)容,為中國(guó)企業(yè)投資贊比亞礦業(yè)提供法律上的指導(dǎo)意見(jiàn),有助于規(guī)避礦業(yè)投資的準(zhǔn)入風(fēng)險(xiǎn),保障礦業(yè)投資的順利。
[Abstract]:Investment access is an important stage for investors to realize overseas investment and is the key to determine whether investors can enter a country to carry out business activities. Therefore, in the theory and practice of national investment law, In recent years, with the fierce competition for energy and mineral resources, the international investment in mining is increasing day by day. Mining is closely related to national economic security. Investment in the mining sector is bound to be regulated by the mining investment legislation of various countries and the relevant rules governing access to mining investment. Zambia is rich in mineral resources. The development of its national economy depends on the development of the mineral industry. The Zambian government has been actively adjusting mining policies, perfecting mining legislation, and improving the legal environment for mining investment. The legal system of mining investment in Zambia has been set up. Tracing back to the legal system of mining investment access in Zambia, we can know that although Zambia does not have a unified investment code, it is about the subject, treatment and scope of access to mining investment. The legal system of mining investment access in Zambia mainly revolves around the three core legal documents, namely, the Investment Act, the Development Agency Act, and the Mining and Mineral Development Act. It clarifies the qualification of the main body of the mining industry, the procedure for entering the mining investment, the scope of the permitted investment and the preferential treatment that can be enjoyed. In addition, Zambia's company law, labour law, environmental protection law, etc., all have provisions relating to the access to investment. For example, the existence of foreign-funded enterprises, the employment of local labor, the environmental protection of investment projects, etc. China and Zambia have maintained good economic and trade cooperation relations, especially in mining investment. The two sides have formed good complementarities. Judging from the development situation, the potential of China's investment in Zambia's mining industry is still enormous. But theoretically, most of our scholars study the Sino-Zambian investment relationship from a macro perspective. Zambia's investment environment and so on. There are few studies on Zambia's mining investment, especially investment access. Therefore, it is very necessary to understand Zambia's mining investment access legal system. It is of great significance to solve the problems that Chinese enterprises may face in investing in Zambian mining industry. This paper analyzes the provisions of Zambian Investment Law, Mining Law and other laws concerning the entry of mining investment, and clarifies the subject and procedure of entry. The scope and treatment will provide legal guidance for Chinese enterprises to invest in Zambian mining industry, which will help to avoid the entry risk of mining investment and ensure the smooth mining investment.
