中美銀行業(yè)并購(gòu)反壟斷審查比較研究

【摘要】:我國(guó)銀行業(yè)并購(gòu)起步較晚,隨著市場(chǎng)經(jīng)濟(jì)的持續(xù)改革,為提高市場(chǎng)競(jìng)爭(zhēng)力和市場(chǎng)占有率,銀行并購(gòu)活動(dòng)一直處于不斷增長(zhǎng)的勢(shì)頭。同時(shí)在我國(guó)入世過(guò)渡期結(jié)束后,外資大規(guī)模進(jìn)入我國(guó)銀行業(yè),外資銀行雖給我國(guó)金融市場(chǎng)帶來(lái)了積極的競(jìng)爭(zhēng)效應(yīng),但也帶來(lái)了無(wú)形的競(jìng)爭(zhēng)壓力。在探討銀行業(yè)并購(gòu)的概念及其分類,闡述其產(chǎn)生的內(nèi)外部原因的基礎(chǔ)上,梳理了美國(guó)和我國(guó)銀行業(yè)并購(gòu)的反壟斷法律體系,了解到美國(guó)銀行業(yè)并購(gòu)的反壟斷法律體系較為成熟,為其并購(gòu)活動(dòng)提供了良好的法律環(huán)境,也能根據(jù)市場(chǎng)形勢(shì)做出相應(yīng)調(diào)整。而我國(guó)銀行業(yè)并購(gòu)處在起步階段,相關(guān)立法和執(zhí)法都較為稚嫩和粗糙,大量法律空白亟待填補(bǔ)。通過(guò)實(shí)體標(biāo)準(zhǔn)、程序規(guī)則、實(shí)體審查方法和執(zhí)法機(jī)構(gòu)等四個(gè)方面來(lái)比較美國(guó)與我國(guó)在銀行并購(gòu)反壟斷審查的差異�?偟恼f(shuō)來(lái),,我國(guó)銀行業(yè)發(fā)展較晚,在反壟斷審查方面大多依據(jù)企業(yè)并購(gòu)的相關(guān)立法,且限于原則性規(guī)定,沒(méi)有詳細(xì)的規(guī)制內(nèi)容,使得我國(guó)銀行業(yè)并購(gòu)的司法實(shí)踐無(wú)法可循。外資的大量進(jìn)入催生了我國(guó)外資并購(gòu)的相關(guān)立法,其反壟斷審查立法完善速度要快于國(guó)內(nèi)銀行的相關(guān)立法,但外資銀行的雄厚實(shí)力且并購(gòu)方式多樣化,也不斷挑戰(zhàn)現(xiàn)行的反壟斷審查立法。以效率原則和公平競(jìng)爭(zhēng)的原則統(tǒng)領(lǐng)銀行業(yè)并購(gòu)的反壟斷審查立法,在此基礎(chǔ)上明確我國(guó)的反壟斷審查執(zhí)法機(jī)構(gòu),建立專門的并購(gòu)小組,頒布銀行并購(gòu)指南等等。希望以上立法完善能為我國(guó)建立銀行業(yè)并購(gòu)的反壟斷審查制度找到一些思路,正確引導(dǎo)我國(guó)的銀行業(yè)并購(gòu)行為,促進(jìn)我國(guó)金融市場(chǎng)的健康發(fā)展。
[Abstract]:China's banking industry mergers and acquisitions started late, with the continuous reform of the market economy, in order to improve the market competitiveness and market share, and bank mergers has been in constant growth. At the same time in China after WTO transition period, large-scale foreign investment into China's banking industry, foreign banks have brought the financial market in China the positive effects of competition, but also bring the invisible competition pressure. In the discussion on the concept of bank merger and classification, based on its internal and external reasons on the sort of mergers and acquisitions in the United States and the banking industry of our country anti-monopoly law system, to understand the anti-monopoly legal system of banking mergers and acquisitions in the United States more mature that provides a good legal environment for mergers and acquisitions, also can make corresponding adjustments according to the market situation. China's banking industry mergers and acquisitions in the initial stage, the relevant legislation and law enforcement are more tender and rough, A large number of legal gaps to be filled. The substantive standard, rules of procedure, the four aspects of the substantive examination method and law enforcement agencies to compare the United States and China in bank merger antitrust review. The difference in total, the development of China's banking industry is late, in the antitrust review are based on the relevant legislation of merger and acquisition, and limited to the principle provisions, no detailed regulation, making China's banking industry mergers and acquisitions. The judicial practice can not follow a large amount of foreign capital into the birth of the relevant legislation, our country foreign capital merger and acquisition, the relevant legislation is faster than domestic banks to improve the anti-monopoly legislation, but the strength of foreign banks and the merger of diversification continue to challenge the existing anti-monopoly legislation. The principle of efficiency and the principle of fair competition and bank merger antitrust review of the legislation on the basis of clear China's antitrust Continuous review of law enforcement agencies, the establishment of specialized acquisition team, guidelines of bank mergers and acquisitions and so on. We hope the above legislation can find some ideas for the establishment of China's banking industry merger antitrust review system, the correct guidance of China's banking industry mergers and acquisitions, and promote the healthy development of China's financial market.
