中國老撾兩國外國投資法律制度比較研究

【摘要】:從第二次世界大戰(zhàn)后崛起的新興經(jīng)濟(jì)體的發(fā)展經(jīng)歷來看,通過吸引外國投資來發(fā)展本國經(jīng)濟(jì)是眾多新興經(jīng)濟(jì)體獲得成功的關(guān)鍵。當(dāng)前,世界經(jīng)濟(jì)一體化繼續(xù)呈現(xiàn)出快速發(fā)展的態(tài)勢,雙邊或多邊經(jīng)濟(jì)合作保持旺盛的發(fā)展勢頭,各國經(jīng)濟(jì)的聯(lián)系也更為密切,資本流動的速度繼續(xù)加快,吸引更多的資本是各發(fā)展中國家實(shí)現(xiàn)經(jīng)濟(jì)迅速發(fā)展的重要依托力量。作為東南亞的內(nèi)陸國家,老撾近年來通過加快融入世界經(jīng)濟(jì)體系,來積極拓寬發(fā)展空間。隨著中國—東盟自由貿(mào)易區(qū)建成和加入世界貿(mào)易組織,老撾吸引外國投資的外部環(huán)境進(jìn)一步得到改善,而如何吸引更多的外國投資就成了老撾需要重視的課題。2011年,老撾人民革命黨“九大”繼續(xù)將解決全國性的貧困問題、擺脫世界最不發(fā)達(dá)國家狀態(tài)作為新世紀(jì)兩大國家發(fā)展戰(zhàn)略。而老撾現(xiàn)有的經(jīng)濟(jì)基礎(chǔ)仍然十分薄弱,難以承擔(dān)起實(shí)現(xiàn)兩大國家發(fā)展戰(zhàn)略的重任,因此必須將外國投資作為重要的依靠力量。根據(jù)國際上形成的共識,吸引外國投資的多少很大程度受到本國外國投資法的影響。因此,進(jìn)一步完善自身的外國投資立法,成為了今后需要高度重視的工作。老撾在1986年開始實(shí)施對外革新開放政策,至今也將近30年,國家整體發(fā)展取得了巨大進(jìn)步。但是與其他國家相比,老撾在利用外國投資發(fā)展本國經(jīng)濟(jì)上還存在很大的改進(jìn)空間。中國作為老撾一衣帶水的友好鄰邦,長期以來給予了老撾在發(fā)展上的巨大幫助,尤其是老撾的對外革新開放政策很大程度上來源于中國改革開放的啟發(fā)。雖然兩國打開國門的時(shí)間相差僅有幾年,但是在取得的發(fā)展成就上卻存在巨大差距,這其中中國對外國投資的成功利用值得老撾好好學(xué)習(xí)。本文主要通過對老撾外國投資法與中國外國投資法的系統(tǒng)比較,探究兩國在外國投資立法方面存在的差異,進(jìn)而指導(dǎo)老撾今后的外國投資立法工作,實(shí)現(xiàn)更好地吸引外國投資的目的。從全文來看,研究以老撾外國投資法的發(fā)展歷程、構(gòu)成情況和具備的特點(diǎn)出發(fā),引出研究的主體內(nèi)容,并對中老兩國外國投資法的準(zhǔn)入制度、待遇制度和保護(hù)制度進(jìn)行比較。認(rèn)為老撾外國投資法的后續(xù)發(fā)展要從以下幾個(gè)方面推進(jìn):一是積極參考國際先進(jìn)做法,結(jié)合老撾的實(shí)際情況,對老撾現(xiàn)有的外國投資法律進(jìn)行查漏補(bǔ)缺,推動外國投資法的系統(tǒng)化建設(shè);二是結(jié)合老撾經(jīng)濟(jì)發(fā)展的需要,對外國投資進(jìn)入老撾的準(zhǔn)入要求適當(dāng)放寬,同時(shí)加強(qiáng)對外國投資的監(jiān)管;三是加大優(yōu)惠政策的利用方向,引導(dǎo)外國投資流向老撾經(jīng)濟(jì)發(fā)展最需要的領(lǐng)域,實(shí)現(xiàn)外國投資與老撾發(fā)展的有機(jī)結(jié)合;四是通過進(jìn)一步推動國內(nèi)保護(hù)機(jī)構(gòu)建設(shè),以及積極發(fā)展與其他國家之間的合作,完善外國投資糾紛解決的辦法和途徑,實(shí)現(xiàn)外國投資在老撾合法權(quán)益的有效保護(hù)。
[Abstract]:From the development experience of emerging economies that rose after the second World War, the development of domestic economies through attracting foreign investment is the key to the success of many emerging economies. The integration of the world economy continues to show a rapid development momentum, bilateral or multilateral economic cooperation maintains a strong momentum of development, economic ties between countries are also closer, and the pace of capital flows continues to accelerate. Attracting more capital is an important supporting force for developing countries to achieve rapid economic development. As a landlocked country in Southeast Asia, Laos has in recent years accelerated its integration into the world economic system. With the establishment of the China-ASEAN Free Trade area and its accession to the World Trade Organization, the external environment for Laos to attract foreign investment has been further improved. In 2011, the Ninth National Congress of the Lao people's Revolutionary Party will continue to solve the national poverty problem. Graduation from the least developed countries in the world is regarded as the development strategy of the two major countries in the new century. However, the existing economic base of Laos is still very weak, and it is difficult to shoulder the heavy responsibility of realizing the development strategies of the two major countries. Foreign investment must therefore be used as an important force of reliance... in accordance with international consensus, the extent to which foreign investment is attracted is largely influenced by national foreign investment laws... therefore. Further improvement of its foreign investment legislation has become a work that needs to be highly valued in the future. Laos began to implement the policy of foreign innovation and opening up in 1986 and has been implementing the policy for nearly 30 years. Great progress has been made in the overall development of the country. However, compared with other countries, Laos still has much room for improvement in using foreign investment to develop its own economy. China is a friendly neighbor of Laos in a narrow strip of water. For a long time, Laos has greatly helped in its development, especially its foreign reform and opening policy, which is inspired by China's reform and opening up, although the time difference between the two countries is only a few years. However, there is a huge gap in development achievements. The successful utilization of foreign investment by China is worth studying well in Laos. This paper mainly compares the foreign investment law of Laos with the foreign investment law of China. To explore the differences between the two countries in foreign investment legislation, and then guide the future work of Laos foreign investment legislation, to achieve a better goal of attracting foreign investment. From the point of view of the full text. Based on the development course, constitution and characteristics of the Lao foreign investment law, the main content of the study is introduced, and the entry system of the foreign investment law of China and Laos is introduced. It is considered that the follow-up development of the Lao Law on Foreign Investment should be carried out from the following aspects: first, we should actively refer to advanced international practices and combine the actual situation of Laos. The existing foreign investment laws in Laos should be checked and filled in order to promote the systematization of foreign investment laws; Second, according to the needs of Lao economic development, the entry requirements of foreign investment into Laos should be relaxed appropriately, and the supervision of foreign investment should be strengthened. Third, increase the use of preferential policies, guide foreign investment to the areas most needed for Lao economic development, and realize the organic integration of foreign investment and Lao development; Fourth, by further promoting the construction of domestic protection institutions and actively developing cooperation with other countries, we should improve the ways and means of resolving foreign investment disputes. To effectively protect the legitimate rights and interests of foreign investment in Laos.
