本文將比較分析1980年《聯(lián)合國國際貨物銷售合同公約》(CISG)和《緬甸銷售法》(SGA)中違約責(zé)任救濟規(guī)則的異同?v觀人類歷史,商品的買賣自古以來就是商業(yè)活動的一個重要部分。商品交易涉及到貨物和服務(wù)在國家間的流通。隨著市場經(jīng)濟的發(fā)展,工業(yè)制成品市場的增長和發(fā)展中國家原材料新市場的開放,海外貿(mào)易得以擴張。一種簡單有效的溝通方式使商人能夠更可靠地遠距離購買和銷售商品,而現(xiàn)代技術(shù)使商品能在更短的時間內(nèi)運往世界各地。國際銷售合同和其他合同一樣,適用與之相關(guān)的國內(nèi)法律。商品交易以買賣雙方訂立的合同為基礎(chǔ),雙方都享有訂立商品買賣合同的權(quán)利。合同一旦成立,雙方當(dāng)事人就應(yīng)當(dāng)按照合同的約定履行義務(wù)。但是,合同雙方有時會發(fā)生違反合同義務(wù)的情況。因此,法律對違約的情況規(guī)定了幾種救濟措施,以避免或減少此類行為,并賠償受害者的損失。就合同而言,違反合同義務(wù)可以分為不同情況,并可根據(jù)不同的法律得到不同的救濟。此外,救濟規(guī)則作為國際貿(mào)易中提出索賠的主要依據(jù),成為國際貿(mào)易的基礎(chǔ)。當(dāng)一方當(dāng)事人違反或者不履行合同時,受害方有權(quán)請求損害賠償。因此,對違反合同義務(wù)的救濟無論對于國內(nèi)商品交易或者國際貿(mào)易都是十分重要的。本文...
