中央國有企業(yè)重組的國際競爭力研究

【摘要】:經(jīng)過35年的改革開放,中國經(jīng)濟已然成為“世界引擎”。從全球范圍來看,國與國之間的競爭越來越體現(xiàn)為大企業(yè)之間的競爭,大企業(yè)集團的運行已經(jīng)不再是簡單的經(jīng)濟行為,實際上已成為是各國提高綜合國力和搶占全球市場份額提高市場競爭力的重要手段。改革開放后的中國經(jīng)濟得到充分發(fā)展,在國際上的影響也更加深遠(yuǎn)。中國企業(yè),尤其是國有企業(yè)以及作為“精銳部隊”的中央企業(yè),是助推中國經(jīng)濟實現(xiàn)快速趕超的強大引擎。培育一批具有國際競爭力的一流企業(yè),是中國經(jīng)濟發(fā)展的動力和源泉,對拉動國內(nèi)經(jīng)濟發(fā)展發(fā)揮著關(guān)鍵性作用。在經(jīng)濟全球化背景下,要維護本國企業(yè)的國際地位和經(jīng)濟利益,提高企業(yè)的國際競爭力是一條必由之路。2013年11月,十八屆三中全會提出深化國企改革,積極發(fā)展混合所有制經(jīng)濟,完善國有資產(chǎn)管理體制。2015年9月國資委出臺了《關(guān)于國有企業(yè)發(fā)展混合所有制經(jīng)濟的意見》,提出推進國有企業(yè)改革,制定中央企業(yè)結(jié)構(gòu)性調(diào)整與重組方案,分層推進國有企業(yè)混合所有制改革,鼓勵國有企業(yè)通過整體上市、并購重組等方式,逐步調(diào)整國有股權(quán)比例,積極引入各類投資者,形成股權(quán)結(jié)構(gòu)多元化、運行高效靈活的經(jīng)營機制。這為未來的國企改革工作指明了方向。并購重組作為提高中央企業(yè)國際競爭力最重要的途徑之一,其成效到底如何,怎樣發(fā)揮其在提升中央企業(yè)國際競爭力中的積極作用值得深入研究。中央企業(yè)對我國國民經(jīng)濟有著重要影響,研究中央企業(yè)重組及其國際競爭力提升問題不僅具有重要的理論價值,也有重大的現(xiàn)實意義。論文主要內(nèi)容如下:首先,在對國內(nèi)外關(guān)于國際競爭力和企業(yè)重組關(guān)系的研究文獻進行梳理的基礎(chǔ)上,分析了國際競爭力與企業(yè)重組的相關(guān)理論,并對中央企業(yè)重組與央企國際競爭力的相關(guān)理論進行闡述。通過進一步分析中央企業(yè)的性質(zhì)和地位,說明了增強中央企業(yè)國際競爭力的必要性,而重組是提升央企國際競爭力的必然途徑。進而建立了“一個標(biāo)桿、兩個層次,四個維度”的中央企業(yè)國際競爭力評價指標(biāo)體系。并通過構(gòu)建中央企業(yè)的國際競爭力鉆石模型,提出了提升中央企業(yè)國際競爭力的六大路徑,即“做大——擴大企業(yè)規(guī)模”路徑、“做強——提高盈利能力和運營效率”路徑、“做優(yōu)——提升成長能力和創(chuàng)新能力”路徑、“世界一流——提高資源配置能力和管理”路徑以及“機遇——改善外部競爭環(huán)境”路徑和“政府——深化國企改革”路徑。其次,通過分析中央企業(yè)的發(fā)展現(xiàn)狀,包括對中央企業(yè)規(guī)模、發(fā)展速度、經(jīng)濟地位、運營效益和行業(yè)布局等多維度研究的基礎(chǔ)上對從中央企業(yè)并購重組歷史沿革和重組模式等方面的總體形勢進行判斷,在此基礎(chǔ)上說明央企重組取得的成效和經(jīng)驗,并對存在的問題和不足進行分析?傮w而言,中央企業(yè)并購重組與整合取得了顯著成效,主要體現(xiàn)在中央企業(yè)的布局結(jié)構(gòu)得到優(yōu)化,規(guī)模實力和市場競爭力顯著增強,運營質(zhì)量和效益明顯提升。但央企“大而不強”、缺乏核心競爭力的問題還比較突出,行業(yè)布局有待改善,國際化經(jīng)營還處于較低水平。接下來,對我國中央企業(yè)國際競爭力的現(xiàn)狀進行研究,運用比較分析的方法,以世界500強企業(yè)作為標(biāo)桿進行分層次、多維度地深入比較,分析了目前我國央企在國際中的地位以及與世界500強的優(yōu)勢和差距。盡管中央企業(yè)通過并購重組成效斐然,但與國際一流企業(yè)仍存在較明顯的差距。雖然我國已明確提出了提質(zhì)增效的發(fā)展目標(biāo),企業(yè)也在這方面做出了努力,但離世界一流企業(yè)這一目標(biāo)還有較長的路要走。隨后,本文基于中央企業(yè)在2006年至2014年間的財務(wù)數(shù)據(jù),運用層次分析法(AHP)對我國的中央企業(yè)進行實證分析。并通過南北車重組、中糧和華潤三個案例解析,在此基礎(chǔ)上探析重組對中央企業(yè)國際競爭力的影響。最后,借鑒國外大型企業(yè)通過并購重組提升企業(yè)國際競爭力的經(jīng)驗,從影響我國中央企業(yè)國際競爭力的外部環(huán)境和內(nèi)部環(huán)境作為落腳點,從國家層面和企業(yè)層面分別提出了相應(yīng)的對策與建議。
