【摘要】：新三板市場(chǎng)為中小企業(yè)的發(fā)展提供了金融支撐,通過(guò)掛牌過(guò)程,規(guī)范了企業(yè)經(jīng)營(yíng)管理,并在一定程度上拓寬了中小企業(yè)融資渠道。水處理型中小企業(yè),通過(guò)BOT、BT等方式開展運(yùn)營(yíng),在項(xiàng)目前期需要墊付大量的資金,而融資問(wèn)題是其面臨的一個(gè)較大難題。新三板市場(chǎng)在一定程度上有助于解決中小企業(yè)融資難的困境。本文首先闡述了企業(yè)融資的相關(guān)研究文獻(xiàn),并對(duì)新三板發(fā)展歷程做了簡(jiǎn)單回顧,介紹了企業(yè)在新三板掛牌的意義以及新三板掛牌條件,接著,理論聯(lián)系實(shí)際,采用案例分析法對(duì)ZCSW掛牌動(dòng)因以及掛牌合規(guī)性進(jìn)行分析,具體包括:第一,介紹ZCSW公司的基本情況和所處行業(yè)基本概況;第二,運(yùn)用整體環(huán)境分析法,從企業(yè)內(nèi)部和外部環(huán)境兩個(gè)角度分析企業(yè)掛牌的動(dòng)因;第三,結(jié)合新三板掛牌條件,運(yùn)用歸納分類的方法從持續(xù)經(jīng)營(yíng)能力、公司治理規(guī)范性、股份發(fā)行與轉(zhuǎn)讓合規(guī)性等視角,詳細(xì)分析了 ZCSW公司在掛牌前存在的問(wèn)題;第四,針對(duì)ZCSW存在的合規(guī)性問(wèn)題提出針對(duì)性解決方案。本文研究結(jié)果有助于水處理型企業(yè)解決融資約束問(wèn)題并順利掛牌,為水處理型企業(yè)登陸新三板市場(chǎng)提供參考和解決思路。
[Abstract]:The new three board market provides financial support for the development of small and medium-sized enterprises, standardizes the operation and management of enterprises through the listing process, and broadens the financing channels for SMEs to a certain extent. Small and medium-sized water treatment enterprises are running through BOT, BT and so on. They need to pay large amounts of funds in the early stage of the project, and financing is a major problem they face. To a certain extent, the new three board market will help to solve the difficulty of financing for small and medium-sized enterprises. This paper first describes the relevant research literature of corporate finance, and the development of the new board are reviewed, the listed companies listed on the new board as well as the significance of the new board, then, theory and practice, the ZCSW listing motivation and listing compliance analysis, using case analysis method including: first, introduce the basic situation of ZCSW company and the basic situation of the industry; second, using the overall environment analysis, analysis of motivation of listed companies from two aspects of internal and external environment; third, combined with the new three board listing conditions, from the use of sustainable business capacity, corporate governance norms, stock issuance and transfer of compliance from the perspective of classification methods, a detailed analysis of ZCSW's presence in the listing before the problem; fourth, according to the ZCSW compliance issues are put forward targeted solutions. The results of this study are helpful for water treatment enterprises to solve the financing constraints and issue smoothly, and provide a reference and solution for the water treatment enterprises to enter the new three board market.
