【摘要】：并購是一種戰(zhàn)略擴(kuò)張的形式,指企業(yè)之間因股權(quán)或者資產(chǎn)發(fā)生交易而導(dǎo)致的合并和兼并的商業(yè)行為。合理的并購行為可以使業(yè)績良好的企業(yè)發(fā)展的更快更好,可以使陷入經(jīng)營困境的企業(yè)重新發(fā)展起來:失策的并購戰(zhàn)略會把企業(yè)經(jīng)營拖入泥潭,讓企業(yè)經(jīng)營困難。企業(yè)在并購和后期的整合過程中會遇到各種困難,合理正確的處理遇到的這些困難,對于并購的成功至關(guān)重要。對于許多并購來說,能實現(xiàn)最初的目標(biāo)已經(jīng)算成功了,如果能實現(xiàn)業(yè)績的大幅增長,就可以說是完美了。本文以同煤集團(tuán)并購漳澤電力的案例為研究對象,對并購的背景、動因、并購的過程、并購?fù)瓿珊蟮恼弦约安①復(fù)瓿珊蟮男Ч皢栴}等進(jìn)行分析研究,并對以后相似的并購提出相關(guān)建議。本文的主要內(nèi)容包括五部分,首先是緒論部分,主要闡述了本文的研究背景及意義,及案例的典型性和本文的框架結(jié)構(gòu)。第二部分是對本文的理論基礎(chǔ)進(jìn)行簡明的介紹,介紹了并購的相關(guān)理論,并購的類型,以及并購的相關(guān)概念。第三部分主要闡述了同煤集團(tuán)并購漳澤電力的案例,介紹了同煤集團(tuán)和漳澤電力的基本信息,并購的動因,并購的過程,以及整合情況。第四部分主要闡述了并購的效果及并購中存在的問題。第五部分主要對于以后相似的并購提出對策與建議。本文在寫作過程中,查閱了詳盡的文獻(xiàn)資料,收集和整理了相關(guān)上市公司的財務(wù)報表及數(shù)據(jù),通過大量的工作,力求準(zhǔn)確的分析并購案例。
[Abstract]:M & A is a form of strategic expansion, refers to the business behavior of mergers and acquisitions between enterprises due to the transaction of equity or assets. Reasonable M & A behavior can make the enterprise with good performance develop faster and better, and can make the enterprise get into the trouble of management again: the misguided M & A strategy will drag the enterprise management into the quagmire and make it difficult for the enterprise to manage. Enterprises will encounter various difficulties in the process of merger and acquisition and later integration. It is very important for the success of M & A to deal with these difficulties reasonably and correctly. For many mergers and acquisitions, the achievement of the initial goal is already a success, and it would be perfect to achieve a substantial increase in performance. This paper takes the case of Zhangze Electric Power acquisition of Tongshan Coal Group as the research object, analyzes the background, motivation, process of M & A, the integration after the completion of M & A, the effect and problems after the completion of M & A, etc. And put forward the related suggestion to the similar M & A in the future. The main content of this paper includes five parts, first is the introduction part, mainly elaborated the research background and the significance of this article, as well as the typical case and the frame structure of this paper. The second part is a brief introduction to the theoretical basis of this paper, including the related theories, types and concepts of M & A. The third part mainly expounds the case of the acquisition of Zhangze Electric Power by Tongshan Coal Group, introduces the basic information of Tongmei Group and Zhangze Electric Power, the motivation of M & A, the process of M & A, and the situation of integration. The fourth part mainly expounds the effect of M & A and the existing problems in M & A. The fifth part mainly puts forward countermeasures and suggestions for similar M & A in the future. In the process of writing, this paper reviews the detailed literature, collects and collates the financial statements and data of related listed companies, and tries to analyze the case of M & A accurately through a lot of work.
