【摘要】：并購是一種戰(zhàn)略擴張的形式,指企業(yè)之間因股權或者資產發(fā)生交易而導致的合并和兼并的商業(yè)行為。合理的并購行為可以使業(yè)績良好的企業(yè)發(fā)展的更快更好,可以使陷入經營困境的企業(yè)重新發(fā)展起來:失策的并購戰(zhàn)略會把企業(yè)經營拖入泥潭,讓企業(yè)經營困難。企業(yè)在并購和后期的整合過程中會遇到各種困難,合理正確的處理遇到的這些困難,對于并購的成功至關重要。對于許多并購來說,能實現最初的目標已經算成功了,如果能實現業(yè)績的大幅增長,就可以說是完美了。本文以同煤集團并購漳澤電力的案例為研究對象,對并購的背景、動因、并購的過程、并購完成后的整合以及并購完成后的效果及問題等進行分析研究,并對以后相似的并購提出相關建議。本文的主要內容包括五部分,首先是緒論部分,主要闡述了本文的研究背景及意義,及案例的典型性和本文的框架結構。第二部分是對本文的理論基礎進行簡明的介紹,介紹了并購的相關理論,并購的類型,以及并購的相關概念。第三部分主要闡述了同煤集團并購漳澤電力的案例,介紹了同煤集團和漳澤電力的基本信息,并購的動因,并購的過程,以及整合情況。第四部分主要闡述了并購的效果及并購中存在的問題。第五部分主要對于以后相似的并購提出對策與建議。本文在寫作過程中,查閱了詳盡的文獻資料,收集和整理了相關上市公司的財務報表及數據,通過大量的工作,力求準確的分析并購案例。
[Abstract]:Mergers and acquisitions are a form of strategic expansion, referring to mergers and acquisitions between enterprises due to the transaction of equity or assets. Reasonable mergers and acquisitions can make the development of enterprises with good performance faster and better, and can make enterprises trapped in operational difficulties to develop again: the incorrect mergers and acquisitions strategy will delay the operation of enterprises. Enterprises will encounter various difficulties in the process of mergers and acquisitions and the integration of the late, reasonable and correct handling of these difficulties, for the success of mergers and acquisitions is crucial. This paper takes the case of Zhangze Electric Power Company of Tongmei Group as the research object, analyzes and studies the background, motivation, process, integration after the completion of the acquisition and the effect and problems after the completion of the acquisition, and puts forward relevant suggestions for the similar acquisition in the future. The second part is a brief introduction to the theoretical basis of this paper, introducing the related theory of M&A, the types of M&A, and the related concepts of M&A. The third part mainly expounds the case of the merger and acquisition of Zhangze Electric Power with Tongmei Group. This paper introduces the basic information of Tongmei Group and Zhangze Electric Power Company, the motive of merger and acquisition, the process of merger and acquisition, and the integration situation. The fourth part mainly expounds the effect of merger and acquisition and the existing problems. The fifth part mainly puts forward countermeasures and suggestions for similar mergers and acquisitions. And collate the financial statements and data of listed companies, through a lot of work, strive to accurately analyze merger and acquisition cases.
