AT公司并購整合AC公司案例分析

【摘要】:并購是企業(yè)為了實現(xiàn)規(guī)模迅速擴張、增強競爭力和提高資源配置效率而采取的重要發(fā)展手段。企業(yè)并購頻繁出現(xiàn),但是并購的結(jié)果并不確定,在所有的公司并購中,大多數(shù)的并購的失敗是由于并購雙方不能很好的進行整合而導致的。本文的研究對象是AT公司對AC公司的并購與整合,較為系統(tǒng)地分析了AT公司并購AC公司的全過程,對并購的背景、動因、整合和績效進行系統(tǒng)論述。本文共由五部分內(nèi)容構(gòu)成。第一章為導論,重點論述本論文的研究背景、目的、意義、理論依據(jù)、研究的內(nèi)容和方法。第二章是AT公司并購AC公司的案例介紹,該部分主要進行了并購雙方、并購背景、并購動因、并購過程及并購方案的介紹和分析。第三部分是論述了并購整合方案,包括并購整合思路、并購整合計劃和并購整合措施。第四部分論述了AT公司并購AC公司的績效,包括績效評價、成功的經(jīng)驗以存在的不足與對策。第五部分總結(jié)了AT公司并購整合AC公司的啟示。本案例認為企業(yè)并購整合成功的關(guān)鍵因素有四個:一是優(yōu)選伙伴是并購成功的第一步;其二是利益捆綁和目標牽引是并購整合成功的重要因素,其三是要全方位推進企業(yè)文化整合;其四是整合方案的設(shè)計和執(zhí)行是整合工作的保障。
[Abstract]:M & A is the enterprise in order to achieve the rapid expansion of the scale of development, an important means to enhance competitiveness and improve the efficiency of resource allocation and the frequent mergers and acquisitions. But, the results of M & A is not sure at all companies in mergers and acquisitions, most of the M & A failure is due to the integration of the two sides and the purchase is not very good. The object of study this is the acquisition and integration of AC company, AT company, and systematically analyzes the whole process of AT's acquisition of AC, the mergers and acquisitions background, motivation, integration and performance of the system are discussed. This paper is composed of five parts. The first chapter is the introduction, mainly discusses the research background, the purpose of this thesis. The significance, theoretical basis, research contents and methods. The second chapter is the introduction of AT's acquisition of AC's case, the main part of the merger, mergers and acquisitions background, mergers and acquisition process, and The introduction and analysis of purchase scheme. The third part discusses the integration scheme, including the integration of ideas, integration planning and integration measures. The fourth part discusses the AT's acquisition of AC company's performance, including performance evaluation, lack of successful experience for the existence of and countermeasures. The fifth part summarizes the AT company mergers and acquisitions the inspiration of AC company. The case that there are four key factors for the success of mergers and Acquisitions: one is the preferred partner is the first step in the success of mergers and acquisitions; the second is the bundle of benefits and target towing is an important factor for successful merger integration, the three is to promote all-round integration of enterprise culture; the fourth is the integration of design and execution of a plan is the integration of job security.
