【摘要】：股東表決權(quán)信托是股東表決權(quán)行使方式的創(chuàng)新，是將股東表決權(quán)制度與信托制度相結(jié)合的產(chǎn)物。股東表決權(quán)信托的本質(zhì)是對公司控制權(quán)的集中行使，實質(zhì)上是股東將其出席股東大會并且行使股東表決權(quán)的權(quán)利轉(zhuǎn)移給一個或者數(shù)個受托人，使受托人通過集中行使股東表決權(quán)去影響公司經(jīng)營管理中的重大決策并且達到維護受益人（也就是委托股東）利益的一種法律設(shè)計。股東表決權(quán)信托制度的發(fā)展歷史也有一百多年，股東表決權(quán)信托制度經(jīng)歷了從被否定到被肯定的過程后逐漸得到完善。股東表決權(quán)信托制度在穩(wěn)定公司股權(quán)結(jié)構(gòu)、公司引進外資、維護中小股東權(quán)益等方面發(fā)揮著重要作用。 本文采用實證分析法、比較分析法、綜合分析法，對股東表決權(quán)信托制度作了論述。第一章是股東表決權(quán)信托制度的基本介紹，由一個案例引出股東表決權(quán)信托的定義、本質(zhì)、特征、歷史。第二章是股東表決權(quán)信托制度建立的必要性與可行性，通過介紹股東表決權(quán)信托的制度優(yōu)勢來闡述在我國建立股東表決權(quán)信托制度的必要性，通過介紹股東表決權(quán)信托制度在法律上的有效性來闡述該制度在我國建立的可行性。第三章是股東表決權(quán)信托制度在我國的發(fā)展障礙，具體介紹了股東表決權(quán)信托制度目前沒有在我國廣泛被適用的原因。第四章是股東表決權(quán)信托制度的本土化設(shè)計，本部分是在借鑒美國股東表決權(quán)信托制度的基礎(chǔ)上結(jié)合我國國情，，針對該制度在我國目前發(fā)展的障礙提出的本土化設(shè)計。
[Abstract]:The shareholder's voting trust is the innovation of the way to exercise the voting rights of the shareholders. It is the product of the combination of the shareholder's voting rights system and the trust system. The essence of the shareholder's voting trust is the centralized exercise of the control of the company. In essence, the shareholders transfer the right to the shareholders' meeting and the right to vote for the shareholders to one or several subjects. The trustee makes a legal design for the trustee to influence the major decision in the management of the company and to maintain the interests of the beneficiary (that is, the principal shareholder) through the centralized exercise of the shareholder's voting rights. The history of the development of the shareholder's voting trust system has also been more than 100 years, and the trust system of the shareholders' right of voting has gone through the negation to the affirmative. The process of the shareholders' voting trust has played an important role in stabilizing the ownership structure of the company, introducing foreign capital and maintaining the rights and interests of small and medium shareholders.
This article uses the empirical analysis method, the comparative analysis method and the comprehensive analysis method to discuss the shareholder's voting trust system. The first chapter is the basic introduction of the shareholder's voting trust system, which leads to the definition, the essence, the characteristics and the history of the voting rights trust of the shareholders from one case. The second chapter is the necessity and feasibility of the establishment of the voting rights trust system for shareholders. By introducing the institutional advantages of the shareholder's voting trust, this paper expounds the necessity of establishing the shareholder's voting trust system in our country, and expounds the feasibility of the establishment of the system in our country by introducing the validity of the shareholder's voting trust system in the law. The third chapter is the development obstacle of the shareholder's voting trust system in our country. The fourth chapter is the localization design of the voting trust system of shareholders. This part is based on the national conditions of our country on the basis of the national conditions of our country on the basis of the American shareholders' voting trust system, and puts forward the localization design of the system in the development of our country.
