JY公司IPO過(guò)程中資源整合的案例分析

【摘要】:近年來(lái),在國(guó)家政策的大力扶持下,我國(guó)中小企業(yè)無(wú)論在規(guī)模還是數(shù)量上都得到較快的發(fā)展,,已經(jīng)成為國(guó)民經(jīng)濟(jì)發(fā)展的主要力量。但隨著企業(yè)的不斷發(fā)展,企業(yè)對(duì)資金的需求越來(lái)越大,單靠自身的積累及有限的銀行貸款已無(wú)法滿足需要,2004年6月在深交所推出的中小企業(yè)板,成為了中小企業(yè)上市融資的主要平臺(tái)。依據(jù)現(xiàn)行中小企業(yè)板發(fā)行審核相關(guān)規(guī)定,擬上市企業(yè)必須滿足“具有持續(xù)盈利能力、財(cái)務(wù)狀況良好”的基本要求,實(shí)踐中對(duì)中小企業(yè)板上市的業(yè)績(jī)要求一般都比規(guī)定更高。為了達(dá)到上市條件各方面的要求,中小企業(yè)板上市公司在IPO籌劃期間,一般都會(huì)對(duì)上市主體進(jìn)行戰(zhàn)略規(guī)劃與整合,尤其是在業(yè)績(jī)方面,要達(dá)到至少三年及一期的業(yè)績(jī)要求。那么,如何通過(guò)資源整合以達(dá)到IPO要求則成為中小企業(yè)關(guān)注的重點(diǎn)。 本論文利用復(fù)雜科學(xué)管理理論對(duì)企業(yè)資源整合進(jìn)行了研究,系統(tǒng)的分析了資源整合中的產(chǎn)業(yè)鏈整合、人力資源整合、財(cái)務(wù)資源整合理論,并結(jié)合JY公司IPO過(guò)程資源整合的案例進(jìn)行了實(shí)證研究。 本論文從JY公司IPO過(guò)程中采取的資源整合措施入手,通過(guò)案例研究方式,闡述中小企業(yè)板擬上市公司在IPO過(guò)程中如何通過(guò)資源整合以達(dá)到資源優(yōu)勢(shì)的集中,進(jìn)而提升公司市場(chǎng)競(jìng)爭(zhēng)力,提高業(yè)績(jī)以達(dá)到上市條件,并在資本市場(chǎng)實(shí)現(xiàn)最大化融資。本論文通過(guò)理論與實(shí)證研究,分析出資源整合對(duì)擬上市公司IPO的意義,并提出對(duì)中小企業(yè)板上市門檻進(jìn)行制度創(chuàng)新的思考。
[Abstract]:In recent years, with the support of national policies, small and medium-sized enterprises in China have developed rapidly in both scale and quantity, and have become the main force in the development of national economy. However, with the continuous development of enterprises, the demand for funds of enterprises is growing, relying solely on their own accumulation and limited bank loans can no longer meet the needs. In June 2004, the small and medium-sized enterprises board was launched in Shenzhen Stock Exchange. It has become the main platform for the listing and financing of small and medium enterprises. According to the relevant regulations of issuing and auditing of SME boards, the listed enterprises must meet the basic requirements of "continuous profitability and good financial situation". In practice, the performance requirements of SME board listing are generally higher than those stipulated. In order to meet the requirements of listing conditions, SMEs board listed companies in the IPO planning period, generally will be listed on the main strategic planning and integration, especially in terms of performance, to achieve at least three years and one stage of performance requirements. So, how to achieve IPO requirements through the integration of resources has become the focus of small and medium-sized enterprises. This paper makes use of the complex scientific management theory to study the enterprise resources integration, and systematically analyzes the industrial chain integration, the human resources integration, the financial resources integration theory in the resources integration. And combined with JY IPO process of the case of the integration of resources to conduct an empirical study. This paper starts with the measures of resources integration in the process of JY company's IPO, and through the way of case study, expounds how to achieve the concentration of resource advantage by the integration of resources in the process of IPO of the small and medium-sized enterprise board to be listed company. Furthermore, the market competitiveness of the company is improved, the performance is improved to meet the listing conditions, and the maximum financing is realized in the capital market. Through theoretical and empirical research, this paper analyzes the significance of resource integration to the IPO of listed companies, and puts forward the thinking of institutional innovation on the threshold of listing of small and medium-sized enterprises.
