【摘要】：正自2013年11月30日國務(wù)院發(fā)布《關(guān)于開展優(yōu)先股試點(diǎn)的指導(dǎo)意見》(以下簡稱《指導(dǎo)意見》)以來,證監(jiān)會(huì)于2014年3月21日發(fā)布了《優(yōu)先股試點(diǎn)管理辦法》(以下簡稱《辦法》),并于4月18日與銀監(jiān)會(huì)聯(lián)合發(fā)布了《關(guān)于商業(yè)銀行發(fā)行優(yōu)先股補(bǔ)充一級(jí)資本的指導(dǎo)意見》(以下簡稱《指導(dǎo)意見2》),優(yōu)先股的制度建設(shè)已全面展開。浦發(fā)、農(nóng)行、中行、興業(yè)、平安和工行等商業(yè)銀行則在緊鑼密鼓地進(jìn)行著優(yōu)先股的發(fā)行準(zhǔn)備。那么優(yōu)先股的創(chuàng)設(shè)在中國金融制度改革和資本市場發(fā)展中扮演何種角色呢?筆者認(rèn)為,對(duì)于優(yōu)先股作用的認(rèn)識(shí)需理性。
[Abstract]:Since the State Council issued the guiding opinion on the pilot of the priority shares issued in November 30, 2013 (hereinafter referred to as < directive >), the CSRC issued the pilot management method of the priority shares in March 21, 2014 (hereinafter referred to as "method >"), and jointly issued a supplementary first class on the commercial bank issuing priority shares in April 18th with the CBRC. The institutional construction of the preferred stock has been fully developed. Commercial banks such as PUFA, agricultural bank, China bank, Xingye, Ping An and ICBC are preparing for the issuance of priority shares. What role should the creation of priority shares be played in the reform of China's financial system and the development of capital market? The author thinks that the understanding of the role of preferred stock needs rationality.
